Nos. 06407.04 & 06407.07 & 06407.02 Dear Mr. Knowles: We are writing to you in regard to the ongoing E.P.A. federally funded projects listed above and to solicit your approval for the subcontracting of engineering services as required by federal regulations for which we are presently under contract. Please refer to the attached provision which is an excerpt taken from Appendix C-l which is part of our agreement with you for the referenced work. As you know, changes have taken place whereby CRS Group Engineers (Clark Dietz Division) no longer maintains a Sanford branch office and a new corporation (Conklin, Porter & Holmes-Engineers, Inc.) has been established at the Sanford office location. The employees of this new corporation formerly functioned as the Sanford branch office of Clark Dietz Engineers. CRS Group Engineers (Clark Dietz Division) has an Association Agreement with Conklin, Porter & Holmes (CPH) whereby CPH will complete work on existing contracts. There will be no change in the personnel assigned to your projects and your approval for CRS Group Engineers (Clark Dietz Division) to subcontract this work to Conklin, Porter & Holmes-Engineers, Inc. is respectfully requested. ATTACHMENT Appendix C-l, Required provisions - Consulting Engineering Agreements states the following with respect to Subcontracts: 11. Subcontracts (a) "Any subcontractors and outside associates or consultants required by the Engineer in connection with the services covered by this agreement will be limited to such individuals or firms as were specifically identified and agreed to during negotiations, or as are specifically authorized by the Owner, during the performance of this agreement. Any substitutions in or additions to such subcontracts, associates, or consultants will be subject to the prior approval of the Owner." . AMENDMENT V DATED 8/8 , 1980 TO Agreement for Consulting Engineering Services dated August 1975 between the City of Sanford, referred to as the Muni- cipality, and the firm of Clark, Dietz-Engineers, Inc., Sanford, Florida and Urbana, Illinois, referred to as the Engineer. I. GENERAL The original agreement dated August 1975, between the City of Sanford, Florida and Clark, Dietz-Engineers, Inc., as amended, is hereby further amended in order to change the cost and fixed fee amounts to include addi- tional engineering, supervision, coordination, liaison, system analysis, and report preparation. This additional work and contract change is required due to changes in program scope as of October 2, 1979, caused primarily by unforeseen severe field conditions in the Sanford sewer system. These conditions including collapsed, fragile,uncleanablepipe, extensive surcharging, easement difficulties, etc., have caused program delays and have necessitated the use of cleaning flow measurement and internal inspection methods not originally anticipated by the Engineer or the SSES subcontractor. The use of these more costly cleaning and other procedures has caused the Engineer to effect a change in his subcontract with Southern Line Cleaning, abandoning as of October 2, 1979, the unit price method of compensation and substituting the cost plus fixed fee method for field work. This Amendment relates only to the amounts of work for the Sewer System Evaluation Survey. The engineering associated with the sewer system minor repair work, covered by Amendments II and IV, is a separate matter and the fee . for that work is not contained herein. II. SCOPE OF THE ENGINEER'S WORK This amendment modifies the Engineer's responsibilities to include: , A. Increase in the manhours required for supervision, liaison, field investigations and coordination with the subcontractor in the preparatory cleaning, internal 'inspection and quantification of infiltration and in- flow in the portions of the sewer system remaining to evaluated as of October 2, 1979. B. Additional work by both the Engineer and his SSES sub- contractor as required to determine the pipe condition and i~filtration quantities and perform a cost-effective . , analysis for the remaining portions of the sewer sys- tem that are surcharged and cannot be cleaned due to access problems or collapses and those concrete sec- tions whose severely eroded condition precludes the use of preparatory cleaning and internal inspection by closed circuit television. C. Coordination with the City and the SSES and repair contractors to remove collapses and blockages and permit internal inspection if possible. D. Increase in SSES subcontracted work due unanticipated severe field conditions requiring the use of substan- tially different, more extensive and expensive cleaning, internal inspection and flow quantification methods. Under this amendment the Engineer and his subcontractor assume additional responsibility for performing greater degrees of preparatory cleaning, surcharge removal and blockage removal by the use of all appropriate cleaninq methods. The Engineer and his SSES subcontractor also have responsibility for determining the point at which continued attempts at preparatory cleaning are unreasonable and other methods of data collection for the cost-effective analysis become necessary. III. RESPONSIBILITIES OF THE MUNICIPALITY Under this amendment, the municipality's responsibilities shall remain as stated in previous amendments and the basic contract, except that heavy depositions and major blockages and surcharges in the sewer system may not need to be re- moved by the City. At the City's option, its personnel may do that work or they may allow the SSES subcontractor to clear such pipes. IV. PAYMENT As previously stated in the original contract and previous amendments, compensation paid the Engineer for services rende~ed shall be made on a cost-plus-a-fixed-fee basis. Under this amendment the maximum cost for services shall be increased from the, $ 356,088.40 previously agreed to to '$444,095.15. The "fixed fee" which is added to the costs to determine the Engineer's total compensation shall be increased from $15,120.06 to $18,027.63. The maximum "cost" and 'fixed fee" amounts outlined under this amendment are based on the actual amounts expended through 10/1/79 plus the remaining work as outlined on the cost estimates attached as Exhibit A and they may not be ex- ceeded without written amendment to this Agreement. Under this amendment, the Engineer shall be compensated for allowable indirect costs at the provisional rates listed below. All personnel engaged in the work shall be fully qualified. VI. INSURANCE The Engineer shall secure and maintain Professional Liabil- ity Insurance and such insurance as will protect him from claims under the workmen's Compensation Acts and from claims for bodily injury, death, or property damage which may arise from the performance of his services under this agreement. PA TENTS If this agreement involves research, developmental, experimental, or demonstration work and any discovery or invention arises or is developed in the course of or under this agreement, such invention or discovery shall be subject to the reporting and rights provisions of Subpart D of 40 CFR Part 30. in effect on the date of execution of this agreement, including Appendix B of said Part 30. In such case, the Engineer shall report the discovery or invention to EPA directly or through the Owner, and shall otherwise comply , with the pwner's responsibilities in accordance with said Subpact D of 40 CFR Part 30. If the material is copyrightable, the Engineer may copyright such, as permitted by said Appendix C, and subject to the rights in the Government as set forth in Appendix C, but the Owner and the Federal Government reserve a royalty-free, nonexclusive, and irrevocable license to reproduce, publish and use such materials, in whole or in part. and to authorize others to do so. WHEREAS: The ENGINEER has previously completed an Interim Water Quality Management Plan - North Seminole County Area for the City of Sanford and Seminole County, Florida, WHEREAS: The East Central Florida Regional Planning Council through its Consultants and staff is in the process of preparing and completing the Orange-Seminole-Osceola Metropolitan Water Quality Management Study, WHEREAS: The State of Florida Department of Pollution Control has delineated a 201 Planning Boundary for the Sanford, Lake Mary,and North Seminole County area attached hereto, WHEREAS: The previous studies consisting of the Interim Water Quality Management Plan and the Orange- Seminole-Osceola Metropolitan Water Quality Revised 2/28/75 l ' \' -2- ~ ' I ' . , ability to store in basins and subsequently treat, large vol~~es of storm water flow as well as peak sanitary flows; determination of the need for storm water treatment prior to discharge to Lake Monroe if separations are to be made ln the sewage collection system; evaluation of staged implementation and other implementation considerations of the final alternatives; evaluation of the flexibility of the alternatives for future modifications ln treatment and effluent disposal criteria; land availability and acquisition cost, especially for land disposal of effluent; determination of loading rates for land disposal at selected sites, and other matters, WHEREAS: The City of Sanford with the cooperation of Seminole County and the City of Lake Mary, desires to apply for and receive an EPA Step I grant and to complete the 201 Facilities Planning requirements for the delineated 201 planning area in order to meet the needs of the City and the area and to be eligible for subsequent EPA Step II and Step III grant funds for design and construc- tion of said facility, -3- , , Ar WITNESSETH: The MUNICIPALITY hereby retains the ENGINEER to perform engineering services as enumerated herein NOW,THEREFORE, the MUNICIPALITY and ENGINEER for the considerations hereinafter named, agree as follows: I. The ENGINEER agrees to provide engineering services to the MUNICIPALITY in order to fulfill the requirements of Section 201, of Title II, P.L. 92-500 as administered by the Environmental Protection Agency and the State of Florida Department of Pollution Control as follows: A. Meet with the MUNICIPALITY, cooperating Governmental units, the Regional Sewage Treatment Committee, regulatory agencies, and other pertinent parties. C. Prepare a Plan of Study and application for a Step I, EPA grant and follow up on the application following submittal. D. Determination of magnitude and extent of infiltration/infIo\V and overflows. 8. Cost effective analysis including a determination of \Vhether or not excessive infiltration/inflow ~xists in the system and therefore whether it is more cost effective to treat the infiltration/ inflow or to correct the infiltration/ inflow conditions in the sewer system. If infIltration/inflow is determined as excesSIve by the cost effective analysis, a plan of action, a budget and timetable for a detailed Sewer System Evaluation will be prepared. However, the detailed Sewer System Evaluation work itself as defined by EPA is not a part of this contractual work. E. Perform an abbreviated infiltration/inflow analysis with the permission of the Owners of the ,following private utility sewer systems located outside Municipal limits in Seminole County. 1. The ENGINEER is not authorized to do work under this contract beyond the work outlined in Ie until written Notice to Proceed has been received from the MUNICIPALITY. -11 - . . ~ . II. The MUNICIPALITY'S respons~~ilities ~re as follows: A. To provide assistance to the ENGINEER in the form \ . of re~iew, supervision, and liaison from the City Engineer and City Manager who shall be the municipal contacts with the ENGINEER. B. The City will assist with arrangemen~ and attend and participate in cooperative meetings with other local governmental units~ the Regional Sewer Treatment Committee~ Planning Council, regulatory agencies including the Department of Pollution Control, and the Environmental Protection Agency, the public, and others. C. City personnel will be made available for interviews, data gathering, assistance in locating, mapping, gaining entry to faciljties, and assistance in setting up selective flow measurement facilities and in makina flow o measurements and tests of the Sanford system. D. Furnish the ENGINEER with all needed available information and data in his possession and assist the ENGINEER in ohtaining whatever data is available or assistance from the East Central Florida Regional Planning Council and their consultants, Department of Pollution Control, Environmental Protection Agency, Seminole County, and other units of local government and the affected private utilities. E. Review expeditiously all reports, studies, and other data the ENGINEER shall submit, and render in writing decisions thereto within a reasonable time. -12- :.. . . '. ~ . . . . ' F.Provide for legal and other serVices beyond those being provided by the ENGINEER when the need has been established and concurrence of EPA obtained. G. Make payments for the services rendered in a timely manner in general accordance with the Proposed Grant Payment Schedules as may be finally approved by EPA~ however, final payment will not be due until final approval of the Facilities Plan by DPC and EPA. III. The MUNICIPALITY agrees to pay the ENGINEER for the services, when authorized and rendered as described in Paragraphs lA, IB, IC, ID, IE, IF, IG, and IH, a fee for labor of "Payroll Cost" times 2.25 (which includes allowance for overhead, indirect costs, and profit). Travel and other out of pocket "reimbursable" expenses will be paid for at actual cost thereof without increase. "Payroll costs" as used herein are defined as the cost of salaries and wages paid to principals and employees of the ENGINEER engaged directly on the project, including, but not limited to, engineers, surveymen, designers, draftsmen, specification ,vriters, estimators, stenographers and clerks, plus cost of fringe benefits including, but not limited to, social security contributions, unemployment, excise and payroll taxes, workmen's compensation, health and retirement benfits, sick leave, vacation and holiday pay applicable thereto. "Reimbursable"expenses shall mean the actual expense of transportation and subsistence of principals, employees and special consultants when traveling in connection with the project, special conSultants' ~ees, toll telephone calls and telegrams, reproduction of reports, drawings and specifications, and similar project ielated items. -13- . The total fee for the serVlces itemized above in this section (excepting those additional services of IG 3) shall not exceed $ 94,780.00 The additional services of IG 3 (the need and/or scope of which can not be adequately determined at this time) are not included in the total maxlmum fee. The services of IG 3 must be separately authorized by the MUNICIPALITY and EPA with assurance that the pro rata additional cost will be included ln the federal grant. Additional copies of the reports (above 20) will be furnished to the MUNICIPALITY at twenty dollars ($20.00) per copy. IV. The MUNICIPALITY and the ENGINEER each binds himself, his successors, executors, administrators and assigns to the other part of this Agreement, and to the successors, executors, administrators and assigns of such other party in respect to all covenant of this Agreement.
