AGREEMENT
BE'IWEEN
KELTON AND ASSOCIATES, INC.
AND
THE CITY OF SANFORD, FLORIDA
THIS AGREEMENT, made and entered into the 28th day of December
1981 , by and between the CITY OF SANFORD, FLORIDA, having its
prInCipal office in Sanford, Florida, hereinafter referred to as
the "City", and KELTON AND ASSOCIATES, INC., a Florida corporation
having its principal office and place of business in DeLand, Florida,
hereinafter referred to as "K&A.":
WIT N E SSE T H:

I. General Purpose of Agreement and Effective Date:
A. Subject to the tenus and conditions set forth in this
Agreement, K&A shall provide the services set forth
in Section II hereof.
B. Commencement Date. This Agreement shall commence
immediately upon its execution by both the "City"
and "K&A".
II. Service Description:
During the term of this Agreement, K&A. will use its best efforts
to provide to the City a study of possible "Double Taxation"
in Seminole County, in the following manner:
A. Analysis and Report
1. Review and analysis of Seminole County Budgets and
Financial Reports for FY 1979-80, FY 1980-81, and
FY 1981-82.
2. Identification of "countywide" and "non-countywide"
revenues for Seminole County.
3. Evaluation of distribution fonuulae for state and
federal funds flowing to Seminole County and its
municipalities.
4. Evaluation of Seminole County Services vis-a-vis
service delivery areas.
5. Preparation of report, to include analysis, find-
ings and recommendations. Analysis of "double
taxation" will be presented for each participating
municipality.
6. Preparation of draft resolution per Florida
Statute 125.01(6)(a) and (b).
7. Presentation of report and recommendations to the
governing bodies of the participating Cities.
B. otia-
1. Upon completion of "A" above, K.&A will provide
continuing professional and technical assistance
which may include, but not be limited to, attend-
ance and participation at:
meetings
planning sessions
depositions
negotiating sessions
court hearings and proceedings
2. Witness services. K.&A personnel participating in
this project will be available to appear as wit-
nesses in any court proceedings related to our
assignment.
3. Services under this section will be provided on
an "as needed" basis upon specific request or
direction from the designated representative of
the participating municipalities.
III. Client Assistance:
To effectively undertake this assignment, it would be necessary
for the City to make available to K&A, all relevant
City information and records, and to assist in securing
necessary data from various County and Constitutional Officers.
IV. Remuneration:
In consideration of services described above, the "City"
agrees to pay K&A, as follows:
A. Analysis and Report
Project Fee - $6,166.67, based upon equal participation by
the Cities of A1tamonte Springs and
Casselberry. Should either of these
Cities not participate, the fee
to the City of Sanford will be
$8,250.00. Should neither A1tamonte
Springs nor Casselberry participate,
this provision will be renegotiated.

B. Professional and Technical Assistance
1. Services in this categoLY will be billed as follows:
a) Associate - $35.00 per hour, plus expenses
b) Principal - $50.00 per hour, plus expenses
2. "Witness" time will be charged at twice the
above rates.

3. Hourly rates stated will be renegotiated one year
from the date of acceptance of this proposal.
4. Charges incurred under this section will be
allocated to all participating Cities in
accordance with the ratio of

"x" is equal to the 1981 Taxable Assessed
Value for the City, and
L "x" is the sum of the 1981 Taxable Assessed
Value for all participating Cities.
V. Project Schedule:
K&A will begin work on this assignment within ten (10) days
of receipt of notice of acceptance, and will complete the
project in approximately 180 days.

Casselberry
Lake Mary

Sanford
Winter Springs
VII. Payment:
K&A will submit invoices to the City's designated representa-
tive on or about the first of each month, for fifteen day
payment. Invoices for Section II - A Services will be sub-.
mitted on the following schedule:

VIII. Amendment:
This Agreement may be amended from time to time by mutual
agreement. All amendments shall be in writing.
IN WITNESS WHEREOF, the parties have caused this Agreement to be
duly executed as of the day and year first above written.
