EN T d ate d t his / [-~ / day 0 f . / ~Z&Y1 i3l:::~ , in the year Nineteen Hundred and Eighty-Three by and between the CITY OF SANFORD, FLORIDA (hereinafter called the OWNER) and CONKLIN, PORTER AND HOLMES - ENGINEERS, INC., 500 West Fulton Street, Sanford, Florida (hereinafter referred to as the ENGINEER),is to study and assist OWNER in their current problem regarding EDB contamination of OWNERS Mayfair well field. The nature of the assistance will be to provide studies, advice, counsel, coordination with regulatory agencies (FL D.H.R.S.; FL D.E.R.; County Health Depart~ent; St. Johns River Water r1anagement District), laboratory testing and recommended actions on both the source of the contamination as well as te~porary, intermediate and more long range solutions to the problem. ENGINEER will provide general counsel and services himself, and also employ special outside consultants, subject to approval by the OWNER, as partly described in the attached, initial recommended program, Exhibit A, attached hereto. , , 'Payment to the Engineer: The OWNER agrees to compensate the ENGINEER for services rendered subsequent to the date of this executed Agreement on the basis shown below. Principals and Employees of the ENGINEER: Compensation paid-the ENGINEER for services described above and on Exhibit A of this Agreement, will be on a cost basis and will be computed by multiplying direct personnel expense times a factor of 2.10 plus all reimbursable expenses. Compensation for outside consultant services will be on a cost basis, plus 10% for administrative handling, coordination and responsibility. Reimbursable Expenses: Out of pocket expenses for items including transportation and subsistence of principals and employees while traveling in connection with the project; additional payroll costs for overtime work; toll telephone calls; telegrams; and similar project-related items, are to be reimbursed to the ENGINEER at the actual cost thereof. Out of pocket expenses related to outside consultant services, including transportation and subsistence, are to be rei~bursed to the ENGINEER at the actual cost thereof, plus 10%. -2- Method of Payment: The OWNER will make prompt monthly payments in response to ENGINEER's monthly statements without retention for all categories of services. rendered under this Agreement and for reimbursable expenses incurred. Direct Personnel Expenses of CPH employees used as a basis for payment shall mean the salaries and wages paid to principals and employees of all classifications engaged directly on the Project plus the cost of fringe benefits including, but not limited to, social security, workers compensation, unemployment, health and retirement benefits, sick leave, vacation and holiday pay applicable thereto. For the purposes of this Agreement, Direct Personnel Expense shall be considered equal to 1.448 times applicable salaries and wages. Insurance The ENGINEER shall secure and maintain professional liability insurance and such insurance as will protect him from claims under the Workmen's Compensation Acts and from claims for bodily injury, death, or property damage which may arise from the performance of his services under this Agreement. The face amount of the ENGINEER's Professional Liability Insurance shall be $1,000,000. -3- IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of the day and year hereinabove set forth. Establish with State (HRS & OER) mlnlmum of 2 supple~entary labs to the State HRS Laboratory in Tallahassee, for control and testing out of the following labs: a) University of Central Florida Lab b) Environmental Science and Engineers Lab - Gainesville c) Thorton Labs, Ta~pa d) Other 2. Employ Dr. Taylor of the University of Central Florida as sub-consultant, and get him on site as soon as \Ie can doing Activated Carbon Column analyses with act~al contaminated water from affected wells and for other assistance and counsel. 3. Employ Environmental Science and Engineers, Gainesville, as sub-consultant and get them immediately into action to supplement CPH in: a) Grouond Water Hydrology and Site Geology b) Laboratory services (see item 1) c) Advice and counsel on pumping existing contaminated we 11 s to \'1 a s t e d) Advice and counsel on granular activated carbon filtration and other treatment of EDB (They are already employed by Florida Task Force and have studied EOB Treatment for them) 4. Emergency pumping of contaminated well or wells to waste to try to reduce movement of contaminated plume into \Jells not yet over the EOB limit. 5. Consider temporary or permanent sealing of sink hole areas adjacent to wells against further possible EDB direct entrance to acquifer. 6. Exploratory sampling, testing and investigative program to determine where EOB was applied in the area, the amounts and when, and to determine the extent of EDB contaminated plume at Mayfair (if possible) in the surrounding ground and wells. -5- " ... . 7 . B. Gamma Log on contaminated well or wells to see if they are short cased in clay or in the Hawthorne formation without properly sealing into the Floridan acquifer, thereby allowing EOB entry at some level into the well above the main Floridan acquifer and below casing. Consider extending or deepening 1 casing and well after some testing and evaluation to see if deepening casing and well holds any potential. 9. Explore with adjacent landowners, temporary use of major irrigation wells as a supplementary, temporary municipal source with clearing, testing, piping, etc., as required. 10. Try to come up with some contingecy emergency plan if all Mayfair wells became contaminated over the limit. 11. Explore for additional new well sites and take action toward testing and drilling for supplementary new wells, piping, etc. Auxiliary Water Treatment Plant Site (17-92) 1. Test representative well or wells for EOB in the field. 2. Obtain site or sites and drill new additional well or wells; pipe to auxiliary plant and increase capacity of existing high service pumps at Auxiliary Plant, all as an emergency. (City staff to expeditiously begin on Item 2, while lab established and testing in Item 1 is underway. -6-
