MEMORANDUM OF AGREEMENT
This MEMORANDUM OF AGREEMENT (the "MOK) is entered into this
day of , 2007 by and between THE CITY OF SANFORD
( "City "), whose address is c/o Robert Yehl, City Manager, City of Sanford, City Hall, 300
North Park Avenue, Sanford, Florida 32771, and WASHINGTON STREET FINANCIAL
CORP. AS TRUSTEE OF TRUST 320, whose address is 801 International Parkway, 5th
Floor, Lake Mary, Florida 32746 (the "Trust "). The City and the Trust are referred to herein
as the "parties."
WHEREAS, the City of Sanford instituted foreclosure proceedings against owners of
condominium units formerly known as Ridgewood Villas for liens and municipal
assessments against 41 parcels and open space parcel more particularly described in
attached Exhibit A; and
WHEREAS, the City Commission of the City of Sanford authorized the negotiation
and potential settlement of such proceedings with the Trust; and
WHEREAS, the Trust seeks to acquire the interests of the City in acquired parcels
and in the pending foreclosure proceedings and parcels subject to conveyance to the City
by Seminole County pursuant to Section 197.592, Florida Statutes; and
WHEREAS, the Trust seeks to satisfy the liens of all parcels in which they currently
have an interest; and
WHEREAS, the City believes it to be in the best interest of its citizens and deems

the settlement to be for the public good and believes its actions are in the interest of the
health, safety, welfare and economic benefit of its citizens.
NOW, THEREFORE, in consideration of the foregoing recitals, and for the other
good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged by execution of this MOA, the parties agree and understand as follows:
(1) The above recitals are true and correct and form a material part of this MOA
upon which the parties have relied.
(2) At the closing, upon receipt of an acceptable quit claim deed, assignment of
liens, and satisfaction of liens, the Trust shall remit to the City in certified funds the amount
of $300,000 (Three Hundred Thousand Dollars and No Cents) for the purchase and
acquisition of any and all interests held by the City and acquired by the City from Seminole
County in the property formerly known as Ridgewood Villas Condominiums, located at
2580 Ridgewood Ave, Sanford, Seminole, Florida, inventoried as follows:

The receipt of deeds and the conveyance of title to the parcels and open space now
owned by Seminole County are an express condition precedent to the Trust's obligation to
close.
The City shall not seek to obtain any awards of damages, attorneys' fees, costs,
expenses or any other sums against any of the former owners of the Ridgewood Villas
Condominium or any defendants in any of the foreclosure actions.

(3) The Trust shall continue foreclosure proceedings on any and all units that are
not directly conveyed by the City and, in the alternative, shall be obliged to use its best
efforts to negotiate and acquire any and all outstanding units by direct purchase from
individual owners.
(4) The Trust shall adhere to all current zoning restrictions in the development of
said property formerly known as Ridgewood Villas. Nothing in this Agreement shall be
construed as requiring the Trust to maintain all current zoning restrictions or as prohibiting
the Trust from subsequently attempting to change the zoning classifications or zoning
restrictions on the Property.
(5) The City shall convey to the Trust the total of 22 properties (parcels owned by
the City and the parcels obtained by the City from the County) and any interest in open
space to the Trust as referenced in Paragraph 2 hereof.
(6) At closing, the City shall execute and deliver assignments of liens acceptable
to the Trust and its counsel and shall join in motions to substitute party plaintiff in each
foreclosure action.
At closing, the City shall execute and deliver satisfaction of liens acceptable
to the Trust and its counsel on all parcels and property interests which have been acquired
by the Trust and further agrees to satisfy any municipal liens necessary for the Trust to
obtain clear title on all of the properties in Ridgewood Villas in the future. The City shall
further authorize the City Attorney to provide all necessary litigation documents to the Trust
and shall authorize the City Attorney to assign all interests in said liens to the Trust and

satisfy the liens of all parcels whose property interests have been acquired by the Trust
and cooperation with the Trust to ensure that the objectives of the MOA are fully satisfied.
(7) Written Modification. This Agreement contains the final and entire
understanding between the parties hereto and neither they nor their agents shall be bound
by any terms, conditions or representations not herein contained in writing. This
Agreement may not be modified or changed orally, but only by an agreement in writing
signed by the party against whom enforcement of any such change is sought.
(8) Attorneys' Fees and Costs. In the event of litigation arising from the terms of
this Agreement, the prevailing party in such litigation, including any appeals, shall be
entitled to reasonable attorneys' fees.
(9) Cooperation. The parties agree to cooperate and execute any documents
after closing which are required to carry out the purposes of this Agreement.
(10) Severability. In case one more of the provisions contained in this Agreement
shall for any reason be held to be invalid, illegal or unenforceable in any respect, such
invalidity, illegality or unenforceability shall not affect any other provision hereof, and this
Agreement shall be construed as if such invalid, illegal or unenforceable provision had
never been contained herein.
(11) Joint Drafting. This Agreement shall be construed as if the parties jointly
participated in the drafting and preparation of this Agreement.
(12) Entire Agreement. This Agreement contains all of the terms and conditions
agreed upon by the parties hereto with respect to the subject matter hereof and supersede
all prior agreements and understandings between the parties hereto. This Agreement shall

not be changed or terminated orally and no attempt to change, terminate or waive any of
the provisions hereof shall be binding unless in writing and signed by all parties hereto.
(13) Sovereign Immunity. The City is protected by sovereign immunity. The Trust
shall indemnify, defend and save the City harmless, to the extent and Vts of Section
768.28, Florida Statutes, from and against all claims, demands, obligations, liabilities,
penalties, fines, charges, costs and expenses, including, but not limited to, attorney's fees,
costs and expenses for the defense thereof, arising out of the conduct or actions by the
Trust with respect to third parties after the execution of this Agreement, whether such
claims arise in contract or tort. Should claim be brought against the City or the City be
made a party to any action as a result of any conduct or actions of the Trust with respect to
third parties after the execution of this Agreement, then the Trust shall reimburse the City
for all attorney's fees, costs and expenses incurred by the City in connection with the claim
or action.
(14) Binding Effect. This Agreement shall be binding upon and inure to the benefit
of the parties, and their heirs, successors and assigns.
(15) Applicable Law. The laws of Florida shall govern this Agreement. Venue for
any claim arising from this Agreement shall be in Seminole County, Florida.
(16) Counterparts. This Agreement may be executed in two or more counterparts,
each of which shall be deemed an original, but all of which together shall constitute one
and the same instrument.
This Agreement shall become effective upon the date the last of the parties'
execution of said Agreement.
