PROFESSIONAL SERVICES AGREEMENT

This AGREEMENT between the City of Sanford, Florida (CITY) and Annette McDaniel
d/b/a Foster Graphic Design (CONTRACTOR), is for independent professional contractor
servIces.
SCOPE OF SERVICES. Provide up to 80 hours per month of internal and external
communications including graphics, design, multi-media, photography, copywriting and
print production services to the CITY for various departments within the CITY, at the
request of the City Manager or acting representative. Review and revise projects as directed
by person responsible for the project for the CITY. Provide estimates for outside services,
including printing, photography, illustration, and related services as needed.
PERFORMANCE TIME. The term of the agreement shall be six months from the date of
signing, with the option of renewing for two additional three month periods.
PAYMENT TERMS. CONTRACTOR will be paid $35 per hour plus approved expenses.
CONTRACTOR shall submit a bi-weekly invoice to the City Manager's Office or designated
responsible party. All fees and expenses will be paid to the CONTRACTOR as 1099 income.
EQUIPMENT. CONTRACTOR shall supply own facilities and equipment for assignments.
Any charges for supplies or materials will be approved by the person responsible for the
project and billed to the CITY.
TERMINATION. Should either party wish to terminate the agreement prior to completion,
the party shall give the other 15 days notice, in writing.
OWNERSHIP RIGHTS. All writing and artwork, electronic or printed, produced by the
CONTRACTOR on behalf of the CITY shall become the sole property of the CITY.
NOTICES. For purposes of notice, the addresses of the parties shall be the address as

DISPUTES. This AGREEMENT shall be governed by and construed in accordance with the
laws of the State of Florida. Any legal action necessary arising out of the AGREEMENT will
have its venue in Seminole County, Florida.
