CONSULTANT: Kimley -Horn and Associates, Inc.
Execution of the Work Order by the CITY shall serve as authorization for the
CONSULTANT to provide for the above project, professional services as set out in the
Scope of Services attached as Exhibit "A," to that certain Agreement of Engineering
and Planning Services between the CITY and the CONSULTANT and further
delineated in the specifications, conditions and requirements stated in the following
listed documents which are attached hereto and made a part hereof.

The CONSULTANT shall provide said services pursuant to this Work Order, its
attachments and the above - referenced Agreement, which is incorporated herein by
reference as if it had been set out in its entirety. Whenever the Work Order conflicts
with said Agreement, the Agreement shall prevail.

TIME FOR COMPLETION: The work authorized by this Work Order shall be
commenced upon issuance of a Notice to Proceed by the CITY and shall be completed
by October 31, 2009.
METHOD OF COMPENSATION:
(a) This Work Order is issued on a:

(e) Payment to the CONSULTANT shall be made by the CITY in strict
accordance with the payment terms of the above - referenced Agreement.
(f) It is expressly understood by the CONSULTANT that this Work Order,
until executed by the CITY, does not authorize the performance of any services by the
CONSULTANT and that the CITY, prior to its execution of the Work Order, reserves the
right to authorize a party other than the CONSULTANT to perform the services called
for under this Work Order if it is determined that to do so is in the best interest of the
CITY.

IN WITNESS WHEREOF, the parties hereto have made and executed this Work
Order on the respective dates under each signature: the CITY through its City
Commssion taking action on the 25th day of August, 2008, and the CONSULTANT
signing by and through its duly authorized corporate officer having the full and complete
authority to execute same.

Kimley -Horn and Associates, Inc. ( "KHA" or the "Consultant" or "We ") is
pleased to submit this Scope of Services (the "Scope of Services ") to the
City of Sanford (the "Client ") to provide professional consulting services to
assist with the update of the City's Comprehensive Plan based upon the
recently adopted 2008 Evaluation and Appraisal Report (EAR). The update
will consist of updates to the data and analysis and the goals, objectives,
and policies of each element. In addition, the scope for two new elements,
Community Design and Economic Development, are provided. An
addendum to this agreement will be provided at the time funding is available
for the development of these elements. The following details the scope of
services for the EAR -based amendments.
SCOPE OF SERVICES
The CONSULTANT shall provide the following scope of services for the City
of Sanford's Comprehensive Plan EAR -based amendments, as required by
Florida Statutes.
Task 1: Update Plan Element Data, Inventory, and Analysis Reports
The CONSULTANT will update, as necessary, the individual Data,
Inventory, and Analysis (DIA) Reports for each element for the CITY'S
Comprehensive Plan pursuant to Rule 9J -5 of the Florida Administrative
Code. To the fullest extent possible, the information already prepared for
the EAR will be incorporated into the individual DIA Reports. The Data,
Inventory, and Analysis Reports for the following elements will be updated:

9. General Monitoring and Evaluation Criteria

As part of the DIA updates, the CONSULTANT will update the map series
for each element and update the following:
• Population projections
• Demographic data
• Facility information
The CONSULTANT will prepare draft Data, Inventory, and Analysis Reports
for all plan elements referenced above and submit these documents to
CITY staff for review and comment. One round of revisions will be made to
the draft DIA reports based upon staff review.
Deliverable: Draft Data, Inventory, and Analysis Reports (6 copies) and 1
electronic copy
Task 2: Update Goals, Objectives and Policies (GOPs)
With the recommended amendments from the EAR and the individual DIA
reports serving as the foundation, the CONSULTANT will update the GOPs
for each of the comprehensive plan elements. Draft GOPs will be
presented to CITY staff for review and comment. One round of revisions
will be made to the draft GOPs based upon staff review.
Deliverable: Draft Goals, Objectives, and Policies (6 copies) and 1
electronic copy
SCHEDULE
We will provide our services as expeditiously as practicable to meet the
mutually agreed upon schedule to assist the City with adoption and
transmittal of the updated Comprehensive Plan to meet its requirement for
adoption by October 2009.
FEE AND BILLING
KHA will perform the Scope of Services in Tasks 1 and 2 for a lump sum fee
of $70,000.00. All permitting, application, and similar project fees will be
paid directly by the Client.

The following is a budget estimate for each of the lump sum fee tasks and is
for information purposes only:
Task 1: Update Plan Element DIA Reports $45,000.00
Task 2: Update Goals, Objectives and Policies $25,000.00
Total $70,000.00

proceed with the services, please issue the appropriate work authorization
under our existing contract. Fees and times stated in this Scope of Services
