( "GRANTOR "), a Florida corporation with a mailing address of PO Box 10809, Daytona Beach, Florida 32120, and the CITY OF SANFORD ( "GRANTEE "), a municipal corporation, with offices at 300 North Park Avenue, Sanford, Florida 32771. WITNESSETH: WHEREAS, the GRANTOR is the owner in fee simple of certain real property located in Seminole County, Florida, being more particularly described in Composite Exhibit "A" pages 1 and 2 attached hereto and by this reference incorporated herein (the "Property "); and WHEREAS, the GRANTEE desires a permanent easement to enter into the Property and install, construct, and maintain a streetscape entrance feature with attendant landscaping and irrigation; and WHEREAS, the GRANTEE hereby undertakes certain commitments and covenants to assure the perpetual and continuing irrigation and maintenance of such improvements; and WHEREAS, the GRANTOR has agreed to grant to the GRANTEE a permanent easement over the Property, subject to the terms and conditions set forth herein. NOW, THEREFORE, for and in consideration of the premises, the payment of Ten and no /100 Dollars ($10.00) in hand paid by the GRANTEE to the GRANTOR, the mutual covenants and agreements herein set forth, and other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby expressly acknowledged by the parties hereto, the parties hereto do hereby covenant and agree as follows: 1. RECITALS. The foregoing recitals are true and correct, form a material part of the consideration relating hereto, and are incorporated herein by reference. 2. STREETSCAPE ENTRANCE FEATURE AND LANDSCAPING EASEMENT AGREEMENT. The GRANTOR hereby creates, grants, and conveys to the GRANTEE, an irrevocable, perpetual Streetscape Entrance Feature and Landscaping Easement Agreement Easement on, upon, over and through the Property, described in Composite Exhibit "A" pages 1 and 2 attached hereto and by this reference Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 2 of 9 incorporated herein. Ingress /egress to /from the Streetscape Entrance Feature and Landscaping Easement Agreement Easement area shall be over the GRANTOR's Property described in Composite Exhibit "A" pages 1 and 2 and is hereby granted to the GRANTEE by the GRANTOR. Notwithstanding the foregoing, the GRANTOR shall maintain the right to grant other easement rights to other parties for the benefit of the property of the GRANTOR provided that the use of such easement rights do not unreasonably interfere with the rights granted herein to the GRANTEE. The GRANTOR, further, reserves unto itself, its successors, transferees and assigns, the right and privilege to use the Property for any purposes not inconsistent with the GRANTEE's use, occupation or enjoyment thereof to include the right to redevelop or modify the existing development located on the GRANTOR's property consistent with applicable land development regulations of the City of Sanford. In the event of such redevelopment, it is understood by the parties and acknowledged by the GRANTEE that the Improvements (as described in Section 3(a)) made by GRANTEE on the Property shall be included and credited towards requirements under the GRANTEE's land development regulations such as open space, landscape and the like as though the improvements were part of GRANTOR's redevelopment. 3. IMPROVEMENTS, USE AND REPAIR. (a) This Easement includes the GRANTOR granting to the GRANTEE the right to enter and re -enter onto the Property described in Exhibit "A ", and install, construct, and maintain a permanent easement to enter into the Property and install, construct, and maintain a streetscape entrance feature with attendant landscaping and Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 3 of 9 irrigation landscaping and irrigation as the GRANTEE deems necessary or desirable to accommodate the purpose of this Easement (the "Improvements "). This Easement does not create or convey any rights whatsoever to the general public to use the Property notwithstanding the GRANTEE's rights as set forth herein. (b) All Improvements shall be made at the GRANTEE's sole cost and expense. The GRANTEE shall keep and maintain the Improvements, irrigation and landscaping in good order, repair, operation, and maintenance. The GRANTEE shall not, while installing or maintaining the Improvements, damage or interfere with the GRANTOR's use of the Property in a manner not inconsistent with the rights granted pursuant to this Easement. In the event that GRANTEE fails to maintain the Easement Area as required herein, GRANTOR, after reasonable notice (provided no notice shall be required in emergency circumstances), may take such self -help actions as GRANTOR deems appropriate and GRANTEE, upon receipt of a bill for such maintenance, shall reimburse GRANTOR for the reasonable costs of GRANTOR's maintenance of the Easement Area. The GRANTEE shall also be responsible for any modifications to the Property as may be necessary to accommodate the Improvements, meeting all reasonable specifications of the design architect and engineer of the Improvements. The design and engineering of all Improvements shall be approved by the GRANTOR in writing which approval shall not be unreasonably withheld. (c) It is understood by and between the parties, that the GRANTOR shall not be responsible to the GRANTEE to replace or repair the wall, landscaping, or attendant Improvements within the Easement Area if for any reason said Improvements are Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 4 of 9 damaged or removed including, but not limited to, removal for road construction, relocation, or maintenance. 4. INDEMNIFICATION. By the receipt and recordation of this document, the GRANTEE agrees, to the extent and limits permitted by law (Section 768.28, Florida Statutes), to indemnify the GRANTOR for any negligent acts of the GRANTEE upon the aforesaid lands (the easement area and the abutting lands of the GRANTOR). 5. SUCCESSORS AND ASSIGNS. This Easement shall be irrevocable, shall be appurtenant to the Property herein described and except as otherwise herein set forth, shall run with said Property forever and be binding upon and inure to the benefit of and be enforceable by the legal representatives, successors, transferees, grantees, and assigns of the parties hereto. 6. TERMINATION OR MODIFICATION. This Easement may not be terminated or modified without the prior joinder and consent of the GRANTEE. The GRANTEE may terminate this Easement and remove all Improvements at the GRANTEE's sole discretion and expense after thirty (30) days written notice to the GRANTOR or the GRANTOR's successor and restore the property to its original condition as of the date of this Agreement. 7. COMPLIANCE WITH LAWS. The GRANTEE's improvement and use of the Easement granted herein shall at all times comply with all applicable Federal, State, and local laws, rules, regulations, orders and requirements. 8. NO WAIVER. Any failure to enforce any provision contained in this Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 5 of 9 Easement shall in no way be deemed a waiver of the right to do so thereafter. The invalidity, violation, abandonment or waiver or any one or more of any of the provisions hereof shall not affect or impair the remaining portions of this Easement. 9. NOTICE. Any notice which any party hereto may be required or may desire to give hereunder shall be deemed to have been given if delivered personally or if mailed, postage pre -paid by United States Certified Mail, Return Receipt Requested, or if sent by nationally recognized overnight courier, e.g., Federal Express, to the addresses set forth above, or to such other street address or addresses as the party to be given notice may have furnished in writing to the party seeking or desiring to give notice, as a place for the giving of such notice provided that no change in address shall be effective until ten (10) days after sent or given to the other party in a manner provided for above. Any notice given in accordance with the foregoing, shall be deemed given when delivered personally, or, if mailed, three (3) days after it shall have been deposited in the United States Mail, or two (2) days after it has been deposited with a recognized overnight courier service. 10. PARTIES. The term GRANTOR, as used herein, shall mean and refer to the owner(s) from time -to -time of the GRANTOR's Property. 11. AMENDMENTS AND WAIVERS. This Easement may be not amended, modified, altered, or changed in any respect whatsoever, except by further agreement in writing, duly executed by the parties hereto, or their respective successors or assigns, and recorded in the Public Records of Seminole County, Florida. 12. SEVERABILITY. This Easement is intended to be performed in Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 6 of 9 accordance with, and only to the extent permitted by, all applicable laws, ordinances, rules and regulations. If for any reason and to any extent that any portion shall be invalid or unenforceable, the remainder of this Easement and the application of such provision to other persons or circumstances shall not be affected thereby but rather shall be enforced to the greatest extent permitted by law. 13. SECTION HEADINGS. The section headings as herein used are for convenience or reference only and shall not be deemed to vary the content of this Easement or the covenants, agreements, representatives and warranties herein set forth or limit the provisions or scope of any section herein. 14. RECORDING. The GRANTEE shall record this executed Streetscape Entrance Feature and Landscaping Easement Agreement Easement in the Public Records of Seminole County, Florida and submit to the GRANTOR a copy thereof with the recording of information thereon within fifteen (15) days from the date of this Easement, in recorded form, being returned to the GRANTEE. 15. ENTIRE AGREEMENT. This Easement constitutes the entire agreement between the parties hereto with respect to the transaction contemplated herein, and it supersedes all such prior understandings or agreements between the parties. WITNESSETH: WHEREAS, the GRANTOR is the owner in fee simple of certain real property located in Seminole County, Florida, being more particularly described in Composite Exhibit "A" attached hereto and by this reference incorporated herein (the "Property "); and WHEREAS, the GRANTEE desires a easement to enter into the Property and install, construct, and maintain a streetscape entrance feature with attendant landscaping and irrigation; and WHEREAS, the GRANTEE's construction within the area of the easement, as anticipated as set forth in Exhibits "B" and "C" attached hereto and by this reference incorporated herein will not affect the GRANTOR's ability to operate its service station as it currently functions; and WHEREAS, the GRANTEE hereby undertakes certain commitments and covenants to assure the perpetual and continuing irrigation and maintenance of such improvements; and WHEREAS, the GRANTOR has agreed to grant to the GRANTEE an easement over the Property, subject to the terms and conditions set forth herein. NOW, THEREFORE, for and in consideration of the premises, the payment of Ten and no /100 Dollars ($10.00) in hand paid by the GRANTEE to the GRANTOR, the mutual covenants and agreements herein set forth, and other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby expressly acknowledged by the parties hereto, the parties hereto do hereby covenant and agree as follows: 1. RECITALS. The foregoing recitals are true and correct, form a material part of the consideration relating hereto, and are incorporated herein by reference. 2. STREETSCAPE ENTRANCE FEATURE AND LANDSCAPING EASEMENT AGREEMENT. The GRANTOR hereby creates, grants, and conveys to the GRANTEE, a revocable, Streetscape Entrance Feature and Landscaping Easement Agreement Easement on, upon, over and through the Property, described in Exhibit "A" attached hereto and by this reference incorporated herein. Ingress /egress to /from the Streetscape Entrance Feature and Landscaping Easement Agreement Easement area shall be over the GRANTOR's Property described in Exhibit "A" and is hereby granted Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 2 of 10 to the GRANTEE by the GRANTOR. Notwithstanding the foregoing, the GRANTOR shall maintain the right to grant other easement rights to other parties for the benefit of the property of the GRANTOR regardless of whether the granting of such easement rights interferes with the rights granted herein to the GRANTEE. The GRANTOR, further, reserves unto itself, its successor transferees and assigns, the right and privilege to use the Property for any purposes not inconsistent with the GRANTEE's use, occupation or enjoyment thereof to include, after notice to the GRANTEE, the right to take actions in the nature of "self help" should the GRANTEE fail to maintain the improvements installed within the Easement area as required herein and to further include the right to redevelop or modify the existing development located on the GRANTOR's property consistent with applicable land development regulations of the City of Sanford. 3. IMPROVEMENTS, USE AND REPAIR. (a). This Easement includes the GRANTOR granting to the GRANTEE the right to enter and re -enter onto the Property described in Exhibit "A ", and install, construct, and maintain a easement to enter into the Property and install, construct, and maintain a streetscape entrance feature, as generally depicted in Exhibits "B" and "C ", with attendant landscaping and irrigation landscaping and irrigation as the GRANTEE deems necessary or desirable to accommodate the purpose of this Easement (the "Improvements "). This Easement does not create or convey any rights whatsoever to the general public to use the Property notwithstanding the GRANTEE's rights as set forth herein. Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 3 of 10 (b). All Improvements shall be made at the GRANTEE's sole cost and expense. The GRANTEE shall keep and maintain the Improvements, irrigation and landscaping in good order, repair, operation, and maintenance. The GRANTEE acknowledges that the wall that is to be constructed will not exceed four (4) feet in height. The GRANTEE shall not, while installing or maintaining the improvements, damage or interfere with the GRANTOR's use of the Property in a manner not inconsistent with the rights granted pursuant to this Easement. The GRANTEE shall relocate, at its expense, the existing sign on the Property as depicted on Exhibit "C ". The GRANTEE shall also be responsible for any modifications to the Property as may be necessary to accommodate the Improvements, meeting all reasonable specifications of the design architect and engineer of the improvements. The design and engineering of all Improvements shall be subject to approval by the GRANTOR in writing. (c). It is understood by and between the parties, that the GRANTOR shall NOT be responsible to the GRANTEE to replace or repair the wall, landscaping, or attendance improvements within the Easement Area if for any reason said improvements are damaged or removed including but not limited to removal for road construction, relocation, maintenance or due to replacing or repairing of the underground petroleum storage tanks. (d). The GRANTEE recognizes that the GRANTOR conducts fueling operations on its site by means of gas tankers refueling the underground petroleum tanks located within the GRANTOR's property. The GRANTEE has no objection to such use as currently implemented (i.e., gas tankers, and other convenience store suppliers, Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 4 of 10 backing up on First Street) by the GRANTOR consistent with safeguards ensuring the protection of reasonable traffic circulation and public safety as is currently the case. 4. INDEMNIFICATION. By the receipt and recordation of this document, the GRANTEE agrees, to the extent and limits permitted by law (Section 768.28, Florida Statutes), to indemnify the GRANTOR for any negligent acts of the GRANTEE upon the aforesaid lands (the easement area and the abutting lands of the GRANTOR). As part of this indemnification, the GRANTEE recognizes, and accepts the fact, that there are risks associated with the wall, and improvements, that it will be constructing within the Easement Area in that the GRANTOR will be excavating, from time to time, underground petroleum storage tanks on its property and that, even the use of best and prudent practices for such excavation, may not prevent the collapse of, or damage to, the wall and /or improvements. The GRANTEE accepts such risks and will replace and repair, at its expense, any damage to the wall and /or improvements regardless of the cause of the damage. Additionally, the GRANTEE agrees to pay for any underground sheet metal pilling that may be needed during excavation of the underground petroleum storage tanks located on the GRANTOR's property. The GRANTEE also acknowledges that it will remove, and /or relocate, the wall, and related Improvements, at its expense, if 'the GRANTOR is deemed to be not in compliance, regardless of whether noncompliance is before or after the date of this agreement, with governmental rules, statutes, ordinances, policies, or regulations (including without limitation requirements of Florida Department of Environmental Protection) dealing with operation of a gas /fuel station due to the location of the wall, and related Improvements, Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 5 of 10 or if the easement created hereunder violates any existing easements on the Property. 5. SUCCESSORS AND ASSIGNS. This Easement shall be revocable by GRANTOR, shall be appurtenant to the Property herein described and except as otherwise herein set forth, shall run with said Property forever and be binding upon and inure to the benefit of and be enforceable by the legal representatives, successors, transferees, grantees, and assigns of the parties hereto. 6. TERMINATION. This Easement may be terminated by GRANTOR for GRANTEE's failure to comply with the terms of the easement herein after thirty (30) days written notice to GRANTEE. The GRANTEE may terminate this Easement and remove all Improvements at the GRANTEE's discretion after thirty (30) days written notice to the GRANTOR or the GRANTOR's successor provided GRANTEE restores, at its expense, the property to its original condition as of the date of this Agreement. 7. COMPLIANCE WITH LAWS. The GRANTEE's improvement and use of the Easement granted herein shall at all times comply with all applicable Federal, State, and local laws, rules, regulations, orders and requirements. 8. NO WAIVER. Any failure to enforce any provision contained in this Easement shall in no way be deemed a waiver of the right to do so thereafter. The invalidity, violation, abandonment or waiver or any one or more of any of the provisions hereof shall not affect or impair the remaining portions of this Easement. 9. NOTICE. Any notice which any party hereto may be required or may desire to give hereunder shall be deemed to have been given if delivered personally or if mailed, postage pre -paid by United States Certified Mail, Return Receipt Requested, Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 6 of 10 or if sent by nationally recognized overnight courier, e.g., Federal Express, to the addresses set forth above, or to such other street address or addresses as the party to be given notice may have furnished in writing to the party seeking or desiring to give notice, as a place for the giving of such notice provided that no change in address shall be effective until ten (10) days after sent or given to the other party in a manner provided for above. Any notice given in accordance with the foregoing, shall be deemed given when delivered personally, or, if mailed, three (3) days after it shall have been deposited in the United States Mail, or two (2) days after it has been deposited with a recognized overnight courier service. 10. PARTIES. The term GRANTOR, as used herein, shall mean and refer to the owner(s) from time to time of the GRANTOR's Property. 11. AMENDMENTS AND WAIVERS. This Easement may be not amended, modified, altered, or changed in any respect whatsoever, except by further agreement in writing, duly executed by the parties hereto, or their respective successors or assigns, and recorded in the Public Records of Seminole County, Florida. 12. SEVERABILITY. This Easement is intended to be performed in accordance with, and only to the extent permitted by, all applicable laws, ordinances, rules and regulations. If for any reason and to any extent that any portion shall be invalid or unenforceable, the remainder of this Easement and the application of such provision to other persons or circumstances shall not be affected thereby but rather shall be enforced to the greatest extent permitted by law. 13. SECTION HEADINGS. The section headings as herein used are for Streetscape Entrance Feature and Landscaping Easement Agreement Easement Page 7 of 10 convenience or reference only and shall not be deemed to vary the content of this Easement or the covenants, agreements, representatives and warranties herein set forth or limit the provisions or scope of any section herein. 14. RECORDING. The GRANTEE shall record this executed Streetscape Entrance Feature and Landscaping Easement Agreement Easement in the Public Records of Seminole County, Florida and submit to the GRANTOR a copy thereof with the recording of information thereon within fifteen (15) days from the date of this Easement, in recorded form, being returned to the GRANTEE. 15. ENTIRE AGREEMENT. This Easement constitutes the entire agreement between the parties hereto with respect to the transaction contemplated herein, and it supersedes all such prior understandings or agreements between the parties. 16. ATTORNEY'S FEES AND COSTS. In the event it shall be necessary for either party to bring suit to enforce this Agreement or for damages on account of any breach of this Agreement or of any warranty, condition, requirement or obligation contained herein, the prevailing party shall be entitled to recover all legal costs and reasonable attorney's fees and paralegal fees, both at the trial and appellate level.
