SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF
SANFORD AND MURPHY PIPELINE CONTRACTORS INC.
This Second Amendment (the °Amendment') to the Agreement between the City
of Sanford (the "City ") and Murphy Pipeline Contractors, Inc. ( "Murphy "), dated June 23,
2008 (but actually executed by the City on July 14, 2008), as .amended by an Amendment
styled "Renewal Addendum ", dated June 23, 2009 (but actually executed by the City on
July 9, 2009) (hereinafter referred to collectively as the "Agreement "), is made and entered
into by the City and Murphy.
RECITALS:
Whereas, Murphy and the City entered into the Agreement; and
Whereas, the Agreement provides that amendments to the Agreement may only be
made by formal written amendment to the Agreement; and
Whereas, the Agreement provides for terms in which the Agreement is to be in
effect; and
Whereas, the parties are desirous of amending the Agreement to provide for a more
precisely articulated term.
Now, Therefore, in consideration of the mutual covenants and agreement herein
made and other good and valuable consideration, the receipt and sufficiency of which is
acknowledged, Murphy and the City agree as follows:
Section 1. incorporation Of Recitals.
The above recitals (whereas clauses) are true and correct and are incorporated
herein by reference as if fully set forth herein verbatim.
Section 2. Amendment to Section 11.
Section 11 of the Agreement is amended to read as follows:
"The term of this Agreement shall be for a period of two (2) years commencing on
September 15, 2009; provided, however, that upon termination of this Agreement, work
orders shall continue in effect in accordance with their terms until the work ordered in the
work order is closed out.
Section 3. Effect Of Amendment.
This Amendment shall take effect upon full execution hereof by the City and
Murphy. All other terms and conditions of the Agreement shall apply to the services

provided hereunder and the Agreement and this Amendment shall be read in harmony and
in pari materia. The parties ratify all actions taken to date under the Agreement.
In Witness Whereof, Murphy and the City have caused these presents to be
executed in manner and form sufficient to bind them as of the dates below written.
