Agreement For Immediate Needs Housing Repair Program
This Agreement is made and entered into this 16 day of September, 2013, by
and between Patrick & Jervine Johnson, whose address is 123 Bob Thomas
Circle, Sanford, FL 32771,
hereinafter referred to as the "Owner", and the City of Sanford, a municipal
corporation organized and existing under the laws of the State of Florida, whose
address is 300 North Park Avenue, Sanford, Florida 32771, hereinafter referred
to as "City".
Witnesseth:
Whereas, the City of Sanford is a body incorporate and politically
established under the Florida Constitution and the Laws of Florida, and is
authorized to, among other things, accept and administer grants from State and
Federal authorities to enhance the quality of life in the City; and
Whereas, the City has established a Housing Rehabilitation Program and
utilizing funds from the Department of Housing and Urban Development —
Community Development Block Grant Program (CDBG) to make decent, safe,
and sanitary housing available to citizens of the City of low and moderate
income; and
Whereas, pursuant to the Immediate Needs Program, the City can
provide a grant up to but not exceeding Fifteen Thousand and no/100ths Dollars
($15,000.00) to qualified homeowners to address a home repair that is a crucial
and immediate need in their own owner—occupied home; and

Whereas, the Owner has submitted an application to the City for financial
assistance using CDBG funds to address a crucial immediate repair need in
OWNER' s principal residence; and
Whereas, the City has evaluated the Owner's application for said financial
assistance and finds that the Owner is income qualified for such assistance and
hereby evidences the City's approval of the application; and
Whereas, the Owner acknowledges that such immediate crucial repair
only includes repairs stated in the scope of work;
Now, Therefore, the parties, in reliance upon the foregoing recitals and in
consideration of the mutual promises and covenants set forth herein, agree as
follows;
Section 1. Recitals. The statements contained in the recitation of facts
set forth above are true and correct and are hereby incorporated in and made
part of this Agreement.
Section 2. Purpose. The purpose of this Agreement is to set forth the
mutual performance obligations and responsibilities of the City and the Owner in
regard to the immediate needs repair to the Owner's principal residence.
Section 3. Owner's Duties And Responsibilities.
(a). The Owner shall be responsible for moving personal possessions
from the areas where work will be completed. The Owner shall also be
responsible for keeping areas accessible so that the contractor can complete the
work.

(b). Before any repair work begins on the property, the Owner shall
participate in a walk-through with a representative from the City, or its agent,
and the contractor to determine.
(1). The scope of work that will be done at the residence,
(2). The contractor's work schedule at the residence,
(3). The specifications,'materials, and methods that will be used in the
home repair, and
(4). The removal of debris and surplus material from the property upon
completion of the work.
(c). The Owner shall provide the contractor with access to the
premises, including the use of power and water as needed to complete the
repairs. Failure to allow the contractor access may result in termination of this
Agreement and require repayment by the Owner of any funds advanced to the
contractor on the Owner's behalf.
(d). The Owner shall cooperate with the City to achieve the goals and
objectives set out in this Agreement.
Section 4. City Duties.
(a). The City's, or its designee's, duties under this Agreement are
limited to selecting the contractor, approving the scope of work to be performed,
providing final approval of the completed work, and rendering direct payment to
the contractor for the agreed upon repair.
(b). The City represents that as of the date of this Agreement it has
available, sufficient CDBG funds to make payment for the repair work in the

actual amount invoiced up to but not exceeding Fifteen Thousand and no/100ths
Dollars ($15,000.00) and that it will maintain on hand such sum to pay for the
agreed upon repair to the Owner's principal residence; Such sum shall be paid
directly to the contractor.
(c). The City shall not be responsible for any cost overruns in excess of
the Fifteen Thousand and no/100ths Dollars ($15,000.00)maximum amount
stated herein or for any work not expressly approved by the City as set forth in
Exhibit A hereto.
(d). The City shall reasonably cooperate with the Owner to achieve the
goals and objectives set forth in Exhibit A hereto.
Section 5. The Property. Repairs funded hereunder may only be
performed on the Owner's occupied, primary residence, which shall also be the
Owner's declared homestead (the "Owner's Property"). Commercial, rental, or
other types of investment real property are not eligible for assistance under this
Agreement. Accordingly, the address and parcel identification number of the
Owner's Property benefiting from the financial assistance under this Agreement
are as follows:

The Owner hereby represents to the City that the aforesaid Owner's Property is now and is
intended to remain as his/her/their primary residence and declared homestead.
Section 6. Right To Enter And Inspect. The City reserves, and is hereby
granted by the Owner, the right to enter or visit the Owner's Property at any

reasonable time to inspect and verify the contractor's performance of the
services funded under this Agreement. Denials of entry and inspection rights
shall be a breach of this Agreement and, at the sole determination of the City,
could serve to disqualify the Owner from obtaining any funding assistance
hereunder.
Section 7. Term. The term of this Agreement shall commence upon
execution of this Agreement by the parties and shall terminate ninety (90) days
thereafter.
Section 8. Owners Indemnification And Release.
(a). The Owner and occupants, individually and collectively, do hereby
release and discharge the City, its agents, officers and employees from any and
all claims, demands, grievances, and causes of action of every kind whatsoever
including, but not by way of limitation, all liability for property damages and
personal injury of every kind, nature or description arising or which may arise
hereafter from the CDBG funded home repair being performed on the Owner's
Property.
(b). The Owner and occupants further agree to indemnify and hold
harmless the City, its agents, officers and employees from any and all claims,
demands, defalcation, dishonesty, and causes of action of every kind and nature
by third parties for damages to persons or property, cost, charges and expenses,
including attorney's, fees which may arise out of, by reason of, or in any manner
grow out of the repair that is the subject of this Agreement, fraud, defalcation,
dishonesty, the activities of the contractor or its subcontractors as well as the

Owner's and occupant's own use or misuse of the Owner's Property irrespective
of intent or negligence whether actual, imputed or claimed.
(c). This Section shall survive expiration of this Agreement.
Section 9. Termination.
(a). The City may terminate this Agreement, at its sole discretion, if it
determines that continued compliance with the terms hereof is no longer in the
best interest of the City. In such circumstances, the City shall give the Owner at
least fifteen (15) days notice of such intent to terminate. The notice shall be
effective when placed in the United States mail, postage prepaid, by registered or
certified mail, return receipt requested to the address set forth in Section herein.
(b). The Owner shall be liable for recapture of funds spent by the City
on the Owner's Property on behalf of any representation made by the Owner in
the Agreement or applications for funding shall at any time be false or misleading
in any respect, or if the Owner is found in non-compliance with laws, rules, or
regulations governing the use of the funds provided pursuant to this Agreement.
(c). This Agreement may be terminated by the written mutual consent
of both parties.
Section 10. Records. All contracts, correspondence, memoranda, and
other documents accumulated, acquired, prepared, or received by the parties
hereto created by this Agreement shall be maintained as public records to the
extent required by law. This section shall survive termination or expiration of this
Agreement.

Section 11. No Third Parties Beneficiaries. This Agreement shall inure
the benefit of the parties to this Agreement and is for the exclusive benefit of said
parties. This Agreement shall not be deemed to be made for the benefit of any
other entity or person not so specified, including specifically but not limited to the
selected contractor.
Section 12. Compliance With Federal, State County And Local Laws.
The parties shall comply with all Federal, State, County and local laws,
regulations, ordinances, and health and safety rules and regulations at all times.
Section 13. Governing Law And Venue. This Agreement is to be
constructed in accordance with the laws of the State of Florida. Venue for any
cause of action or claim asserted by either party hereto brought in State courts
shall be in Seminole County, Florida. Venue for any action brought in Federal
court shall be in the Middle District of Florida, Orlando Division, unless a division
shall be created in Seminole County in which case action shall be brought in that
division.
Section 14. Amendments. This Agreement may be altered, amended,
extended, modified or revised only by a written instrument subsequently
executed by the parties to this Agreement.
Section 15. Entire Agreement. This Agreement constitutes the complete,
full, and wholly independent agreement among the parties to this Agreement also
supersedes all prior representation, statements, and understandings among the
parties to this Agreement with respect to the matters and things addressed
herein, either written or oral.

Section 16. Severability. Should any section or part of any section of this
Agreement be rendered void, invalid, or unenforceable by any court of law, for
any reason, such a determination shall not render void, invalid, or unenforceable
any other section or any part of any section of this Agreement.
Section 17. Notifications.
(a). All notices, request, demands, or other written communication
hereunder shall be in writing and shall be deemed to have been served as of the
delivery date appearing upon the return receipt if sent by certified mail, postage
prepaid, with return receipt requested at the address listed below, or upon the
actual date of delivery, if hand delivered, to the address below. Either party may
change the below listed address at which it receives written notices by so
notifying the other party hereto in writing.

(b). The parties shall give the other party prompt notice of any material
event or claim coming to its knowledge which directly or indirectly affects the
other party.

Section 18. Waiver. No act or omission or commission of either party,
including without limitation, any failure to exercise any right, remedy, or recourse
shall be deemed to be a waiver, release, or modification of the same. Such a
waiver, release, or modification is to be effected only through a written
modification to this Agreement.
Section 19. Funding. The sole source of the City funding for this
Agreement shall be from the CDBG funds described herein as determined by the
City. Notwithstanding any inference in this Agreement to the contrary, the City
shall not be obligated to pay for the repair work on behalf of the Owner as result
of any act of the executive, legislative, or judicial branches of the State or Federal
governments that results in the loss of the City's CDBG funding or in the express
loss or prohibition of the City's authorization to uses such funds for services
through no fault of the City.
Section 20. Headings. The paragraph headings are inserted herein for
convenience and reference only, and in no way define, limit or otherwise the
scope or intent of any provisions hereof.
Section 21. Counterparts. This Agreement may be executed in one or
more counterpart, each of which may be executed by less than all of the parties
to this Agreement, but all of which shall be construed together as a single
instrument.
Section 22. Assignment. This Agreement may not be assigned by either
party without the consent of the other, which consent shall be at the sole
discretion of the party whose consent is required.

Section 23. Exhibits. Exhibits to this Agreement shall be deemed to be
incorporated into this Agreement as if fully set forth verbatim into the body of this
Agreement.

HOMEOWNER/CONTRACTOR AGREEMENT 123 BOB THOMAS
1. HOLD HARMLESS. Contractor shall agree to defend, indemnify, and hold harmless the
Owner and the City of Sanford from liability and claim for damages because of bodily injury,
death,property damage, sickness, disease or less and expense arising from Contractor's
Performance under this agreement to install or construct housing rehabilitation to be paid for
out of the proceeds of the Owner's rehabilitation loan. Contractor is acting in the capacity of
an independent Contractor with respect to the Owner.
2. LIEN WAIVERS. Contractor agrees to protect, defend, and indemnify Owner from any
claims for unpaid work Labor, or materials with respect to Contractor's Performance. Final
payment shall not be due until the Contractor has delivered to the Owner complete release of
all liens for work completed arising out of Contractor's Performance or a receipt in full
covering all labor and materials for which a lien could be filed or a bond satisfactory to the
Owner indemnifying him against any lien.
3. CONTRACT AMOUNT AND PAYMENT SCHEDULE. Payments will be scheduled as
follows, subject to the Owner's acceptance of work done:
Upon Execution of Agreement: $4,152.25 (Not to exceed 1/3)
50% Completion of Work: $ 4,15t25
100 % Completion of Work: $4,152.25
Project Completion Date: October 11, 2013
4. TIME FOR PERFORMANCE. Owner shall provide written authorization to Contractor to
commence work. Contractor agrees to start work within seven calendar
days after receipt of a written Notice to Proceed. If Contractor fails to commence work
within thirty (30) days of the date of the Owner's notification to commence, Owner shall
have the right to terminate this Agreement. Such notice of termination shall be in writing.
Contractor agrees to complete work on or before October 11, 2013
(date) (not to exceed 21 days from the date work
commences). If completion is delayed for reasons beyond the Contractor's control,
Contractor shall provide timely notice to the Owner of the reasons for such delay. If such
good cause is claimed by the Contractor, it shall be Contractor's obligation to substantiate its
claim by adequate documentation.
In the event Contractor shall fail to complete work within the agreed upon period and fails to
provide evidence of good cause for such delay, Owner shall have the right to declare
Contractor in default. In such event, Owner shall be responsible for providing written notice
to Contractor by registered mail of such default. If Contractor fails to remedy such default
within fifteen(15) calendar days of such notice, Owner shall have the right to select a
substitute Contractor. If the expense of finishing the work exceeds the unpaid balance on this
Contract, the Contractor shall pay the difference to the Owner.

5. CHANGE ORDERS. Owner and Contractor expressly agree that no material changes or
alterations in the description of work or price provided above shall be made unless in writing
and mutually agreed to by both parties and authorized by the (City/State/County).
6. PERMITS AND CODES. Contractor agrees to secure and pay for all necessary permits and
licenses required for Contractor's Performance and to adhere to applicable local codes and
requirements whether or not covered by the specifications and drawings for the work,
including any Contractor registration requirements.
7. WARRANTY. For good and valuable consideration, Contractor hereby agrees to provide a
full one-year warranty to the Owner, which shall extend to subsequent owners of the property
to be improved. The warranty shall provide that improvements hardware and fixtures of
whatever kind or nature installed or constructed on said property by the Contractor are of
good quality and free from defects in workmanship or materials or deficiencies subject to the
warranty contained in this paragraph provided. Contractor and Owner agree, however,that
the warranty set forth in this paragraph shall apply only to such deficiencies and defects as to
which Owner or subsequent owners shall have given written notice to the Contractor, as its
principal place of business, within one (1) year from the date of Contractor's request for final
payment, stating that all work under contract has been completed.
8. SCOPE OF WORK. Contractor acknowledges that it has prepared the Contractor's
Proposal and that such proposal is accurate and consistent as to the name of Contractor,
scope of work that the Contractor will undertake, and price. Contractor acknowledges the
performance requirement established in the write up and warrants that all work undertaken
will conform to said specifications.
9. REMOVAL OF DEBRIS. Upon completion of work Contractor agrees to remove all
construction debris and surplus material from the property and leave the property in a neat
and broom clear condition.
10. SUBCONTRACTORS. Contractor agrees that all the warranties contained herein shall
apply to all work performed under the Contract, including that performed by any
Subcontractors.
11. RESOLUTION OF DISPUTES. All claims or disputes between the Owners and
Contractor arising out of or related to the work shall be decided by arbitration in accordance
with the construction industry arbitration rules of the American Arbitration Association then
obtaining, unless the parties mutually agree otherwise. The Owner and Contractor shall
submit all disputes or claims, regardless of the extent of the work's progress, to the American
Arbitration Association/Better Business Bureau unless the parties mutually agree otherwise.
Notice of the demand for arbitration shall be filed in writing with the other party to this
Agreement, and shall be made within a reasonable time after the dispute has arisen. The
award rendered by the arbitration shall be final, and judgment may be entered upon it in
accordance with applicable law in any court having jurisdiction thereof. If the arbitrator's
award is in a sum which is less than that which was offered in settlement by the Contractor,
the arbitrator may award costs and attorney's fees in favor of the Contractor. If the award of
the arbitrator is in a sum greater than that which was offered in settlement by the Owner, the
arbitrator may award costs and attorney's fees in favor of the Owner.
12. PROHIBITION OF KICKBACKS. The Contractor nor any of its officers, partners,
owners, agents, representatives, employees, or parties in interest has in any way colluded,

conspired, connived or agreed, directly or indirectly with any other Bidder, firm, or person to
submit a collusive or sham Bid in connection with the Contractor for which the attached Bid
has been submitted or to refrain from bidding in connection with such Contract, or has in any
manner, directly or indirectly, sought by agreement or collusion or communication or
conference with any other Bidder, firm, or person to fix any overhead,profit, or cost element
of the Bid price or the Bid price of any other Bidder, or to secure through any collusion,
conspiracy, connivance, or unlawful agreement, any advantage against the City of Sanford or
any person interested in the proposed Contract; and
The price or prices quoted are fair and proper and are not tainted by any collusion,
conspiracy, connivance or unlawful agreement on the part of the Bidder or any of its agents,
representatives, owners, employees, or parties in interest, including this affiant.
13. INTEREST OF MEMBERS, OFFICERS,EMPLOYEES OF PUBLIC BODY
MEMBERS OF LOCAL GOVERNING BODY, OR OTHER PUBLIC OFFICIALS.
No member, officer, or employee of the Public Body, or its designees or agents, no member
of the governing body of the locality in which the program is situated, and no other public
official of such locality or localities who exercises any functions or responsibilities with
respect to the program during his tenure or for one (1) year thereafter, shall have any interest,
direct or indirect, in any contract or subcontract, or the proceeds thereof, for work to be
performed in connection with the program assisted under the Agreement.
14. PROHIBITION OF BONUS OR COMMISSION. The assistance provided under this
Agreement shall not be used in payment of any bonus or commission for the purpose of
obtaining city approval of the application for such assistance.
15. ACKNOWLEDGMENT. The above warranties are in addition to, and not in limitation of,
any and all other rights and remedies to which the Owner, or subsequent owners, may be
entitled, at law or in equity, and shall survive the conveyance of title, delivery of possession
of the property, or other final settlement made by the Owner and shall be biding on the
undersigned notwithstanding any provision to the contrary contained in any instrument
heretofore, and thereafter executed by the Owner.
