Groot, Esquire Stenstrom, Mcintosh, Colbert, Whigham & Partlow, PA 1001 Heathrow Park Lane, Suite 4001 Lake Mary, Florida 32746 CITY OF SANFORD TO FDOT (US 17/92) TEMPORARY CONSTRUCTION EASEMENT AGREEMENT TH!~... l.EMPORARY CONSTRUCTION EASEMENT AGREEMENT is entered into this~ day of September, 2009, between the FLORIDA DEPARTMENT OF TRANSPORATION, a State agency of the State of Florida existing under the laws of the State of Florida, whose address is 719 South Woodland Boulevard DeLand, Florida 32720, hereinafter referred to as the GRANTEE, and the CITY OF SANFORD, a municipality of the State of Florida, whose address is 300 North Park Avenue, Sanford, Florida 32771, hereinafter referred to as the GRANTOR. WIT N E SSE T H: FOR AND IN CONSIDERATION of ONE AND NO/100 DOLLAR ($1.00) and other good and valuable consideration, receipt of which is hereby acknowledged, GRANTOR, does hereby give, grant, bargain and release to the GRANTEE, a temporary easement to enter upon the following lands of the GRANTOR, said real property being described as follows: TAX PARCEL TAX IDENTIFICATION NUMBER: 25-19-30-300-0180-0000 (See attached printout). FOR THE PURPOSE of allowing the GRANTEE to store materials necessary to construct road improvements to United States Highway 17/92 together with necessary appurtenant facilities on the said real property and to access the said property and to conduct any and all acts and works as aforesaid. THE GRANTOR hereby warrants that it has good and marketable title and authority to grant the rights to the GRANTEE as set forth herein. THIS EASEMENT shall expire upon the completion of the construction of the said project as evidenced by an affidavit executed by either the GRANTOR's City Engineer or the GRANTOR's Public Works Director said affidavit being delivered to the GRANTOR upon execution, or upon nine (9) months from the date of the execution of this Easement by the GRANTOR; provided, however, that the GRANTOR may provide the GRANTEE with forty-five (45) days advance notice and terminate this Easement in the event that the GRANTOR finds it necessary or desirable to terminate this Easement in the event that the GRANTOR requires the use of the subject property for economic development activities that are planned for the subject property; provided, however, that 1lPage . the GRANTOR, in the event of an emergency circumstance in which the exigencies facing the GRANTOR relate to responding to hurricane forces, flooding, adverse weather conditions, or a similar matter necessitate that the GRANTOR utilize the subject property, the GRANTOR shall have the right to terminate the easement rights of the GRANTEE, either in whole or in part and either permanently or temporarily, and to use or co-use the subject property as the GRANTOR deems desirable. BY ACCEPTANCE AND USE of the easement rights granted herein the GRANTEE agrees to accept, to the fullest extent permitted by law, responsibility for its acts of negligence and, further, agrees to reasonably return the subject property to the condition that it existed in prior to the use of the said property by the GRANTEE and, moreover, shall indemnify and hold harmless the GRANTOR from and against any and all damages and liability relative to the GRANTEE's use of the subject property in any negligent or wrongful manner; provided, further, however, that the GRANTEE, without limiting the generality of any provision herein expressed, covenants and agrees not to cause or allow any environmental contamination, as that term is used in its broadest context, on the subject property and, in the event that any such contamination occurs, the GRANTEE hereby covenants and agrees to remediate and decontaminate the subject property. The GRANTEE shall ensure that all contractors and agents of the GRANTEE are subject to contractual provisions which provide for full enforcement of the provisions of this paragraph of this document and that the insurance, warranties, covenants and conditions to which such contractors and agents are subject adequately protect the interests of the GRANTOR as herein stated. BY THE ACCEPTANCE OF THIS EASEMENT and the use of the rights herein granted, the GRANTEE agrees fully to the terms and condition of this document.
