Please consider this letter as a follow-up to our conversation and an open proposal
offered for your review and consideration regarding the lease of police motorcycles.
The City of Sanford Police Department could piggyback off the current City of Sunrise
Lease agreement dated April 16,2014, using a lease agreement between the City of
Sanford Police Department and Daytona Harley-Davidson.
Daytona Harley-Davidson is prepared to lease to the Sanford Police Department, 2015
FLHP Road King police motorcycles,two-tone black and white,on a two year unlimited
mileage lease, for$400.00 per month per motorcycle.
1. The following new police emergency equipment could be installed.
• Windshield lights - Windshield mounted light array mounted on the
inside of the windshield with three red and two blue LED lights.
• Fork lights - Fork mounted bracket on each side of the front forks with
two new style LINZ6 red/blue LED lights(Two mounted on each side)
with chrome flanges.
• Front lights-Two new style round 4"extended dual red/blue LED light
with white running light.
• Fog Light bracket-Two brackets mounted between the front warning
lights and turn signals on a 45 degree angle containing one new style
LINZ6 red/blue split LED light.

could be transferred to the new bike for$1000.00 per motorcycle.
The only additional charge would be the cost of tag,title and registration fees.

Exhibit"B" City of Sunrise Contract
MOTORCYCLE LEASE AGREEMENT
This Motorcycle Lease Agreement(the"Lease") is made this 16th day of April
2014 by and between Daytona Harley-Davidson. 1637 North US Highway 1, Ormond
Beach. FL 32174 ("Dealer" or"Lessor") and The City of Sunrise,(the "Department"or
"Lessee"). whose address is 10770 West Oakland Park Blvd., Sunrise, Fl. 33 351 for the
lease of police motorcycles (hereinafter referred to as the vehicles")as described in
Exhibit "A"attached hereto, for use by the Department's authorized employees in the
performance of police-related or law-enforcement duties. The terms and conditions of the
Lease are as follows:
1. Term: The term of this Lease shall be twenty-four(24) months
commencing on June 1, 2014 and ending on May 31, 2016. Lessee shall have the right to
extend the term of this Lease upon mutual agreement between Lessor and Lessee. In the
event Lessee elects to exercise its option to renew the terms of this Lease. then Lessee
shall provide Lessor with written notice of its election within one hundred twenty days
prior to the expiration of this lease.
2. Payment: Lessee shall make monthly lease payments to Lessor in the
amount of$400.00 for each vehicle commencing on June 1. 2014.
3. Miscellaneous Fees: Lessee agrees to pay for all fees in connection with
the certificate of'title, registration. and license fees. Lessor agrees to waive all charges
with respect to freight and dealer prep of the vehicles.
4. Maintenance,Repairs and Operating Expenses: Lessee agrees to
service the vehicles according to the manufacturer's recommendations as outlined in the
owner's manual for the vehicles and as requested by the manufacturer in any recall
campaign. Lessee's use or repair of the vehicles must not invalidate any warranty.
5. Use and Subleasing: Lessee agrees that the vehicles(a)will be operated
only by authorized licensed drivers employed by Lessee as law-enforcement officers; (b)
will be kept free of all tines. liens and encumbrances; (c)will not be used illegally,
improperly. for hire. or contrary to the manufacturer's recommendations; and (d) will not
be altered, marked or have equipment installed on them without Lessor's consent.
6. Insurance: Without waiving the right to sovereign immunity as provided
by Florida Statute. Chapter 768.28, the Lessee acknowledges to be self-insured for
General Liability and Automobile Liability under Florida's sovereign immunity statue
with monetary waiver limits of$100.000 Per Person and$200,000 Per Occurrence; or
such monetary waiver limits that may change and be set forth by the legislature. The
Lessee acknowledges being self insured for Worker's Compensation & Employer's
Liability insurance in accordance with Florida Statute. Chapter 440.
The Lessee acknowledges being self insured for physical damage in
accordance with the Lessee's Risk Management Program. Lessee agrees to be fully
responsible for any deductible or self-insured retention to the extent the damages were
not caused by nor contributed by Lessor. The Lessee acknowledges the Lessor as a Loss
Payee to the extent of the financial interest in the physical damage of the motorcycle. In
the event of a total loss or destruction of the motorcycle, Lessee's maximum exposure
shall be the actual cash value of the motorcycle. Lessor agrees to provide Lessee with all
relevant documentation regarding the motorcycle's original cost new.
The Lessee's Automobile liability and physical damage insurance shall be
primary as respects to any coverage afforded to or maintained by Lessor. Unless
otherwise noted. no self-insurance provided above shall be for the benefit of the Lessor,
nor does the Lessee intend to extend liability under sovereign immunity to the Lessor.
The Lessee agrees to provide a Certificate of Insurance evidencing self-
insurance and/or sovereign immunity status, which Lessor agrees to recognize as
acceptable for the foregoing coverages.
7. Notice of Accidents and Cooperation: Lessee agrees to cooperate fully
with Lessor and any insurance company in the investigation and defense of any and all
claims arising from their possession and use of the vehicles. Lessee will make a
complete report to Lessor within 48 hours after any accident,theft or loss involving the
vehicles.
8. Limitation of Liability: Lessor shall not be liable for any indirect or
consequential damages or inconvenience (except for those relating to personal injury)
which may result to Lessor from any damages W. or defect in,the vehicles for the time
needed to repair or service the vehicles. Monthly lease payments shall continue and not
be reduced or delayed during this time. Lessor makes no express warranties covering the
vehicles. In particular, Lessor makes no express warranties of vehicle condition,
merchantability, durability or fitness for a particular purpose of use covering the vehicles,
and Lessor expressly disclaims any such express warranties.

9. Return of the Vehicles: At the end of the Lease,the Department must
return the vehicles to Lessor in good condition. without damage, excessive wear or use
and with all the original equipment installed by the manufacturer.
• Lessor will not be responsible for accident or training damage
• 'bank. fenders, and saddlebags will be free of dents
• Tires shall have minimum of 4/32 tread depth
• Chrome edges of floor boards shall not be completely worn down
• Clutch and brake levers shall not be bent
• Windshields shall he free of scratches and distortion
• Service must be up to date as per factory recommendations
10. Governing Law: This agreement shall be governed by the laws of the
State of Florida. Should the parties be involved in legal action against each other arising
under,or connected to this agreement, each party will be responsible for their own
attorney's fees and costs. The venue for any litigation will be Broward County. Florida.
Both parties hereby agree to waive a jury trial and will proceed to a trial by,judge if
necessary.

Motorcycle Leasing Agreement (with Rossmeyer Daytona
Motorcycles, Inc.) Piggyback Contract (City of Sunrise)
The City of Sanford ("City") enters this "Piggyback" Contract with Rossmeyer
Daytona Motorcycles, Inc., a Florida corporation which is authorized to do business in
and is doing business in the State of Florida, DBA as Daytona Harley-Davidson
(hereinafter referred to as the "Vendor"), under the terms and conditions hereinafter
provided. The City and the Vendor agree as follows:
A. The Purchasing Policy for the City of Sanford allows for "piggybacking"
contracts. Pursuant to this procedure, the City is allowed to piggyback an existing
government contract, and there is no need to obtain formal or informal quotations,
proposals or bids. The parties agree that the Vendor has entered a contract with the
City of Sunrise, Florida, said contract being identified as the "Motorcycle Lease
Agreement" relating to the lease of leased vehicles as described in Exhibit "A"; said
original contract being referred to as the "original government contract" and being
attached hereto as Exhibit "B".
B. The original government contract is incorporated herein by reference
and is attached as Exhibit "B" to this contract. All of the terms and conditions set out
in the original government contract are fully binding on the parties and said terms
and conditions are incorporated herein.
C. Notwithstanding the requirement that the original government contract
is fully binding on the parties, the parties have agreed to modify certain technical
provisions of the original government contract as applied to this Contract between
the Vendor and the City, as follows:

(1). Time Period ("Term") of this Contract: October 1, 2014 through September 30,
2016 with right to renew with written notice within 90 days prior to the end of the
term of this Contract.
(2). Insurance Requirements of this Contract: The City has insurance through the
Florida League of Cities and will provide proof of insurance and extent of insurance
upon request by the Vendor. Upon request by the Vendor, the City will fulfill the
insurance requirements of the original government contract.
(3). Any other provisions of the original government contract that will be modified:
(a). The terms set forth in the letter, dated August 19, 2014, from Mr. Barry T.
Kuhnly to Deputy Chief of Police Darren L. Scott, are hereby adopted and
incorporated into this Contract and the letter is attached as Exhibit "C" to this
Contract.
(b). The leased vehicles shall, at no additional cost to the City, be covered by the
2015 Harley-Davidson Motor Company's two (2) year unlimited mileage warranty
and any factory authorized Harley-Davidson dealership shall make any and all
repairs or replacement of parts in accordance with the terms and conditions of such
warranty.
(c). The City shall make monthly lease payments to the Vendor in the monthly
rental sum of $400.00 for each vehicle commencing on October 1, 2014, but, in the
event of budgetary constraints of the City, the Vendor shall make alternative, lump
sum payment, arrangements with the City as mutually agreed upon. Details, if any,
of such plan are set forth in the attached as Exhibit "D to this Contract.

(d). The Vendor shall not charge the City for any dealer preparation or freight
charges relative to the leased vehicles.
(e). The City shall pay all fees and charges relating to title of the leased vehicles,
registration and licensing.
(f). Address change for the City: Notwithstanding the address and contact
information for the government entity as set out in the original government contract,
the Vendor agrees that he/she/it shall send notices, invoices and shall conduct all
business with the City to the attention of City Manager, at: City of Sanford, 300
North Park Avenue; Sanford, Florida 32771. The City Manager's designated
representative for this Contract is Deputy Chief of Police Darren L. Scott, Sanford
Police Department, City of Sanford, 815 Historic Goldsboro Boulevard, Sanford,
Florida 32771, telephone number (407-688-5070) and whose e-mail address is:
DARREN.SCOTTASanfordfl.gov. The Vendor's contact person shall be Barry
Kuhnly, Manager, Police and Fleet Sales, Rossmeyer Daytona Motorcycles, Inc.,
1637 North Highway 1, Ormond Beach, Florida 32174, telephone number 954-257-
2073 and whose e-mail address is bkuhnlyCa7brhd.com.
(g). Notwithstanding anything in the original government contract to the contrary,
the venue of any dispute will be in Seminole County, Florida. Litigation between the
parties arising out of this Contract shall be in Seminole County, Florida in the Court
of appropriate jurisdiction. The law of Florida shall control any dispute between the
parties arising out of or related to this Contract, the performance thereof or any
products or services delivered pursuant to such Contract.

(h). Notwithstanding any other provision in the original government contract to the
contrary, there shall be no arbitration with respect to any dispute between the
parties arising out of this Contract. Dispute resolution shall be through voluntary and
non-binding mediation, negotiation or litigation in the court of appropriate jurisdiction
in Seminole County, Florida, with the parties bearing the costs of their own legal
fees with respect to any dispute resolution, including litigation.
(i). All the services to be provided or performed shall be in conformance with
commonly accepted industry and professional codes and standards, standards of the
City, and the laws of any Federal, State, or local regulatory authority.
(4). All other provisions in the original government contract are fully binding on the
parties and will represent the agreement between the City and the Vendor.

SYNOPSIS:
The Police Department requests authorization to trade-in five 2011 Kawasaki Motorcycles, lease
seven motorcycles and use the resulting savings to purchase additional equipment in support of our
Motorcycle Officers.
FISCAL/STAFFING STATEMENT:
The Police Department's proposed FY-2015 budget includes $143,803 of Capital Funding for the
purchase of Police motorcycles. Based on a comparison analysis (attachment 1), it has been
determined that a significant long term savings will be realized by leasing rather than purchasing
motorcycles. The total cost to lease seven 2015 Harley Davidson motorcycles is approximately
$88,000. This includes $48,300 to outfit the motorcycles with police equipment, plus 24 months of
lease payments totaling $67,200, minus the trade-in value of $27,500 for five currently owned
Kawasaki motorcycles. The cost to renew at the conclusion of the two year lease will be $1,000
per motorcycle to fund the transfer of the police equipment from the old to the new motorcycles. A
lease contract would be processed piggybacking the City of Sunrise, FL Harley Davidson
Motorcycle lease contract. We are requesting that the FY-2015 savings be used to purchase the
additional motorcycle equipment described in attachment (2).
BACKGROUND:
There are a growing number of law enforcement agencies across the state that are achieving
significant cost savings replacing their Police motorcycles using a lease contract rather than
purchasing them.
LEGAL REVIEW:
A full review by the City Attorney of the proposed lease documents and contract has been
completed.
RECOMMENDATION:
It is staff's recommendation that the City Commission authorize the Police Department to trade-in
five 2011 Kawasaki Police motorcycles, lease seven 2015 Harley Davidson motorcycles
piggybacking t he Su nri se, FL Harley Davidson motorcycle lease contract,
and use the resulting
savings to purchase additional equipment in support of the Motorcycle Unit as described in
