Andrew Thomas 6/23/2016 From Date \\SVCH-Omnicast\USERS\mcrayn\Templates\City Clerk Transmittal Merno.doc CITY OF SANFORD NUNC PRO TUNC EXTENSION AND AMENDMENTICDBG SUMMER YOUTH PROGRAM SUBLEASE AGREEMENT This Extension Of Sublease Agreement (Extension and Amendment) is entered into as of, and nunc pro turic to, October 1, 2015, notwithstanding the date of execution by the parties, between the City of Sanford, a Florida municipal corporation, whose address is 300 North Park Avenue Sanford, Florida 32771, (City), and Expressly You School of the Arts, Inc. (Tenant). WITNESSETH: The parties entered into that certain Sublease Agreement attached hereto which expired on September 30, 2015 The parties have determined that it is mutually beneficial to renew the Sublease Agreement, nunc pro tunc to October 1, 2015, for a term terminating on December 31, 2016 unless terminated in accordance with the provisions of the Sublease Agreement or by the City immediately at any time without cause or with cause in the sole and absolute discretion of the City with the City providing 3 days' notice to the Tenant. Further, the Tenant shall use and occupy the Premises only for lawful activities relating to a summer and after school youth programs. Tenant shall not use the Premises in a disreputable, hazardous or unlawful manner, or in any manner that would constitute a public or private nuisance, or have an adverse effect or impact upon the City, or reflect unfavorably upon the City. The Tenant shall provide all of its own office equipment, furniture and furnishings and shall insure such property, as it deems desirable, but, in no event shall make a claim against the City for any losses or allow, or permit or cooperate in the making of any such claim. The Tenant shall not perform any acts on the Premises that would generate noxious odors or annoying noises or cause environmental damage, degradation or liability. The term "environmental" is used in its broadest possible meaning and context. The Tenant shall keep the Premises clean and presentable as, well as incompliance with all laws, rules, regulations, codes and ordinances. Tenant shall maintain the Premises in good condition and shall be responsible for any and all damages caused by its guests or invitees and their actions and omissions. The City hereby reserves and retains the right to use the Premises for its purposes such as, but not limited to, the installation of lines, pumps, connections, stations and any and all similar or associated facilities such as, by way of example and not limitation, water, sewer, rights-of-way, electrical, cable ,telephone and internet. The Tenant accepts the Premises "as is" in every respect. The Tenant shall adhere to all conditions of the Primary Lease. The Tenant shall maintain the Premises in good condition and shall be responsible for any and all damages caused by its guests or invitees and their actions and omissions and shall promptly reimburse the City for any costs or expenses of the City and any damages to the Premises. 11 P a g e As above amended, the parties hereby agree to this Extension and Amendment and ratify and affirm, and shall be bound and subject to, all terms and conditions of the Sublease Agreement except as specifically amended herein.
