THIS MEMORANDUM OF UNDERSTANDING is made and entered into by and
between The University of Central Florida Board of Trustees (hereinafter referred to as
"UCF"), whose principal address is 4000 Central Florida Boulevard, Orlando, Florida,
32816, and the City of Sanford (hereinafter referred to as "the City"), whose principal
address is City Hall, 300 N. Park Avenue, Sanford, Florida, 32771.
WHEREAS, the City wishes to transfer Municipal Court Records to an archives in an
academic institution where they are readily available for research and use.
WHEREAS, UCF accepts the responsibility to permanently house and maintain the
Municipal Court Records, an inventory of which is included in Exhibit "A."
WHEREAS, the parties desire to enter into this Memorandum of Understanding
("MOU") to memorialize their agreement with each other regarding the contents
included in Exhibit 'A" which is attached hereto and incorporated herein by reference.
Now, therefore, in consideration of the conditions hereinafter set forth, the parties agree
as follows:
RESPONSIBILITIES OF THE CITY OF SANFORD
1. Primary Responsibilities: primary responsibility of the City is to secure a
permanent home for the Municipal Court Records where the items -will be properly
managed and maintained, and available for research and use (items listed in Exhibit
"A').
RESPONSIBILITIES OF THE UNIVERSITY OF CENTRAL FLORIDA
1. Primary Responsibilities: UCF agrees to provide secure and environmentally
controlled storage to permanently house the Municipal Court Records included in
Exhibit "A."
2. UCF is responsible to process the records into Special Collections & University
Archives,
3. UCF will follow standard archival practices in processing the records and perform
basic preservation work as needed.
4. Over time, UCF will work to create appropriate finding aids for the records, and
digitize materials as appropriate, making items available electronically.
5. UCF is responsible to maintain the records in original condition, whenever possible.
Such items will be available in Special Collections & University Archives located in
the John C. Hitt Library on the University of Central Florida main campus. The
department is open Monday through Friday, 9:00 a.m. to 4:00 p.m., for a total of 35
hours per week. Affiliation with the University is not required to use departmental
holdings. Patrons mush register and provide photo identification when conducting
research. Professional staff is available to help researchers using collections on-site
as well as to answer basic off-site mail and email reference requests.
THE PARTIES
1. Each party shall hold the other harmless from any and all loss, expense, damage, or
claim for damages to the transferred property, including court costs and attorneys'
fees, which may occur as a result of said party's negligence or wrongful acts, to the
extent and only up to the limits of §768.28, Fla. Stat.
2. Neither party may assign any rights under the MOU, nor delegate the performance
of any duties hereunder, without the prior written consent of the other party.
3. Where notice or contact is herein required to be given or convenient to the
administration of this MOU, said notice shall be sent to the following individuals by
U.S. Mail Certified Return Receipt Requested or by hand delivery with receipt:

IN WITNESS THEREOF, the City and UCF have caused this Memorandum of
Understanding to be executed, said MOU to become effective and operative with the
fixing of the last signature hereto.
