FOR SOLICITATION NUMBER: RFQ 17/18-33 THIS AGREEMENT (hereinafter the "Agreement") is made and entered into this _Z) day of January, 2019, by and between the City of Sanford, Florida, a Florida municipality, (hereinafter referred to as the "CITY'), whose mailing address is 300 North Park Avenue, Sanford, Florida 32771, and CANIN ASSOCIATES, INC., a Florida corporation, (hereinafter referred to as the "CONSULTANT') whose address is 500 Delaney Avenue; Suite 404; C/O Brian C. Canin; Orlando, Florida 32801. The CITY and the CONSULTANT may be collectively referenced herein as the "parties". WITNESSETH: IN CONSIDERATION of the mutual covenants, promises, and representations contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: Section 1. Recitals. The above recitals are true and form a material part of this Agreement upon which the parties have relied. Section 2. Authority. Each party hereto represents to the other that it has undertaken all necessary actions to execute this Agreement, and that it has the legal authority to enter into this Agreement and to undertake all obligations imposed on it. The persons executing this Agreement for each party certify that they are authorized to bind the party fully to the terms of this Agreement. Section 3. Scope of Agreement. This Agreement is for the services as set forth in RFQ 17/18-33 which include the procurement solicitation documents, the responses thereto from the CONSULTANT (all of which are incorporated herein as if fully set forth herein verbatim) and it is recognized that the CONSULTANT shall perform services as otherwise directed by the CITY all of such services to include all labor and materials that may be required including, but in no way limited to, the services provided by subconsultants as may be approved by the CITY within the amount of compensation to be paid to the CONSULTANT. In general, services shall be provided as needed by the City to support of various projects of the CITY, essential services needed by the CITY and to enhance the facilities of the CITY. Section 4. Effective Date and Term of Agreement. This Agreement shall take effect on the date that this Agreement is fully executed by the parties hereto and shall be renewed annually unless the CITY notifies the CONSULTANT 30 days prior to the annual renewal date that it desires to terminate this Agreement; provided, however, that this Agreement shall terminate after 5 years and shall not be renewed beyond that date and the parties shall be subject to any additional procurement activities of the CITY. However, the indemnification provisions and insurance provisions of the standard contractual terms and conditions referenced herein shall not terminate and the protections afforded to the CITY shall continue in effect subsequent to such 1 .['age services being provided by the CONSULTANT. No services have commenced prior to the execution of this Agreement that would entitle the CONSULTANT for any compensation therefor. Section 5. Compensation. The parties agree to compensation as set forth in each purchase order issued by the CITY. Section 6. Standard Contractual Terms and Conditions; Notices. All "Standard Contractual Terms and Conditions", as provided on the City of Sanford's website, apply to this Agreement. Such Terms and Conditions may be found at the City's website (www.SanfordFL.gov) and may be modified by the CITY from time -to - time. The parties shall also be bound by the purchasing policies and procedures of the CITY as well as the controlling provisions of Florida law. The addresses to be used for notices under this Agreement shall be as set forth above. Section 7. The Consultant's Mandatory Compliance with Chapter 119, Florida Statutes, and Public Records Requests. In order to comply with Section 119.0701, Florida Statutes, public records laws, the CONSULTANT must: (a). Keep and maintain public records that ordinarily and necessarily would be required by the CITY in order to perform the service. (b). Provide the public with access to public records on the same terms and conditions that the CITY would provide the records and at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law. (c). Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. (d). Meet all requirements for retaining public records and transfer, at no cost, to the CITY all public records in possession of the CONSULTANT upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the CITY in a format that is compatible with the information technology systems of the CITY. (e). If the CONSULTANT does not comply with a public records request, the CITY shall enforce the contract provisions in accordance with this Agreement. (f). Failure by the CONSULTANT to grant such public access and comply with public records requests shall be grounds for immediate unilateral cancellation of this Agreement by the CITY. The CONSULTANT shall promptly provide the CITY with a copy of any request to inspect or copy public records in possession of the 2 1 P a g c CONSULTANT and shall promptly provide the CITY with a copy of the CONSULTANT's response to each such request. (g). Section 8. Time is of the Essence. Time is hereby declared of the essence as to the lawful performance of all duties and obligations set forth in this Agreement. Section 9. Entire Agreement/Modification. This Agreement, together with all "Standard Contractual Terms and Conditions", as provided on the City of Sanford's website, and including, without limitation, the exhibits hereto, constitutes the entire integrated agreement between the CITY and the CONSULTANT and supersedes and controls over any and all prior agreements, understandings, representations, correspondence and statements whether written or oral in connection therewith and all the terms and provisions contained herein constitute the full and complete agreement between the parties hereto to the date hereof. This Agreement may only be amended, supplemented or modified by a formal written amendment of equal dignity herewith. Section 10. Severability. If any term, provision or condition contained in this Agreement shall, to any extent, be held invalid or unenforceable, the remainder of this Agreement, or the application of such term, provision or condition to persons or circumstances other than those in respect of which it is invalid or unenforceable, shall not be affected thereby, and each term, provision and condition of this Agreement shall be valid and enforceable to the fullest extent permitted by law when consistent with equity and the public interest. Section 11. Waiver. The failure of the CITY to insist in any instance upon the strict performance of any provision of this Agreement, or to exercise any right or privilege granted to the CITY hereunder shall not constitute or be construed as a waiver of any such provision or right and the same shall continue in force. Section 12. Captions. The section headings and captions of this Agreement are for convenience and reference only and in no way define, limit, describe the scope or intent of this Agreement or any part thereof, or in any way affect this Agreement or construe any provision of this Agreement. Section 13. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which, taken together, shall constitute one and the same document. 31 Page Section 14. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the successors in interest, transferees and assigns of the parties. Each party hereto represents to the other that it has undertaken all necessary actions to execute this Agreement, and that it has the legal authority to enter into this Agreement and to undertake all obligations imposed on it. The signatories hereof represent that they have the requisite and legal authority to execute this Agreement and bind the respective parties herein. Section 15. Remedies. The rights and remedies of the parties, provided for under this Agreement, are in addition to any other rights and remedies provided by law or otherwise necessary in the public interest. Section 16. Governing law, Venue and Interpretation. This Agreement is to be governed by the laws of the State of Florida. Venue for any legal proceeding related to this Agreement shall be in the Eighteenth Judicial Circuit Court in and for Seminole County, Florida. This Agreement is the result of bona fide arms length negotiations between the CITY and the CONSULTANT, and all parties have contributed substantially and materially to the preparation of the Agreement. Accordingly, this Agreement shall not be construed or interpreted more strictly against any one party. than against any other party and all provisions shall be applied to fulfill the public interest. We are submitting in the areas of Planning Services and Landscape Design. One of the great strengths of our firm is the ability of our three integrated, design -based studios to work collaboratively to develop creative, holistic solutions to complex problems within cities. We see these disciplines, Urban Planning, Landscape Architecture, and Architecture as inextricably linked in the creation of great places that serve a variety of municipal goals including quality of life, environmental sustainability, and fiscal responsibility. Furthermore, our multi -disciplinary team is conveniently located in one Orlando office. We have deep understanding of the Central Florida region, including downtown Sanford, which was further developed during our extensive regional work with MetroPlan Orlando. Since Canin Associates was founded in Orlando 38 years ago, we have helped government partners create engaging plans, visions, and codes throughout the State of Florida from main street to the regional scale, all out of our local downtown Orlando office. Our team includes designers skilled in urbanism, architecture, landscape architecture, and transportation as well as planning, coding, and GIS analysis. We believe that our multi -disciplinary approach to urban planning will contribute to a uniquely productive relationship between the City and our firm. We are equipped to assist on a variety of projects from land development regulations to regional planning, from design of public space to design guidelines. Our Urban Planning studio is currently engaged with Orange County, Florida to develop a form -based code and update their comprehensive plan. In the last ten years, Canin Associates has developed plans and innovative ground -breaking Form Based Codes for three private development communities totaling 17,000 homes and 7 million square feet of non-residential development. Canin Associates has also helped cities such as Destin and Winter Park envision their future with very active community participation in complex and controversial growth management settings. We understand not just the design of projects, but also implementation, having been continuously involved in some of the most successful community developments in Orange County including Hunter's Creek and Avalon Park that now have over 30,000 residents. Our Landscape Studio has worked around the world on parks, resorts, and placemaking. Currently, we are engaged in multiple facets of Panama Pacifico, a new City in Central America planned to house up to 80,000 new residents and jobs. If a project includes public engagement, this should start during the concept development stage when there is opportunity to gain productive input that can influence the project's outcorne. The Canin Associates' approach to urban planning and design is based on an in-depth knowledge of sustainable development techniques and a thorough understanding of Florida market conditions. [.AND 1.)ESEL OPMENT CODES AND REGULIVYIONS Canin Associates has experience drafting both conventional and innovative land use ordinances and design standards. Brian and Eliza have developed form -based land development regulations for both public and private clients. It is critical to understand what code standards can be successfully implemented, especially in the Florida context. We have a strong expertise in Form -Based Codes and we have experience hybridizing form -based and conventional Euclidean approaches to meet the needs of the transitioning suburban contexts. The Urban Planning Studio is currently partnering on the development of the Orange Code, a form -based code for Orange County as part of their Sustainable Land Development Code Update. The Orange Code project is the first major rewrite of Orange County's Zoning Ordinance since its original publication in 1956. The result of the project will be an entirely restructured Land Development Code for the County which will include both form -based zones and "hybrid" zones to address a wide variety of environments throughout the County, from remote rural villages to intensely developed tourist areas. For MetroPlan Orlando, Canin Associates surveyed municipalities throughout Central Florida on how their zoning dealt with mixed uses and provided recommendations for modernizing codes to allow more innovative development types. Brian previously led the development of a form -based code for the commercial corridors of Winter Park. This included extensive public engagement to educate citizens on the purpose of form -based coding and gauge their levels of comfort with different intensities of development in different areas of the city. SERVICES AND TASKS Canin Associates also developed and entitled the conceptual plan for Lake Flores in Manatee County and obtained unanimous approval. This is a 1,300 - acre mixed-use urban infill development project with potential to reinvigorate the west side of Manatee County. For this project, Canin Associates developed four form -based areas, District, Borough, Neighborhood Center, and Neighborhood, each of which allows multiple uses and ensures their compatibility through form -based regulations and transitions. An important portion of this effort was engagement with the County's engineering department to ensure smooth implementation of the code once adopted. uu Orange Code TOD Module COMPRIEH­IENSIVE PI.ANNING The Planning Studio has a specialized expertise in the correlation of Comprehensive Plans with form - based codes, land use, and transportation. Together Brian and Eliza recently co -led Envision Destin which resulted in an update of the City's Future Land Use Element. We are also familiar how state oversight affects local policy. Part of the Envision Destin project was an update of the Future Land Use Element of Destin's Comprehensive Plan which included several innovative concepts such as mixed-use strategies and a redevelopment concept plan for a new downtown. This update, which was accepted by the Department of Economic Opportunity, included incentives structured to encourage the development of street -fronting uses along major corridors and addressed complex questions around measuring density and intensity in mixed use development categories that combine residential, short-term rental, and commercial uses. ccnin OSSOaCIEGS 39 We are currently developing a substantial Comprehensive Plan update for the City of Titusville, which reorganizes their plan based on key outcomes of the Canin-led public visioning effort successfully completed earlier this year. As a continuing service provider, Canin Associates is assisting Orange County with a significant rethinking of their Comprehensive Plan which includes incorporating sustainability principles, enabling form -based coding, and public engagement. We are collaborating with Orange County staff on the development of Place Types appropriate for a variety of conditions from urban infill to rural greenfield. Canin Associates previously developed the Comprehensive Plan Amendment with a new Future Land Use category accompanied bya new Form -Based zoning category for Restoration, Florida, a 5,187 -acre DRI in Volusia County. When more guidance is needed, our interdisciplinary team has prepared and managed Design Guidelines for cities and developments across the country. Design Guidelines can help to provide guidance around larger infill sites where development must respond to existing conditions more complex than may be addressed at the site coding level. In suburban contexts, Design Guidelines can address screening of parking areas and the visual impact of large buildings. Design Guidelines are often a combination of urban planning, urban design, architecture, and landscape. Within our three studios, Canin Associates has the capability to produce cohesive guidelines that address all disciplines. Past efforts include Design Guidelines Tab C. Project Approach C. SERMCES AND TASKS to implement the town of Windermere Community Vision Plan, Architectural Design Guidelines for the City of Winter Park intended to complement a form - based code, and Landscape Design Guidelines for each of the development districts in Lake Nona. Guidelines can cover architectural character, landscaping and hardscaping the public realm, building and parking lighting solutions, signage, and use of materials. Canin Associates can provide a detailed outline of how the design guidelines are to be applied and application and review requirements for proposed projects. VISIONING AND PUBLIC ENGAGEIVIENT Canin Associates has successfully conducted visioning workshops for many communities big and small, including Destin (Eliza and Brian), the Town of Windermere (Brian), Edgewater (Greg and Brian), Winter Park (Brian), and Volusia County (Eliza and Greg). To ensure a planning process is introduced to the public with the participation and endorsement of a cross-section of the jurisdiction's stakeholders, Canin Associates engages with key stakeholders and identifies the necessary networks and mechanisms for community -wide collaboration. Ourtearn understands the need to tailor outreach activities to a given setting, and we pay close attention to distinct audiences. All our team members are prepared to participate in public outreach. Despite a contentious and litigious environment, the new Element was adopted in Destin through major public outreach and visioning. Eliza recently led the adoption of two major private development projects in Manatee County, FL including presentations at community meetings, Planning and Zoning Commission and the Board of County Commissioners, both resulting in unanimous approval by the Board. Creatively integrating land use planning with transportation objectives is where our team stands out. Canin Associates has transportation design capability in house with our Transportation Designer Jurgen Duncan. Eliza Harris Juliano and Kevin Jones are daily bicycle commuters and Eliza serves on the board of Bike/Walk Central Florida. Our team is on the cutting edge of transportation issues and is familiar with new developments in Florida's transportation paradigm including FDOT recent initiatives such as the Traditional Neighborhood Development chapter of the Florida Greenbook, Context Zones, and the state-wide Complete Streets initiative. In addition to multi -modal issues, we are staying current on the emergence of ridesharing, car -sharing, bikesharing, and autonomous vehicles as they make new demands and provide new options within our transportation system. After leading the approval effort, Canin Associates was afforded the unique opportunity to serve as the prime contractor responsible for complete engineering design and construction administration. Canin Associates performed a similar feat in the City of Destin, where an integrated approach to land use development and street design enabled a design that won the overwhelming approval of workshop attendees as well as positive feedback in initial meetings with FDOT. The team's creative solution in Destin makes available more than thirty-four feet of existing right of way in a highly constrained section on Harbor Boulevard for development of a charismatic, tree -shaded multi -modal trail while reducing hazardous traffic conditions for both drivers and pedestrians. Canin Associates' corridor study resulted in a powerful, positive vision with the potential to transform the city's primary thoroughfare from a blight into an active, value -creating multi- modal corridor that provides a high level of service for all users. The design included a shared -use path to connect residents and visitors between highly trafficked tourist destinations on the waterfront side of the highway as well as unified frontage designs and approaches to shared parking. Canin Associates worked with FDOT District 5, coordinating with local government and the public, to implement context sensitive solutions on the realignment of State Road 50 in the City of Groveland. We are about to embark on a study of the potential to restore two-way operations to major corridors in Downtown Orlando. Starting in 2008, Canin Associates led the development of MetroPlan's innovative Alternative Land Use Analysis as part of the 2030 Long Range Transportation Plan. This effort aligned the goal of the Central Florida How Shall We Grow Regional Vision with the regular process of updating the region's guiding transportation document and model. This effort included socioeconomic data fore -casting, GIS analysis, and stakeholder engagement with multiple municipal government staff. In addition to the regional data, Canin Associates produced more detailed studies to provide examples for jurisdictions to use for local coordination of land use and transportation. After successfully completing this work, Canin Associates was able to further develop the vision under the following plan cycle for the 2040 plan. Our team engaged in a similar effort with the River to Sea TPO's 2040 Long Range Transportation Plan. This included analysis of a wide variety of data sources, GIS analysis, physical analysis, and engagement with multiple stakeholders. Canin Associates is an innovator in walkable space design and won the AuthentiCity Award at the 19th Congress for the New Urbanism (CNU) in Madison, WI for an outside -the -box design proposal that focused on pedestrian priority or "shared streets," which we have integrated into numerous plans. Canin Associates worked with Manatee County's public works department to approve an entire suite of new street sections to achieve walkability in the new community of Lake Flores which involved resolving competing landscape, utilities, and transportation needs. Similar intense work on street sections will be accomplished as part of the Orange Code effort so that new special area plans can focus on integrating connected street networks. For complete streets as we proposed in Destin and realized in Windermere, every element must achieve multiple urban goals. We have extensive experience nationally and throughout the State of Florida in successfully designing and implementing large and small scale site planning and landscape projects that involve landscape and hardscape for common area infrastructure and parks, as well as highly detailed site amenities. ( LANDSCA!"E MASTER PLANNING Internationally, Canin Associates recently planned and designed the landscape and hardscape development for the new city called Panama Pacifico in Panama City, Panama. This project has been described as the "largest mixed use development project in the world" and it is being led by the Canin team and our landscape architecture studio. The project is currently underway and there are many significant and relevant features of this effort for the City of Sanford. Nationally, we have recently completed landscape design efforts in areas as diverse as Austin, Texas and Indianapolis, Indiana. This experience is significant for the City in that we provided detailed designs that were developed in coordination with the cities in which the projects were bound by design guidelines that our team helped create. These projects illustrate a balance between aesthetics and infrastructure which all cities face. They also provide additional opportunities for our team to explore new planting design solutions that have yetto be adopted by Florida practitioners. In addition, we bring in depth knowledge of landscape codes and how new types of codes offer opportunities and challenges. Tradition Town Square Tab C. Project Approach C. SERVICES AND TASKS Greg Witherspoon presented at this year's FL-ASLA conference in a session titled: Landscape Trends in New Land Development Codes: Challenges and Opportunities for Landscape Architects. Resort Landscape In Port St. Lucie, Canin Associates designed the 45 - acre Tradition Square that represents the focal point in Tradition and contains a mix of office and retail space, restaurants, an interactive children's fountain, and waterfront park all within a 10 -minute walking distance of adjacent residences. An outdoor concert pavilion and amphitheater are located nearby that anchor a mile -long central park. The square is pedestrian -friendly with brick streets and shade trees, and its pristine town green is used extensively to host seasonal community events. The landscape treatment draws upon the native plant palette. Canin Associates took the lead to convey the theme by creating a series of landmark icon structures, gateways, and themed bridge treatments throughout Tradition. This included preparing all of the landscape and irrigation plans for the common area roadways and parks, and the residential landscape and site design guidelines to guide private development throughout Tradition. These guidelines were the recipient of an Award of Excellence from the American Society of Landscape Architects in 2005. Canin Associates also prepared the schematic level site plan and design development documents for Lakewood Ranch's Central Park. The program included lighted soccer fields and softball fields, a concession building with restrooms, off-street parking, amphitheater area with a roofed pavilion and raised stage, picnic area, and playground. SUS'I"AINABLE Sill DESIGN Our team is familiar with a variety of sustainability techniques in landscape design. The Lake Club at Lakewood Ranch received the Green Construction award at the Southeast Builder's Conference. Canin Associates developed the master plan and landscape design for the Burnham Institute for Medical Research at Lake Nona which was rated LEED-Silverand garnered several awards from the Florida ASLA. We understand how Florida -Friendly and native plant designs can conserve water and enhance the biodiversity of urban and suburban environments. BIKE1,111AYS AND GREENWAYS Our Landscape Studio and Urban Planning studio work together to create greenway networks that provide recreation opportunities, bicycle connectivity, and needed green spaces within cities. Our private developments are known for their extensive trail systems, such as Avalon Park which boasts 16 miles of trails. We recently proposed a unique multi -modal trail network for the Lake Flores development in Manatee County design to accommodate joggers, bicyclists, and small electric transit vehicles. Our team is adept at recognizing opportunities for cyclists both for recreation and transportation. Our landscape architecture team will work with our planners to integrate open space, streetscape and community gathering spaces with other infrastructure needs in a manner that logically connects with the programmatic elements of the master plan. In 2012, we won the AuthentiCity competition for a design that focused on "shared streets," a concept in which pedestrians, bicycles, and cars, share space in low speed streets. Popular in Europe, there is a growing interest in this technique in the United States. Canin Associates has designed these types of streets for several private developments and specified metrics for land development codes to permit shared streets. As New Urbanists, we have always understood the value of quality streetscripe des�gn and the importance of pedestrian coi-rifoi,tkindsafety.We have often convinced regulatory authorities to think differently about the approach to streetscape design. This includes leading the discussion in Destin to implement an entirely new way to plan for the Highway 41 Corridor by implementing roundabouts and recapturing 34' of public right away to build a pedestrian trail. We recently completed a draft of a new set of land devetopn,ient codes for Orange County. This code is ground breaking for a number of reasons and is representative of our cutting-edge approach to planning and development. The code includes a new landscape code along with streets and development parameters based on a transect system. We are qualified for corridor studies for FDOT and we led the process to implement a Context Sensitive Solution for a PD&E effort before the FDOT adopted the guidelines. Eliza serves on the board of Bike/ Walk Central Florida and recently completed six years of service on the national board of the Congress for the New Urbanism. We use LandF/X to seamlessly link AutoCAD and SketchUp in our design process and we use I -oke Flores Muhhodol Troll Cross Section Lurnion to effectively illustrate the outcome. As landscape architects leacting cornplex tearns, we often find ourselves in the position of leading the civil engineering in grading. This was the case Panama Pacifico where we led the team to identify, survey and grade to protect existing rock outcroppings that were incorporated into the design to provide a unique vantage point to view the park pavilion. Another example is the Disney Springs parking garages where it was Canin Associates that analyzed two sets of civil engineering plans along with architectural details to identify significant challenges at the ground plane before final sets of drawings were issued. At Grande Lakes Orlando we led a multi-year process of identifying new water play opportunities at the resort. Multiple options for slides, fountains and other ivitcaei, play hoatuk"es were thoroughly explored for vision and construction on a complex site with significant spatial and utility constraints. The result is a new — first of its kind in Florida — Aquacourse now under construction on the property. The project required four variances from the Health Department code in order to receive construction permits. Lighting is regularly a key part of our design process whether we are ensuring light levels for life safety in turtle zones or exploring lighting options in a renovation setting. One exciting effort under construction now is the implementation of moonlighting techniques in a stand of existing majestic oak trees adjacent to a new meeting space at a resort.
