THIS FIRST AMENDMENT is made and entered into this _ day of
3G, -n. , 20 and is to that certain Agreement made and entered into on the 4"' day
of March, 2019, between the CITY OF SANFORD, a Florida municipal corporation, whose ad-
dress is 300 N. Park Avenue, Sanford, Florida 32771, hereinafter referred to as "CITY", in this
Amendment referred to as "CONTRACTOR," and SEMINOLE COUNTY, a charter county and
political subdivision of the State of Florida, whose address is Seminole County Services Building,
1101 East 1 st Street, Sanford, Florida 32771, in this Amendment referred to as "COUNTY."
WITNESSETH:
WHEREAS, CITY and COUNTY entered into the above referenced Agreement on
March 4, 2019, for COUNTY to provide funds received from boat licensing fees to CITY for
improvements to the Sanford Marina by providing structural repair and replacement of 300 ft. of
breakwater walls on Marina Isle; and
WHEREAS, the parties desire to amend the Agreement in order to extend the term of the
Agreement and to enable both parties to continue to enjoy the mutual benefits the Agreement
provides; and
WHEREAS, Section 20 of the Agreement provides that any amendments will be valid only
when expressed in writing and duly signed by the patties,
NOW, THEREFORE, in consideration of the mutual understandings and agreements
contained in this Amendment, the parties agree to amend the Agreement as follows:
Section 4 of the Agreement is amended to read as follows:

Section 4. Term. COUNTY shall reimburse CITY for the work performed or caused to
be performed by CITY as part of the Project, subject to the terms of the Project. All such work
shall be performed in accordance with applicable requirements of this Agreement and the Program.
Reimbursement or payment of funds to CITY shall be contingent thereupon. CITY shall complete
all work on or before December 31, 2020, unless this Agreement is otherwise amended or extended
by written agreement of the parties. This Agreement shall be effective upon execution by both
parties.
2. Except as modified by this First Amendment, all terms and conditions of the original
Agreement remain in full force and effect for the term of the Agreement.
IN WITNESS WHEREOF, the parties have executed this First Amendment for the purposes
stated above.
