General Scope of Work. Contractor will furnish all the labor and materials and perform all of the required work within and on the Property as set forth in the Scope of work prepared by the Claims Adjuster and clarification by Contractor All scope of work referred to above will be hereinafter collectively referred to as the "Plans". Contractor will furnish all of the labor and perform all of the work within and on the Property in a good and workmanlike manner. 2. Independent Contractor. Contractor represents to Owner that Contractor is fully experienced and property qualified as an expert to perform the work provided for herein and will operate as independent Contractor and will hold the Owner free and harmless from all liabilities, costs, and charges by reason of any act, or representation of Contractor or of his subcontractors, agents, or employees. 3. Compliance with Requirements of Owner. All work, labor, and materials to be furnished and performed by Contractor will be furnished and performed to the satisfaction of Owner, and payment will be made according to the terms of this Agreement. Owner will not arbitrarily withhold acceptance of any work and materials, and payment therefore so long as Contractor makes satisfactory progress and performs all his obligations in accordance with and pursuant to the Plans and all the terms and conditions of this Agreement. 4. Contract Price. The total contract price for all work, materials, and labor to be furnished and performed by Contractor hereunder will be in the total amount of $ 86,400.00. This Price includes an allowance of $ 370.00 for permit and fees. 5. Method of Payment. It is understood that Owner will advance monies to Contractor to finance construction of the work hereinabove at certain designated stages of construction of the improvements to be built by Contractor. Owner's advancement of monies to Contractor shall be upon submittal of monthly progress invoice. Payment will then be rendered within 5 days. Contractor has the right to stop work if payment is not rendered in 5 days from application, with the exception of the final payment, which will be rendered immediately after completion of punch list items to the satisfaction of the Owner. Any time of work stoppage will extend the Completion Date. 6. Time of Completion. Contractor will commence performance of his obligations under this Agreement upon issuance of building permit by Seminole County and Contractor will diligently make all efforts to complete construction by May 15, 2016. Contractor is not responsible for any delay in completion of construction if caused by circumstances not caused by Contractor or by actions of the Owner or by Acts of God. 7. Best Efforts of Contractor. Notwithstanding the time set forth in paragraph 6 hereof for completion of construction, Contractor will at all times exert his best efforts to complete construction at the earliest possible time, will at all times furnish sufficient labor and materials to insure the most efficient and speediest construction progress, and have a competent foreman or superintendent on the job at all times, and all work shall be performed by licensed individuals. Unless specifically provided otherwise in writing, Contractor shall provide and pay for all labor, materials, equipment, tools necessary for the proper execution and completion of the work and project. Contractor warrants and represents that all materials and equipment furnished under this Agreement shall be in good quality and new unless otherwise required or permitted in writing, and all work will be free from defects not inherent in the quality required or permitted and the work will conform with the specifications and design for the improvements. Owner agrees to provide electrical power and water needed for construction for the duration of the project. 8. Default by Contractor. The following represent events of default by Contractor under this Agreement: (i) Contractor fails to perform the work required hereunder diligently, (ii) Contractor fails to perform under the terms of this Agreement, or (iii) Contractor fails to pay laborers, mechanics, materialmen, and suppliers in a timely manner (and if such failure to pay is not caused by Owner's failure to make payments to Contractor in accordance with paragraph 5 of this Agreement), or (iv) Contractor becomes insolvent, or makes an assignment for the benefit of creditors, or commences any proceedings of bankruptcy, or (v) a Construction lien or claim of lien filed against the Property, which lien is not discharged or fully bonded and released from the Property, as applicable, in accordance with applicable laws and regulations, in the case of a construction lien or claim of lien, within 60 days, and if such lien or claim of lien is not caused by Owner's failure to make payments to Contractor in accordance with paragraph 5 of this agreement. On an event of default by Builder, Owner has the right, in addition to such other 2 remedies available under this Agreement and law, if Owner so elects and without prejudice to any other rights it may have, by giving seventy two hours' written notice of its election to Builder, to take over all work, or any part thereof, and supplies and finish the work by whatever it deems expedient. In such event, Builder will not be entitled to receive any further payment until the work is finished. 8a. All major subcontractors shall issue Notice To Owner upon commencement of work. 8b. Contractor shall provide Release of Lien for all Notice To Owner issued, with each Request For Payment. 9. Cleanup Period. Before Contractor will be entitled to the final payment provided in paragraph 5 hereof, the improvements on the Property, as well as all parking areas and appurtenances, will be in "broom clean" condition, completely free of all trash, and all of Contractor's equipment as well as any left over materials and inventory. In the event Contractor does not perform this cleanup operation to Owners satisfaction, Owner may, after 48 hours' written notice to Contractor, perform such cleanup operations with Owners own contractor or agents. 9a. Salvage. All salvage resulting from this work will be retained by the Contractor. 10. Permits and Licenses. Contractor will apply for and obtain all necessary building, occupancy, and other governmental permits and licenses, which may be required in connection with the construction to be performed hereunder. Contractor will pay all fees for permits and related impact fees. Contractor will at all times strictly comply with and conform to all rules and regulations , ordinances and government authorities relating to the manner of doing the work to be performed under this Agreement. 11. Indemnity. Contractor hereby agrees to indemnify Owner against all liabilities, claims, and demands for damages arising out of or caused by any act or omission of Contractor, subcontractors, agents, or employees from the date of this Agreement until final completion of construction. Contractor further covenants to use proper care and caution in the performance of its work hereunder so as not to cause damage to any adjoining or adjacent property, and Contractor will indemnify and hold Owner harmless from any liabilities, claims, or demands for damage to such adjoining or adjacent property. 12. Insurance. Contractor will at all times, commencing with the date on which construction begins, cant' all types of insurance, with the proper insurable amounts required by either federal, state or local law and that which is customary in the area. The Owner will maintain Builder's Risk insurance for the duration of the project. 14. Assignment Contractor will not assign this Agreement or any amount payable hereunder without the prior written consent of Owner. 15. Correction of Defaults. Contractor will, at the request of Owner, correct any defaults due to faulty materials or workmanship as described by a Licensed Building Inspector, without cost to Owner. Owner agrees to make a walk through inspection of the improvement with Contractor or Contractors agent prior to occupancy or completion date, whichever is earlier. Owner and Contractor will note any minor detail work to be completed or corrected on Contractors forms. Owner agrees that Contractor will have thirty (30) days to complete or correct said work. 16. Extras. No claim for payment (in excess of the amount set forth in paragraph 4 hereof) or extra labor or materials of any kind will be made by Contractor or will be payable by Owner 3 unless the same is performed or furnished pursuant to a written Change Order agreement executed by both the Owner and Contractor. 17. Unemployment Insurance and Taxes. Contractor will pay, at Contragtor's own cost, all taxes and impositions in connection with the work or materials to be performed or furnished hereunder, including, but not limited to, state and federal unemployment, workers compensation, and employee benefit taxes, sales taxes, use taxes, and excise taxes. 18. Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto and neither of the parties will be bound by any promises, representations, or agreements except as are here expressly set forth. Time is of the essence of this Agreement. All warranties and representations of Contractor hereunder are contingent upon final payment and acceptance of the work. 19. Jurisdiction and Attomey's Fees. This Agreement shall be interpreted in accordance with and governed by the laws of the State of Florida. Each party in any dispute shall be responsible for it's own attorney's fees and costs incurred before litigation, during litigation, on appeal, and in bankruptcy proceedings, if any. 20. Warranties. a. Contractor, in addition to any other warranties noted in this Agreement, hereby provides a one year warranty warranting that all workmanship and materials will be free of defects, deficiencies, and be fit for the purpose it was intended. Should any workmanship or materials contain any defects, deficiencies, or not be fit of the purpose it was intended, Contractor shall repair, replace or pay for the repairs or replacement of any such workmanship or materials. b. The warranties of manufacturers of equipment and appliances supplied with the improvement will be passed through to Owner on completion of the improvement. 21. OCCUPANCY. period.
