Terms and Conditions Applicable to Contract between the. Company ("we" or
us") and the Customer ("You")
Licensed Contractor SEM POWER, LLC. is the licensed solar contractor, and by
signing below, Customer understands that SEM POWER, LLC will be designing and
installing your system, and as the Contractor will be solely responsible for any
maintenance or repairs or warranty work (if any) on the systems listed in this
agreement.
A three (3) day cooling off period applies to the Contract. After the expiration of the
cooling off period the deposit paid is not refundable and further cancellation fees and
losses may apply if you cancel the Contract.
You agree that certain changes to the site layout and installation plan may be
necessary due to onsite access issues which only become apparent at the time of
installation. While every effort is made at the time of preparing the Contract to ensure
all variations specific to your job are noted, if some changes need to be made based on
the installers pre -installation site check or on the installation date which require
changes to the cost of Products and Services, you will be notified as soon as possible
about any variation to the price. You will be allowed to cancel the Contract and seek
refund, but only if there were no errors and non -disclosures on your part.
Inverters are to be located within 20 feet of the electrical service meter. If owner
desires the inverter to be mounted in a location beyond 20 feet, this will incur a fee of
30.00 per linear foot over 20 feet. Including vertical distances.
No interconnection fees will be applied to system smaller than 10KW AC / 11.7KW DC
Tier 1). Interconnection fees for systems larger than 10KW AC / 11.7 DC (Tier II — Tier
IV) are to be paid for by the customer to their utility supplier/retailer who supplies
electricity.
Systems larger than 10KW AC / 11.7 DC (Tier If — Tier IV) will require an Umbrella
Insurance Policy for a value of $1,000,000.00. This is an annual requirement of the
utility supplier/retailer and NOT SEM POWER, LLC.
We will provide reasonable assistance to facilitate grid connection, but actual
connections are performed by your utility supplier/retailer who supplies electricity and
we DO NOT make any commitments on their behalf regarding time and terms of
connection. You may be required to deal with your utility supplier to ensure their roles
are fulfilled effectively.
It is a term of this Contract that customers do not disclose the pricing set out in the
Contract to equipment supply companies, installers or sub -contractors and you agree
that if you breach this term, we will suffer loss and damage.
SEM POWER, LLC shall not be required to assist Customer in completing any Federal,
State, or local tax rebate, tax credit, tax deduction, or other tax -related filings or forms
which could be filed by Customer, its agents, or affiliates with a governmental or taxing

authority, including the Internal Revenue Service (the "IRS"). SEM POWER, LLC has
not, does not, and will not make any warranty or covenant regarding the applicability of
any tax rebate, tax credit, tax deduction, tax treatment, tax status, or other tax -related
issues regarding the Project, the Work, SEM POWER, LLC, Customer, any materials
or services provided by SEM POWER, LLC, its subcontractors, or affiliates, or this
Agreement (collectively, the "Tax Issues"). Any Tax Issues and their possible
applicability shall be the sole and absolute responsibility of Customer, and shall
between dealt with by Customer, its tax professionals, and any relevant governmental
or taxing authority, including the IRS, with Customer hereby agreeing to hold SEM
POWER, LLC harmless for all damages, costs, and other matters relating in any way to
any Tax Issue.
You confirm that you are the owner -occupier of the premises and that you have the
required authorization to enter into this Contract for Products and Services, delivery of
which will require full access to the property.
You acknowledge that each Contract has been specially packaged to suit the
customer's specific needs and is strictly confidential.
All installations will be carried out by suitably qualified installers with requisite
accreditations who will endeavor to install the Products and Services in the best
possible manner and methods. Installers have appropriate insurance, compliance and
safety certificates which are held by them as required by the applicable regulations.
SEM POWER, LLC will cause all Equipment manufacturers' warranties to inure directly
to the Customer. In the event of any defective Equipment, the Customer shall look
exclusively to the manufacturers' warranties for coverage with respect to cost of
replacement parts and materials and cost of labor.
SEM POWER, LLC shall warranty its workmanship for services, but not equipment,
provided for a period of five (5) years from Completion Date. If the Customer discovers
a breach by SEM POWER, LLC of any of the warranties set forth in this Agreement,
then the Customer shall give SEM POWER, LLC notice of the nonconformity with
reasonable promptness following the Customer's discovery thereof (but no later than
sixty (60) days after such discovery) and in no event later than the expiration of the
warranty period. If the Customer fails to give notice within the time periods provided
above, any claims arising out of or related to the alleged defect are waived. Upon
receipt of such notice, SEM POWER, LLC shall repair or replace, or cause the repair or
replacement of, the nonconformity at SEM POWER, LLC's sole expense. The decision
whether to repair or replace shall be made by SEM POWER, LLC in its reasonable and
good faith discretion.
You agree that Risk arising out of Products and Services delivered, passes to you on
the date on which the Products are installed.
If you choose a Payment Plan, you must read and agree to Terms and Conditions of
the finance company. You acknowledge that in such case that contract is between You

and your Finance Company and is an independent and entirely separate contract for
which we are not responsible.
You or your representative are required to be present at the installation time to verify
and confirm completion with installers. Failure to do so will require the installer to revisit
the property which will be an extra cost to you.
Under the Privacy Act your personal information collected as part of the contract or
offer, we will not share your personal information to anyone other than for internal
administration, installers, creating required documents and in the case of Payment
Plans assisting you to deal with your Finance Company. You consent us to undertake
the required credit assessments, if required for Payment Plan.
