ASSIGNMENT OF AGREEMENT BETWEEN THE CITY OF SANFORD AND
SEABOARD DISTRIBUTION, INC.
IBR 17/18-105 - OILS AND LUBRICANTS ETC.
THIS ASSIGNMENT OF AGREEMENT (this "Assignment") is made on this _ day
of , 2021, by and between Seaboard Distribution, Inc., a NOW INACTIVE
Florida corporation, ("Seaboard Distribution" throughout)") whose Florida FORMER
corporate address and contact address is now 2520 Knights Station Road, Lakeland,
Florida 33810; and the City of Sanford, Florida, a municipal corporation, whose address
is 300 North Park Avenue, Sanford, Florida 32771 ("City), with joinder by Reladyne
Florida, LLC, a Delaware limited liability company which authorized to do business in the
State of Florida, ("Reladyne" throughout)") whose Florida corporate address and contact
address is 8280 Montgomery Road, Suite 101, Cincinnati, Ohio 45236.

Whereas, the City and Seaboard Distribution, have an entered an agreement
relative to the provision of oils and lubricants (IBR 17/18-105); and
Whereas, Seaboard Distribution has assigned all of its contracts of the nature
of the contract entered with the City to Reladyne; and
Whereas, subject to the terms of this Assignment, Reladyne desires to accept
the obligations of relative to the Seaboard Distribution contract with the City and the City
desires to accept such assignment and allow Reladyne to undertake and perform the
obligations of Seaboard Distribution under the Agreement between the City and Seaboard
Distribution; and
Whereas, Seaboard Distribution, Reladyne and the City desire to provide for
the assignment of Seaboard Distribution's rights under the Seaboard Distribution
Agreement with the City as set forth herein to Reladyne.
Now, Therefore, for good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, the parties hereby agree as follows:
Section 1. Recitals. The foregoing recitals are true and correct and are
incorporated herein by this reference.
Section 2. Assignment; Acceptance of and Consent to Assignment. Reladyne
hereby assumes from Seaboard Distribution all of Seaboard Distribution's rights, duties,
and obligations under Seaboard Distribution's Agreement with the City and agrees to be
bound by, and to keep, observe and perform, the terms, covenants and conditions of the
Seaboard Distribution agreement as attached. The parties have relied on the
representations of Seaboard Distribution in the documents provided to the City and
Seaboard Distribution's actions under the Agreement with the City are hereby ratified and
affirmed by Assignment. Seaboard Distribution and Reladyne affirm that the City has fully
performed in every respect and that there are no claims against the City pending or which
will be made and, further, that this a full and plenary release of the City.
Section 3. Entire Agreement. This Assignment, together with the underlying
referenced assigned agreement, embody the entire agreement and understanding of the
parties hereto with respect to the subject matter hereof and supersedes all prior and
contemporaneous agreements and understandings, oral or written, relating to said
agreement.

Dear Customer,
First and foremost, thank you for your loyal business. Servicing you and your business ban
absolute privilege that we value very much.
Due hmmultiple factors including insurance and driver/transportation cVstincreasesvvewiU
begin charging a Handling Fee of $9 per order/invoice. We will start this July 111, 2019.
In cases where a customer requests separate delivery tickets and invoices for products
delivered on the same truck, the fee will only be charged on one ticket/invoice.
Should you have any questions or concerns regarding the implementation of the fee, please
reach out to your RelaDyne (Seaboard) Sales Representative.
