PILOT PROGRAM GRANT AGREEMENT
FOR PROMOTION SERVICES C
THIS CITY OF SANFORD COMMUNITY REDEVELOPMENT AGENCY AND
SANFORD MAIN STREET, INC. PILOT PROGRAM GRANT AGREEMENT FOR
PROMOTION SERVICES AGREEMENT is made and entered this day of
2021, by and between CITY OF SANFORD COMMUNITY
REDEVELOPMENT AGENCY, a dependent special district of the City of Sanford, State of
Florida, whose address is City Hall, City of Sanford, 300 North Park Avenue, Sanford,
Florida 32771, (hereinafter referred to as the "the CRA"), and SANFORD MAIN STREET,
INC., a Florida not-for-profit corporation, whose mailing address is 230 East First Street,
Sanford, Florida 32771 (hereinafter referred to as "MAIN STREET").
WITNESS ETH:
WHEREAS, one of the primary purposes of the CRA is to establish public private
partnerships with private sector organizations, non-profit entities, and government
agencies to partner with non-profit and private sector organizations. Public partnerships
allow the CRA to pool in resources and leverage funds for transportation and
infrastructure improvements, property renovation and maintenance, retention and
expansion of businesses, and marketing and promotion of the Downtown and Waterfront
areas; and
WHEREAS, MAIN STREET was established in 1993 for the purpose of marketing
and promoting business in the downtown area of Sanford, FL and has as its mission to
preserve and enhance the historic charm and integrity of our community, while
encouraging local spending, tourism, and a sense of community, which will improve the
local economy; and
WHEREAS, the CRA and MAIN STREET have each jointly determined that the
formation of a public private partnership with each other would be an advantageous and
a beneficial way in which to market and promote the downtown Sanford, FL
redevelopment area; and

WHEREAS, the CRA and MAIN STREET have both worked independently and
cooperatively to promote the downtown area of the City of Sanford, FL; and
WHEREAS, the CRA and MAIN STREET believe it is essential for the downtown
Sanford, FL area to have a business and visitor facing online presence; and
WHEREAS, MAIN STREET is affiliated with the Main Street America organization
which identifies promotion as a key component to any Main Street program; and
WHEREAS, the CRA and MAIN STREET both seek to enhance the economic
vitality of downtown Sanford; and
WHEREAS, given the importance of having a one-stop information center, the City
of Sanford and the CRA support the operation of the Sanford Information Center by MAIN
STREET as the information clearinghouse for both visitors and businesses. It is
imperative that the Sanford Information Center create and maintain its own website in a
polished and a well -organized manner; and
WHEREAS, the CRA and MAIN STREET desire to continue the progress that has
been made collaboratively since 2020 in the revitalization of downtown Sanford, FL and
to continue to foster a positive and collaborative working relationship by engaging in the
herein described Pilot Program for marketing services, website design and management.
NOW, THEREFORE, in consideration of the mutual understandings and
agreements set forth herein, the CRA and MAIN STREET agree as follows:
Section 1. Term. The term of this Agreement will commence on October 1, 2021
and continue through September 30, 2022, unless earlier terminated, as provided herein.
Section 2. Termination. This Agreement may be terminated by either party at
any time, with or without cause, upon not less than thirty (30) days written notice delivered
to the other party or, at the option of the CRA, immediately, in the event MAIN STREET fails
to fulfill any of the terms, understandings, or covenants contained in this Agreement. The
CRA shall not be obligated to pay for any services provided or costs incurred by MAIN
STREET after MAIN STREET has received notice of termination. Upon said termination,
MAIN STREET shall immediately refund to the CRA or otherwise utilize as CRA directs any
unused funds provided hereunder.

Section 3. Payment Amount; Services Provided; Website Design;

A. For the services to be provided by MAIN STREET to the CRA, as hereinafter
described, the CRA will pay to MAIN STREET the sum of Twenty -Four Thousand Five
Hundred Dollars and no/100 ($24,500.00) payable in monthly installments of Two
Thousand Forty -One Dollars and 67/100 ($2,041.67) on or before the fifth (5th) day of
each month during the term of this Agreement.
B. The CRA and MAIN STREET hereby agree to the following content
creation and promotion package with a media buying and event promotion partnership:
1. Creation and promotion of Blog with round -up style posts; and
2. Creation and promotion of Blog featured businesses on at least a
monthly basis; and
3. Creation and promotion of a video, 60 (sixty) seconds or less of
downtown Sanford featuring events, food, drink, particular businesses
and/or things to do; and
4. Social media and network promotion of featured downtown events; and
5. Social media and network promotion of Sanford Main Street and CRA
sponsored events; and
6. Provision of media buying services for CRA and Sanford Main Street
events; and
7. Collaborate with strategic partners to execute marketing campaigns for
events; and
8. Lead a Marketing Committee so planning can occur as a group on a
quarterly basis; and
9. Content categories to include, but not limited to: food, drink, events,
music, art, retail, things to do, where to stay, and logistics; and
10. Destination Marketing Network to include, but not limited to:
Website/Blog, Facebook Page(s), Facebook Group(s), Instagram
Account(s), Visitors Guide, as well as a NEW Magazine and App.
C. The CRA and MAIN STREET hereby agree to the following regarding
website design and management services:

1 . New website creation and management for the Sanford Information
Center with information and resources for visitors, residents, and businesses. Visitors will
link to HistoricDowntownSanford.com, and a resident portal will link to events and
services of concern to local residents. The business portal will communicate opportunities
to participate in co -marketing programs.
2. The new website presence for the Sanford Information Center will
address, either directly or indirectly, the four major pillars of the Main Street America
Program, as follows:
i. Organization
ii. Promotion
iii. Design
iv. Economic Vitality
3. The new website will include a platform for actively engaging
residents and businesses with opportunities to organize and volunteer for community
serving endeavors.
4. Consistent with the Main Street America Program, website content
will be provided or linked to resources related to downtown Sanford's rich history.
D. MAIN STREET will provide quarterly oral reports to the CRA, beginning at the
regularly scheduled CRA Board meeting in January 2022. These reports will highlight the
accomplishments of MAIN STREET during the previous quarter, as well as progress made
in achieving the annual objectives for destination marketing services.
Section 4. Liability.
A. The CRA and its Board Members and agents shall not be deemed to assume
any liability for the acts, omissions, and negligence of MAIN STREET, its officers,
employees, and agents in the performance of services provided hereunder. MAIN STREET
hereby agrees to fully and completely indemnify, insure, and hold harmless the CRA and its
Board Members and agents from and against any liability of whatsoever type or nature,
howsoever arising, relating in any way to the acts or omissions of MAIN STREET and its
officers, members, agents or employees.
B. MAIN STREET shall provide to the CRA, at the request of the CRA,
information relative to the insurance coverages maintained by MAIN STREET.

Section 6. Reimbursement for Expenditures; Misappropriation.
A. Qualified expenditures, other than expenditures covered by the monthly fee
paid by CRA to MAIN STREET (Section 3), are reimbursable upon receipt by the CRA of a
Request for Funds requesting an amount authorized by the CRA and subject to verification
by the CRA that MAIN STREET has provided the proper receipt for which reimbursement
is sought.

B. If MAIN STREET misappropriates or misuses the funds provided herein, MAIN
STREET shall repay to the CRA all amounts paid pursuant to the terms of this Agreement
within ninety (90) days of notice from the CRA of such misappropriation or misuse as
provided hereinafter.
Section 6. Reporting Requirements. In the performance of this Agreement,
MAIN STREET shall maintain books, records, and accounts of all activities in compliance
with normal accounting procedures.
Section 7. Non -Allowable Costs. The monies provided hereunder shall not be
expended on wages or salaries for administrative staff, feasibility studies for facilities, or
administrative expenses.
Section 8. Unavailability of Funds. If, for whatever reason, the funds authorized
in this Agreement by the CRA should become unavailable, this Agreement may be terminated
immediately, at the option of the CRA, by written notice of termination to MAIN STREET as
provided hereinafter. The CRA shall not be obligated to pay for any services provided or
costs incurred by MAIN STREET after MAIN STREET has received such notice of
termination. In the event there are any unused CRA funds, MAIN STREET shall promptly
refund those funds to the CRA or otherwise utilize such funds as the CRA directs.
Section 9. Access to Financial Records; Public Records.
A. MAIN STREET shall allow the CRA and/or its duly authorized agent, and/or
the public, access to such of MAIN STREET's records as are pertinent to all services
provided hereunder at reasonable times and under reasonable conditions for inspection

and examination in accordance with Florida law.
B. IF MAIN STREET HAS QUESTIONS REGARDING THE APPLICATION
OF CHAPTER 119, FLORIDA STATUTES, TO MAIN STREET'S DUTY TO PROVIDE
PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE CUSTODIAN

C. In order to comply with Section 119.0701, Florida Statutes, public records
laws, MAIN STREET must:
1. Keep and maintain public records that ordinarily and necessarily
would be required by the CRA in order to perform the service.
2. Provide the public with access to public records on the same terms
and conditions that the CRA would provide the records and at a cost that does not exceed
the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law.
3. Ensure that public records that are exempt or confidential and
exempt from public records disclosure requirements are not disclosed except as
authorized by law.
4. Meet all requirements for retaining public records and transfer, at no
cost, to the CRA all public records in possession of MAIN STREET upon termination of
the contract and destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. All records stored electronically
must be provided to the CRA in a format that is compatible with the information technology
systems of the CRA.
D. If MAIN STREET does not comply with a public records request, the CRA
shall be entitled to enforce the contract provisions in accordance with this Agreement.
E. Failure by MAIN STREET to grant such public access and comply with
public records requests shall be grounds for immediate unilateral cancellation of this
Agreement by the CRA. MAIN STREET shall promptly provide the CRA with a copy of
any request to inspect or copy public records in possession of MAIN STREET and shall
promptly provide the CRA with a copy of MAIN STREET's response to each such request.
Section 10. Liaison. MAIN STREET shall submit and original request for funds,

in a form approved, by the CRA when seeking payment and any other correspondence,

Section 11. Notices.
A. Whenever either party desires to give notice unto the other, it shall be given
in writing by certified United States mail, return receipt requested, and sent to:

B. Either of the parties may change, by written notice as provided above, the
person or address for receipt of notice.
Section 12. Assignments. Neither party to this Agreement shall assign this
Agreement, nor any interest arising herein, without the written consent of the other.
Section 13. Entire Agreement.
A. It is understood and agreed that the entire Agreement of the parties is
contained herein and that this Agreement supersedes all oral agreements and negotiations
between the parties relating to the subject matter hereof as well as any previous agreements
presently in effect between the parties relating to the subject matter hereof.
B. Any alterations, amendments, deletions, or waivers of any provision or
provisions of this Agreement shall be valid only when expressed in writing and duly signed
by both parties.
Section 14. Compliance with Laws and Regulations. In providing all services
pursuant to this Agreement, MAIN STREET shall abide by all statutes, ordinances, rules,

and regulations pertaining to or regulating the provisions of such services, including those
now in effect and hereafter adopted. Any violation of said statutes, ordinances, rules, or
regulations shall constitute a material breach of this Agreement and shall entitle the CRA to
terminate this Agreement immediately upon delivery of written notice of termination to MAIN
STREET as provided hereinabove.
Section 15. Conflict of Interest.
A. MAIN STREET agrees that it will not engage in any action that would create
a conflict of interest in the performance of its obligations pursuant to this Agreement with
CRA or which would violate or cause others to violate the provisions of Part III, Chapter 112,
Florida Statutes, relating to ethics in government.
B. MAIN STREET hereby certifies that no officer, agent or employee of CRA has
any material interest (as defined in Section 112.312(15), Florida Statutes, as over five
percent (5%), either directly or indirectly, in the business of MAIN STREET to be conducted
here, and that no such person shall have any such interest at any time during the term of
this Agreement.
C. Pursuant to Section 216.347, Florida Statutes, MAIN STREET hereby agrees
that monies received from the CRA pursuant to this Agreement cannot and will not be used
for the purpose of lobbying the Legislature or any other State or Federal agency.
