Second Renewal Of Agreement
With Dyer, Riddle, Mills & Precourt, Inc.
This Second Renewal Of Agreement made and entered into the o fQ day of
August, 2010 by and between the: City of Sanford, whose address is 300 North Park
Avenue; Sanford, Florida 32771; a municipal corporation of the State of Florida, holding tax
exempt status, hereinafter referred to as the "City," and: Dyer, Riddle, Mills & Precourt, Inc.
whose address is 941 Lake Baldwin Lane; Orlando, Florida 32814, a Florida corporation,
authorized to do business in the State of Florida, som eti mesh erei nafter referred to as the
"Contractor ". The City and the Contractor are collectively referred to herein as the "parties ".
WITNESSETH:
Whereas, the Contractor entered an underlying agreement with the City for
engineering services on September 3, 2008; and
Whereas, the Contractor and the City renewed the underlying agreement for a
period commencing September 3, 2009; and
Whereas, the City desires to extend the procurement of the Contractor for the
performance to support the activities, programs, and projects of the City upon the terms
and conditions set forth in the extended underlying agreement; and
Whereas, the Contractor hereby warrants and represents to the City that it is
competent and otherwise able to provide professional and high quality services to the City;
and
Whereas, all submissions submitted by the Contractor in the proposals /RFQ's
submitted to the City are hereby incorporated to the extent not inconsistent with the terms
and conditions as set forth herein.
Now, Therefore, in consideration of the mutual covenants and agreements
hereinafter contained and other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, it is agreed by and between the parties hereto
as follows:
Section 1. Incorporation Of Recitals.
The above recitals (whereas clauses) are true and correct and are incorporated
herein by reference as if fully set forth herein verbatim.
Section 2. Renewal Of Agreement.
The effectiveness of the underlying agreement is hereby extended through
September 2, 2011 and the underlying agreement shall terminate on that date.
Section 3. Effect Of Amendment.
All other terms and conditions of the underlying agreement shall apply to the
services provided hereunder and remain in full force and effect and the underlying
agreement t and this amendment shall be read in harmony and in pari materia.
In Witness Whereof, the Contractor and the City have caused these presents to be
executed in manner and form sufficient to bind them as of the dates below written.
