EXTENSION AND AMENDMENT OF AGREEMENT BETWEEN CITY OF
SANFORD AND SANFORD AERO MODELERS, INC
THIS EXTENSION AND AMENDMENT OF AGREEMENT is made and entered into
on thit&Aay of igi 6l __, 2009, between SANFORD AERO MODELERS,

INC., a Florida non-profit corporation, whose address is 522 Fuller Avenue, Deltona,
Florida 32725, hereinafter referred to as the "LESSEE", and the CITY OF SANFORD,
whose address is 300 North Park Avenue, Sanford, Florida 32771, hereinafter referred to
as the "LESSOR".
WITNESSETH:
WHEREAS, the parties entered, on June 16, 1994, that certain agreement styled
"Agreement" which Agreement is, in part, a lease of real property; and
WHEREAS, Section 40 of the Agreement provides that "[t]his Agreement may not
be modified except by an instrument in writing, signed by the duly authorized
representative of each party thereto"; and
WHEREAS, the Agreement will expire and terminate on June 15, 2009 in
accordance with the provisions of Section 3 of the Agreement; and
WHEREAS, the parties agree that the Agreement should be extended and
amended as set forth herein.
NOW, THEREFORE, in consideration of the foregoing, and the premises and the
promises, covenants and agreements herein contained, and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged by the parties
agree as follows:

SECTION 1. EXTENSION OF AGREEMENT. The parties agree that the
Agreement shall be extended for a term ending June 15, 2014 consistent with the terms
hereof.
SECTION 2. AMENDMENTS TO AGREEMENT. The Agreement is hereby
amended as follows:
2(a).
(a). A period is inserted at the end of the first paragraph of Section 2(a).
(b). A comma is inserted after the word "facility" in the second paragraph of Section
(c). Section 6 is deleted.
(d). The LESSEE shall provide a report summarizing its maintenance activities
relative to the Subject Property during the course of the initial ten -n.
(e). The improvements referenced in Section 11 have vested in the LESSOR;
provided, however, that the LESSOR maintains the right and the LESSEE maintains its
duty to remove such improvements at the termination of the extension provided for herein.
(f). References to the "Central Florida Regional Airport" shall mean the
"Orlando/Sanford International Airport."
(g). Notices to the LESSEE shall be at the corporate address set forth in this
document.
(h). Section 43 is deleted as a typographical error.
SECTION 3. NO OTHER CHANGES. Aside from the foregoing, the Agreement is
neither amended nor revised.

AMENDMENT OF LEASE AGREEMENT
This Extension of Lease Agreement (Extension) is entered by and between Sanford Aero
Modelers Inc. (the "Tenant"), whose new address is 106 Ventura Drive, Sanford Florida 32725
and the City of Sanford, Florida (the "Landlord"), whose address is 300 North Park Avenue,
Sanford, Florida 32771.
Tile parties entered into that certain Lease Agreement attached hereto which expired on
June 15, 2014, but was amended and extended (until June 15, 2019) by the parties in February,
2014, said amendment and extension also being attached hereto.
The parties have determined that it is mutually beneficial to renew the Lease Agreement,
as amended in 2014, for a term terminating on June 15, 2024 unless terminated in accordance with
the provisions of the lease agreement or by the City upon 90 days advance written notice at any
time without cause or with cause in the sole and absolute discretion of the City.
Additionally. the terms and conditions of the Lease Agreement shall be such that the Tenant
shall pay the Landlord $10.00 per year as rent and shall procure, have and maintain proper
insurance as required by the Landlord. Further, the Tenant agrees to reasonably cooperate with
programs and activities of the Landlord that are recreational or tourist related and involve the
promises and the activities of the Landlord or the Tenant.

Approval to extend the property lease with the Sanford Aero Modelers at Site 10 is requested.
FISCAL/STAFFING STATEMENT:
The lease provides for payment of $10 per year.
The City owns approximately 1800 acres east of the City limits known as Site 10. The property
is leased to three separate parties. One of the lease holders is the Sanford Aero Modelers.
The City Commission approved the original lease with the Sanford Aero Modelers on June 16,
1994 and extended it on June 15, 2014. The lease expires on June 15, 2019. The Sanford Acro
Modelers would like to renew the lease.
The Sanford Aero Modelers pay the City $10 per year and are required to have proper
insurance. They have done a good job maintaining the property and have been good tenants.
They provide recreational opportunity for the remote control airplane enthusiast.
The original lease was for 15 years. The first lease and second lease were extended for five
years each and this extension is for an additional five years, for a term ending on June 15,
2024. The lease can be terminated by the City with 90 days advanced written notice.
LEGAL REVIEW:
The City Attorney's office reviewed the lease extension and amendment to the lease agreement
and has no legal objection to the action.
RECOMMENDATION:
Staff recommends approval of the second lease extension with Sanford Aero, Modelers for the
Site 10 property for a term to expire June 15, 2024. -
SUGGESTED MOTION:
"I move to approve the second lease extension with Sanford Aero Modelers."
