RE: Request for Consent to Assignment
Dear Customer,
As you know, Caldwell Tanks, Inc. ("Caldwell") and City of Sanford ("Customer") have
entered into that certain Maintenance Services for Elevated Water Tanks (RFP 10/11-05)
dated July 22, 2011 (the "Contract") regarding tank maintenance and related services.
Caldwell and Utility Service Co., Inc. ("USCI") have entered into an assignment
agreement pursuant to which, among other things, Caldwell desires to assign the
Contract, including Caldwell's rights and the performance of its duties from and after the
effective date of the assignment, to USCI, which would assume those obligations (such
assignment and delegation being the "Assignment").
USCI is the largest tank maintenance service provider in the nation and has been engaged
in the business of full service tank maintenance for over 50 years. Additional
information regarding USCI may be found at www.util ilysery ice. com\tankassetmgt. htm 1.
We anticipate that the USCI transaction will close on or after January 1, 2016, but will be
effective on January 1, 2016 (the "Effective Date"). Accordingly, we respectfully request
that you consent to the proposed Assignment by executing a copy of this letter and
returning it, to the undersigned as soon as possible but in any event by no later than
January 9, 2016.
By executing this letter below and consenting to the Assignment as of the Effective Date,
the Customer agrees that, Caldwell shall be released and forever discharged from any
obligations under the Contract that arise o1n.and after the, Effective, Date, which, shall be
the responsibility of USCI.

If the USCI transaction does not close for any reason, then the Assignment would not be
consummated, and your consent would not be necessary. We will notify you in that
event.

UTILITY BILLING SERVICES
ADDENDUM TO EXTEND TERM OF AGREEMENT
Cathedral Corporation ("Cathedral") and the City of Sanford ("CLIENT") agree to extend the City of Sanford
Piggy Back Agreement to the City of Melbourne Contract No. 12-133-0-2012 for an additional two year period
starting June 1, 2016 and ending May 31, 2018, with the understanding that the agreement coexists with the
City of Melbourne Contract No. 12-133-0-2012.
Attached to this Addendum is a copy of the executed Contract Amendment to the City of Melbourne Contract
No. 12-133-0-2012 authorizing the two year contract extension.
All other terms and conditions of the Agreement shall not change and remain in effect.

agree to extend the City of Sanford Piggy Back Agreement to the City of Melbourne Contract
No.12-133-0-2012 for Utility Billing Services for an additional two year period starting June 1,
2014 and ending May 31, 2016.
Attached to this Addendum is a copy of the executed Contract Amendment #2 to the City of

UTILITY BILLING SERVICES
This Amendment to the Contract for the printing and mailing of utility bills is made and
entered into as of April 23, 2014, between the CITY OF MELBOURNE and
ADVANCED XEROGRAPHICS IMAGING SYSTEMS, INC., DBA AXIS DATA
SOLUTIONS, hereinafter referred to as the CONTRACTOR.
The contract entered into on February 14, 2013, is hereby amended to renew the
contract for an additional twenty-four (24) month period, at the same terms and
conditions, by mutual agreement of both parties.
The parties do hereby execute this amendment for the period of June 1, 2014 through
May 31, 2016.
All other terms of the Purchase Contract remain in effect.
