1791 15/16 Choice Neighborhoods/GoldsboroMEMORANDUM OF UNDERSTANDING FOR FY2015/2016 CHOICE NEIGHBORHOODS INITIATIVE PLANNING ANDAcnONGRANT FOR THE GOLDSBORO NEIGHBORHOOD This MEMORANDUM OF UNDERSTANDING ("MOU") is made and entered intothis ay of February 2016, by and between the Sanford Housing Authority ("SHA"), a Florida public body, corporate and politic; the Orlando Housing Authority ("OHA"), the HUD -approved managing agent for SHA; and the City of Sanford ("the City"), a Florida municipal corporation. RECITALS WHEREAS, on November 23, 2015, the Federal Department of Housing and Urban Development (HUD) issued the Choice Neighborhoods Notice of Funding Availability (NOFA) for Planning and Action Grants for FY2015/2016. Planning Grants are intended to assist communities in developing a successful Neighborhood Transformation Plan (NTP) and build the support necessary for the plan to be successfully implemented. WHEREAS, on November 19, 2015, OHA entered into an interlocal agreement with SNA to provide management and development/redevelopment services which includes being responsible for day -top -day operations and fiscal management of SHA. OHA has served in this role since 2010.OHA`s President/CEO is responsible for presenting issues and actions to the SHA Board of Commissioners for final approval. WHEREAS, HUD approved the demolition of all of SHA's public housing stock including Redding Gardens, Lake Monroe Terrace, William Clark Court, Castle Brewer Court, Cowan Moughton Terrace, and Edward Higgins, for a total of 483 units. All units have been demolished. Residents were provided Housing Choice Vouchers which are currently administered by OHA. WHEREAS, five (5) of the public housing developments are located in the historic Goldsboro neighborhood in Sanford, which account for 380 units, resulting in 47.9 acres of vacant land. WHEREAS, SHA, OHA and HUD signed a Stipulation of Settlement and Dismissal with former SHA residents on July 28, 2011 committing SHA to provide a goal of 209 units of replacement public housing as part of a mixed income development. WHEREAS, if awarded, the Choice Neighborhoods Initiative (CNI) Planning Grant will provide up to $500,000 toward the development of a comprehensive neighborhood revitalization strategy, or Transformation Plan, to guide the redevelopment of public housing units, while simultaneously directing the transformation of the surrounding neighborhood and positive outcomes for families. In addition, up to $1,500,000 is available to fund Action Activities in the targeted neighborhood. WHEREAS, OHA has significant experience managing large-scale housing and neighborhood revitalization projects through the HOPE VI program and will provide the management capacity required of the CNI Planning and Action Grant application. Page 1 of 3 LEV-2 NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS: 1. PURPOSE SHA, OHA and the City shall cooperate for the purposes of applying for FY 2015/2016 CNI Planning and Action Grant funds and undertaking or assisting in undertaking eligible activities in the application for Planning Grant funds including the development of a Transformation Plan for the Goldsboro neighborhood and the five public housing sites in the targeted area. 2. SCOPE OF WORK SHA will serve as the Lead Applicant for the purposes of the CNI Planning Grant application and OHA shall serve as the Project Manager. The City of Sanford agrees to join SHA as co -applicant for the Grant. As Lead Applicant, SHA agrees to execute various Grant application and planning documents as required by HUD. OHA, as Project Manager on behalf of SHA, shall: (1) ensure that the Planning project is carried out in compliance with all Planning Grant requirements and in substantial compliance with the Planning and Action Grant application; (2) determine the adequacy of performance under project agreements and procurement contracts; (3) assume responsibility for environmental reviews; (4) keep the SHA Board apprised of all planning activities, issues requiring resolution and Board vote, and schedule; (5) submit documents to HUD as required for participation in the CNI Planning and Action Grant program; and (6) manage the Planning Coordinator, Master Developer, and related contracts in the development of the Transformation Plan. As Co -applicant, the City shall co-sign the Grant Agreement and be jointly responsible with SNA for implementing the planning activities identified in the Grant application and amended as needed throughout the grant period. The Co -applicant will not directly receive access to CNI funding through HUD LOCCS. 3. COOPERATION The parties agree to work together in a mutually beneficial and cooperative fashion in order to ensure that the best possible Grant application is submitted and, if the Grant is awarded, to ensure successful implementation of the Grant. Each party understands that it will be required to exercise reasonable efforts to perform its responsibilities under the Grant and to allocate sufficient personnel and other resources to fulfill such responsibilities in accordance with the relevant terms of the Grant. 4. MATCHING FUNDS The parties understand that the federal Grant funds require matching funds at the local level. The City of Sanford commits to provide $250,000 in cash matching funds to support the planning effort, contingent upon the award of a $500,000 CNI Planning Grant (and potentially $1,500,000 for Action Activities). The Sanford Housing Authority commits to provide $100,000 in supporting commitments to fund predevelopment activities for the redevelopment of public housing units in new housing communities that include a range of incomes. The predevelopment activities may include, but not be limited to, undertaking environmental assessments and geotechnical studies, funding engineering and architectural services, contracting for a market study, submitting funding applications, etc. Page 2 of 3 LEV-3 5. DURATION The cooperation, expenditure of funds and other resources, and mutual understandings set forth in this MOU shall continue until the end.date of the Grant as provided in the Grant Agreement. They are also contingent upon the award of a CNI Planning Grant (and potential funding for Action Activities). Should the parties not receive the Grant, this MOU will no longer represent the parties' understandings and will be of no effect, but any obligations or agreements set forth in other documents will continue in full force and effect. 6. MISCELLANEOUS This Agreement concerns only the Grant and does not concern any other work undertake by the parties, whether jointly or separately, This MOU does not create any permanent partnership between the parties nor does it limit the parties in their rights to carry on their individual activities for their own benefit.
