organised under and by virttuma of the laws of the State of Virginia, hereinafter for
convenience styled the "RAILROAD COMPANY", the first party, and. the CITY OF SANFORD,
a municipal corporation under the laws of the State of Florida, hereinafter for
convenience styled the "CITY", the second party;
NITUBBSZTS, that -
VIUVAIS, the Railroad Company has in operation automatically operated
crossing signal lights, for the purpose of p"otectiang traffic at the French Avenue,
crossing at the Intersection of Renes. Avenue and 13th Street in the City of
Sanford, Florida; and
WHEREAS, for the purpose of relieving truffle cosgestielft at French.
Avenue and 13th Street, the City has installed traffic light signals at this
location and the Railroad Company has requested permission of the City to inter-
connect by means of an electric circuit the automatically operated crossing signal
lights with the City's traffic signals at French Avenue and 13th Street, so that
when a train is approaching French Avenue crossing, and the automatically operated
crossing signal, lights are in operation the City traffic lights will automatically
indicate "STOP" to traffic an French Avenue and 13th Street across the railroad
crossing and hold that indication so long as the automatically operate a slgsmrl lights
are "RED" or "STOP" indication, as shown on attached blueprint Plan ZX -339j, "tod
December 19, 1956, hereto attached and +redo a part hereof; and
WHERBLS, in keeping with its policy of co-apemratireg In all matters cal-
culating to promote public safety, the City has agreed to the proposed Inter-
connection.

control boat will be installed by and at the cost and 'expense of the City.
It is further MWERSTOOD AND AGRZW that all expenses incident to the
maintenance of the inter -connection system shall be at the cost and emXpemnse of the
City.

release, indemnify and same harmless the Railroad Company, its successors or
assigns, against any MA all liability to the Qitt ina idont to or growing out

operated crooning signal lights; and faxrther, that the City will indemnify and
save harmless the Railroad Company, its successors or assigns, against saa:,r and
all el fid s , demands , suits , or Judgments growing out or aW accident that MEW
occur by reason of the mechanical failure of the operation of the City traffics
signals in conjunction. with the operation of the automatically operated crossing
light signals.
THIRns It is UNDERSTOOD AND AGREED that this contract shall not be
binding until it has been ratified by proper ordinance or resolution of the
Commission of the second party, a copy of which resolution or ordinance is
attaahed hereto and made a part of this agreement.
