2484 First Amendment to Lease 2022-23 Ground Lease - SAA & COSFIRST AMENDMENT TO LEASEE NO. 2022-023 GROUND LEASE BETWEEN SANFORD AIRPORT AUTHORITY AND THE CITY OF SANFORD This is the First Amendment ("First Amendment") to that certain Lease No, 2022-023 Ground Lease between the Sanford Airport Authority, a dependent special district of the State of Florida ("Landlord" or "SAA") and the City of Sanford, a Florida municipal corporation ("Tenant" or "City") and dated April 5, 2022 (the "Lease"). The Landlord and Tenant may hereinafter be referred to individually as "Party" and collectively as the "Parties." WITNESSETI I: WHF,RE AS, the SAA and the City previously entered into the Lease covering approximately three (3.01) acres of real property located at 3650 Marquette Avenue, in Sanford, Seminole County, Florida and as more particularly describe on Exhibit "A to the Lease (the "Premises"); and WHEREAS, the SAA and the City agree that the legal description for the New Leased Premises which is attached to this First Amendment as Exhibit "A", the boundary Survey as prepared by SSMC Corp. on March 23, 2023, shall be substituted for the Premises identified in the Lease, as amended by this Amendment, and that, effective as of the Effective Date of this Amendment. the Revised New Leased Premises shall be and become the Premises identified in the Lease; and WHEREAS, Landlord and Tenant have mutually agreed to modify and amend legal description of the New Leased Premises identified in the Lease, as amended by this ist Amendment, and certain provisions of the Lease as hereinafter set forth. NOW THEREFORE, in consideration of the mutual agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows: 1. The above recitals (whereas clauses) are incorporated herein by this reference. 2. Exhibit "A" of the original Lease shall be deleted and the real property described in Exhibit "A" attached to this First Amendment (Revised New Leased Premises) shall be and become the Premises identified in the Lease as of the Effective Date of this First Amendment. 3. The Effective Date of this First Amendment shall be the date of execution by the last Party. Except as modified or amended hereby, all other terms and conditions of the Lease shall be and remain in full force and effect and are hereby ratified and reaffirmed by the Parties hereto.
