THIS CONSTRUCTION CONTRACT (the "Contract"), is made and entered into as of the Effective Date (defined below), by and between DOVE BUILDERS OF CENTRAL FLORIDA, INC., a Florida corporation (the "Contractor"), and PaulaJohnson (the "Owner").

SECTION -I
Renovate Single Family Residence
The Contractor agrees to furnish all of the materials and to provide all of the labor and services that shall be necessary andrequiredtorenovateinaworkmanlikemanneraSingleFamilyResidential (the "SFR") for the Owner on the followingdescribedrealproperty (the" Property"): 2653 S. SECTION H
PLANS AND LABOR
The Contractor agrees to renovate the SFR in substantial compliance with the plans and specifications prepared therefore andanygeneralorspecialconditionsattachedtosaidplansandorspecificationswhichhavebeenapprovedinwritingbytheContractorandtheOwnerandmadeapartthereof (collectively, the "Plans or Specificatiobs" SEE ADDENDUM A). In the
event there is a conflict between the Plans and the County Building Code, the County Building Code shall govern. The
specifications are to be attached to Contract. Except as otherwise noted, Contractor shall provide and pay for all materials, labor, tools, water, sewer, power, portable toilets, and any other items necessary to construct the Building Addition. All
materials shall be new, and both workmanship and materials shall be of good quality. All workmen and subcontractors shall
be skilled in their trades. The Contractor further agrees to pay all labor, materials and services used, to deliver same to Owner
freed and discharged of all claims and liens of every nature and description growing out of or in connection with the use, performance and/or furnishing of such labor, materials and services.
Contractor shall have full responsibility for general management of construction of said Building Renovation and shall have
full directing authority over the execution of all subcontractors and subcontracts. Also, Owner shall not discuss copstruction
matters with the Contractor's subcontractors, such as adding, changing quality or pricing anything related to the Building. NorepresentationbyasubcontractorshallbebindingupontheContractor.
SECTION III
CHANGE ORDERS
No change or alteration in said Plans/Specifications and the work to be done there under shall be made without thejoint writtenconsentoftheOwnerandtheContractor. Owner understands that Contractor may elect not to perform a change or alteration
to said Plans if Contractor, at Contractor's sole discretion, determines Owner's request infeasible. ANY INCREASE IN THE
CONTRACT PRICE RESULTING FROM A CHANGE SHALL BE PAID BY OWNER TO CONTRACTOR AT THE TIME
THE CHANGE ORDER IS AGREED TO BY OWNER AND CONTRACTOR IN WRITING. ALL MONIES COLLECTED
WILL BECOME NON-REFUNDABLE UNDER ALL CIRCUMSTANCES WHATSOEVER. Any decrease in the Contract
Price resulting from a change shall reduce the amount due Contractor under final disbursements.
SECTION IV
CONTRACT PRICE AND PAYMENT

matters with the Contractor's subcontractors, such as adding, changing quality or pricing anything related to the Building. No
representation by a subcontractor shall be binding upon the Contractor.
SECTION III
CHANGE ORDERS
No change or alteration in said Plans/Specifications and the work to be done there under shall be made without the joint written
consent of the Owner and the Contractor. Owner understands that Contractor may elect not to perform a change or alteration
to said Plans if Contractor, at Contractor's sole discretion, determines Owner's request infeasible. ANY INCREASE IN THE
CONTRACT PRICE RESULTING FROM A CHANGE SHALL -BE PAID BY OWNER TO CONTRACTOR AT THE TIME
THE CHANGE ORDER IS AGREED TO BY OWNER AND CONTRACTOR IN WRITING. ALL MONIES COLLECTED
WILL BECOME NON-REFUNDABLE UNDER ALL CIRCUMSTANCES WHATSOEVER. Any decrease in the Contract
Price resulting from a change shall reduce the amount due Contractor under final disbursements.
SECTION IV
THE CONTRACT PRICE IS: 81,690.00

The Contract Price shall be guaranteed by the Contractor for a period of sixty (60) days from the Effective Date. Should the
loan closing be delayed past that time, other than by Contractor, Contractor reserves the right to adjust the Contract Price.

SECTION V
FINANCING
Owner agrees that every lien, claim, right, title and interest (collectively, "Claims") of Owner in the Property,
including without implied limitation, equitable Claims and Claims arising from this Contract, are junior and inferior to the lien
of every mortgage heretofore or hereafter granted by Contractor or Owner (defined hereafter) in favor of a lender encumbering
the Property, and Owner hereby subordinates Owner's Claims in the Property to the liens of such mortgages.
SECTION VI
DISBURSEMENTS AND DRAW SCHEDULE
If Owner is financing construction through an institutional lender, disbursements shall be made by lender from the construction
loan account in accordance with the lender's standard draw schedule. All disbursements shall be made directly to Contractor
except for the final disbursement which shall be made payable to both the Owner and the Contractor. IfOwner is not financing
the construction through an institutional lender, disbursements shall be made by Owner to Contractor in accordance with the
attached Draw Schedule and/or the construction fund disbursement agreement arranged by Owner through a third party. Owner
understands that all monies collected by Contractor are deposited directly into the Contractor's operating account.
At the time Owner signs contract, the Property shall be free and clear of all liens and encumbrances except taxes and
assessments not yet due; easements, covenants and restrictions of record; matters appearing on the plat of the Subdivision;
utility and developer's agreements of records; recorded resolutions for municipal service taxing units; other matters of record
common to the Subdivision; record mineral rights reservations; and applicable laws and restrictions imposed by the applicable
governmental authorities. Owner shall pay all financing and closing costs. Contractor shall pay for the costs of permits, impact
fees and the commission(s) set forth in this Contract. CONTRACTOR SHALL RECEIVE AT THIS LOAN CLOSING TEN
PERCENT (250%) OF THE TOTAL CONTRACT PRICE AS IDENTIFIED IN SECTION IV OF THIS CONTRACT. SEE
ADDENDUM B
SECTION VII
TIME OF COMMENCEMENT AND COMPLETION
The Contractor agrees that it will secure a building permit in an expeditious manner after loan closing and that it shall commence
construction within ten (10) days of securing said permit. The Contractor further agrees to perform the work in an expeditious
manner and shall complete, finish and deliver said Building Addition to Owner in accordance with said Plans and this Contract
no later than four (4) calendar months after commencement of construction (the "Estimated Completion Date"). The only
extensions to this time interval that will be allowed are for delays resulting from actions beyond the Contractor's control or for
delays caused by changes to Plans or unavailable selections by the Owner after commencement of construction. In the event
such construction delays occur, and Contractor is not the direct cause of such delays, causing completion of said Building
Addition to take longer than the Estimated Completion Date, Contractor reserves the right to collect from Owner cost overruns
caused by the delay not to exceed five percent (5%) ofthe original Contract Price. Contractor will document such cost overruns,.
if any.
SECTION VIII
COMPLETION AND POSSESSION
Approval by the local Building Inspector and lender (if any) shall constitute substantial completion ofsaid Building Addition.
Contractorshall usereasonableefforts to -complete-Owner's-punch- list withinthirty(30)-daysafter issuance-ofthe-certificate
of occupancy. Prior to final payment, the Contractor shall submit to the Owner and the lender an affidavit that any material,
equipment, services and indebtedness connected with the work has been paid or otherwise satisfied. Owner shall not occupy
the Building and Contractor shall not be required to deliver the keys to said Building until a certificate ofoccupancy or
equivalent has been issued by the governing authority and one hundred percent (100%) of the Contract Price has been paid to
Contractor.

SECTION IX
TITLE INSURANCE AND CLOSING
If applicable, Owner may purchase at Owner's expense an owner's title insurance policy. Owner shall be
responsible for any loan policy required by the lender, including any endorsements. Owner shall also be responsible
for all related title charges and fees
SECTION X
TERMINATION
Should the work be stopped by any public authority for a period ofthirty (30) days or more, through no fault ofthe Contractor,
or should the work be stopped through act or neglect of the Owner for a period of seven (7) days, or should the Owner
wrongfully fail to pay the Contractor any payment within seven (7) days after it is due, then the Contractor, upon seven (7)
days written notice to the Owner, may stop work or terminate the Contract and recover from the Owner payment for all work
scheduled and any loss sustained and reasonable profit and damages.
The Owner may, with the concurrence of the lender, stop work or terminate the Contract upon seven (7) days written notice to
the Contractor upon occurrence of any one or more of the following events: if the Contractor commences a voluntary case
under any chapter ofthe Bankruptcy Code; ifthe Contractor makes general assignment for the benefit of creditors, or a trustee
or receiver is appointed to administer the Contractor's property or enforce a lien; if the Contractor admits in writing an inability
to pay his debts as they become due; or ifthe Contractor consistently fails to perform the work in accordance with the Contract.
SECTION XI
INSURANCE
Contractor shall maintain builders risk insurance on the improvements for the full replacement value thereof until a certificate
ofoccupancy or equivalent has been issued by the respective governmental authority. Contractor shall also maintain worker's
compensation insurance, unless exempt, and general liability insurance during the construction period. From and after the date
of issuance of the certificate of occupancy, Owner shall be responsible for maintaining hazard insurance on all improvements
and shall be responsible for the loss of any materials delivered to the work site.
SECTION XII
WARRANTY
Contractor warrants that for one (1) year after completion of the Building Addition, all major components of the Building
Addition will be free of defect and will function in the manner for which that component is intended. For purposes of this
provision, the major components of the Building Addition will be deemed to consist ofthe roof, walls, foundation, plumbing
system, floors, ceilings, and electrical wiring. If a defect surfaces in any of these components within one year after closing,
Contractor will repair the defect at Contractor's own expense. Notwithstanding the foregoing, Contractor will have no
responsibility to correct problems with any of the major components resulting from abuse or from wind, fire, storm or other
such casualty. Repair of such defects shall be Contractor's sole liability and responsibility. THIS SHALL BE THE SOLE
WARRANTY, EXPRESSED OR IMPLIED, FOR WHICH CONTRACTOR WILL BE HELD RESPONSIBLE, AND IS
GIVEN IN LIEU OF ALL OTHER WARRANTIES. CONTRACTOR HAS MADE NO GEOLOGICAL OR
ENVIRONMENTAL TESTS OR SURVEYS OF THE PROPERTY AND MAKES NO WARRANTY CONCERNING
GEOLOGICAL OR ENVIRONMENTAL MATTERS SUCH AS SINKHOLES, CONTAMINATION, OR RADON GAS.
CONTRACTOR MAKES NO WARRANTY WITH RESPECT TO ITEMS PROVIDED BY OTHER MANUFACTURERS
SUCH AS, BUT NOT LIMITED TO, AIR CONDITIONER, KITCHEN APPLIANCES, WATER HEATER, OR
CONSUMER PRODUCTS (AS DEFINED BY THE FEDERAL TRADE COMMISSION). Contractor agrees to transfer to
Owner all manufacturer's warranties for such items wiihout recourse to Contractor. CONTRACTOR -SHALL NOT-B
BOUND BY ANY STATEMENT OR REPRESENTATION BY ANY PERSON UNLESS SUCH IS SPECIFICALLY SET
FORTH IN THIS CONTRACT. OWNER ACKNOWLEDGES THAT OWNER HAS EXECUTED THIS CONTRACT
SOLELY ON THE BASIS OF THE CONTENTS OF THIS CONTRACT AND NOT IN RELIANCE ON ANY OTHER
STATEMENT OR REPRESENTATION ATTRIBUTED TO CONTRACTOR.

SECTION XIII
MEDIATION/ARBITRATION; ATTORNEY'S FEES
Resolution of disputes related to the Contract shall be by informal mediation and binding arbitration unless Contractor
determines that it has insurance covering the claim, in which case Contractor's insurer will have sole discretion to determine
whether this paragraph shall apply to such dispute. Should any dispute concerning any aspect of this Contract arise between
the parties such disputes shall be settled first by conducting mediation, then by referral to arbitration as provided below. Either
party may give notice to the other of the existence of a dispute and a desire to commence dispute resolution proceedings.
Mediation, then arbitration of any matters unresolved by mediation, will proceed in accordance with the dispute resolution
rules.and_standards_of_the.American Arbitration_Association.(AAA),.which-are made apart-ofthis-Contract.--AAA-will-provide
a mediator, and if required an arbitrator, who is a lawyer admitted to practice in the courts ofthe State of Florida and who has
experience in the construction industry. Any award by an arbitrator will be in writing, signed by the arbitrator, and will be
binding upon the parties. Each party will pay their own attorney's fees, and the fees and costs for mediation and arbitration
will be evenly divided between the parties, and will be paid by them. Seminole County, Florida will be the exclusive venue
and jurisdiction for resolution of all disputes, by whatever process.
SECTION XIV
GENERAL PROVISIONS
Site Cleanup. The Contractor shall keep the Property reasonable free from accumulation of waste material and rubbish and at
the completion of the work it shall remove from the Property all rubbish, implements and surplus materials and leave the
Building Addition vacuum cleaned and windows washed and cleaned.
Assignment. Neither party to the Contract shall assign the Contract nor sublet it as whole without the written consent of the
other, nor shall the Contractor assign any money(s) due or to become due to him hereunder, without the previous written
consent of the Owner.
Remedies. If Owner fails to perform as required by this Contract, all payments made by Owner or Owner's lender shall be
retained by Contractor as liquidated damages, and the obligations and liabilities of both parties under the Contract shall
terminate; or, at Contractor's option, Contractor may proceed in equity to enforce Contractor's rights under the Contract. If
Contractor fails to cure default under the Contract within fifteen (15) days after receipt of written notice from Owner of said
default, Owner's sole and exclusive remedies shall be specific performance, or return of the refundable portion of Owner's
deposit(s) and termination of the Contract. Notwithstanding anything to the contrary in this Contract, in no event shall
Contractor ever be deemed liable to Owner or in default of this Contract for any delay in the completion of any work caused
by strikes, lock -outs, war, unavailability of materials, floods, weather conditions, governmental regulations and acts,
subdivision regulations and acts, or by reason of any other fact which shall not have been caused by the act or default of
Contractor.
Indemnification. OWNER AGREES TO INDEMNIFY AND HOLD CONTRACTOR HARMLESS FROM ALL FINES,
PENALTIES, COSTS, DAMAGES, LOSSES AND EXPENSES, INCLUDING JUDGEMENTS AND ATTORNEY'S FEES,
RESULTING FROM CLAIMS ARISING FROM DAMAGES OR INJURY TO PERSONS OR PROPERTY OCCASIONED
BY OWNER OR OWNER'S AGENTS, THIRD PARTIES, FORCE MAJEURE OR OTHER CAUSES BEYOND
CONTRACTOR'S CONTROL.
Interest. Any amount due from Owner to Contractor under this Contract will bear interest from the due date through the time
of full payment at the highest lawful rate.
Contingencies. Contractor's obligations are contingent on Contractor's obtaining all permits and approvals required for
coristructiori-andoccupancy of -theBuildingAddition. If-Contractoi is unabletoobtain anyrequired permit -orapproval
Contractor may terminate this Contract at Contractor's discretion.
Waiver. No waiver ofany provision hereof shall be effective unless executed in writing by the party claimed to have made the
waiver. No waiver of a provision hereof shall constitute a continuing waiver. A party's forbearance to enforce any available
rights or to exercise any available remedy, or to insist upon strict compliance herewith, shall not be deemed a waiver or
forfeiture of such rights, remedies or strict compliance. A party's acceptance of any late or inadequate performance, shall not
constitute a waiver or forfeiture of that parry's right to treat such performance as an event of default or to require timely and
adequate performance in the future.

Survival. All indemnities, covenants, warranties, rights and obligations set forth in this Contract shall survive after the
termination of the Contract.
Fair and Usual Meaning. The language used in this Contract will be construed according to the fair and usual meaning of
the language, and will not be strictly construed for or against either party.
Modification. This Contract shall not be modified except in writing signed by both Contractor and Owner, or their
designated agents.
Parties -Understanding_ It is_expressly agreed that this Contract constitutes the understanding between the parties
hereto and that no oral understanding, representation, promise or any other statement whatsoever made by anyone
whomsoever shall be binding upon Contractor unless the same is contained herein or in another instrument attached
hereto and made a part of this Contract and duly signed by all parties.
