HOLD HARMLESS AND RELEASE OF LIABILITY
The CITY OF SANFORD, a Florida municipal corporation, whose
mailing address is 300 North Park Avenue, Sanford, Florida 32771
(hereinafter referred to as "CITY ") has requested permission from
SEMINOLE COUNTY, whose address is Seminole County Services
Building, 1101 East First Street, Sanford, Florida 32771
(hereinafter referred to as "COUNTY ") to use the first floor of
the County -owned Roumillat Building, located at 100 E. First
Street, Sanford, Florida, for the purpose of decorating the first
floor windows for the holidays. The City wishes to have access to
the first floor of the Roumillat Building on December 3, 2010,
from 8:00 a.m. until 5:00 p.m. to decorate the windows and access
again on January 1, 2011, from 8:00 a.m. until 5:00 p.m. to
remove the decorations.
In consideration of permitting the use of County property
for decorating its first floor windows for the holiday season,
CITY does hereby release and discharge insofar as permitted by
Florida law the COUNTY, its agents, officers, and employees from
any and all claims, demands, grievances, and causes of action of
every kind whatsoever including, but not by way of limitation,
all liability for property damages and personal injury of every
kind, nature, or description arising or which may arise hereafter
from CITY' S use of the County-,pv iL�A property located at 100 East
First Street, Sanford, FL 32717
CITY further agrees to indemnify and hold harmless COUNTY,
its agents, officers and employees from any and all claims,
demands, and causes of action of every kind and nature by third
parties for damages to persons or property, costs, charges, and
expenses, including attorneys' fees, insofar as permitted by
Florida law, which may arise out of, by reason of, or in any
manner grow out of CITY'S use of the property as described above
for holiday decorating.
In the event that COUNTY -owned property is damaged,
destroyed, or otherwise left in a reduced or unclean condition as
a result of CITY'S use of said property, then CITY agrees to pay
to COUNTY the full cost of restoring said property to its
condition prior to CITY'S use, with total cost and condition to
be determined by COUNTY.

parking lot on First Street, located at across from the County
Services Building, for the purpose of locating two port -a- potties
for the public's use during the City's Holiday Parade. The Aort-
a- potties will be placed on County property on December 3, 2010
and will be removed on December 6, 2010.
In consideration of permitting the use of County property
for placement of port -a- potties, CITY does hereby release and
discharge insofar as permitted by Florida law the COUNTY, its
agents, officers, and employees from any and all claims, demands,
grievances, and causes of action of every kind whatsoever
including, but not by way of limitation, all liability for
property damages and personal injury of every kind, nature, or
description arising or which may arise hereafter from CITY'S use
of the County -owned property located across from the County
Services Building, located at 1101 East First Street, Sanford, FL
32771-1468. /..,
CITY further agrees to in mnify and hold harmless COUNTY,
its agents, officers and employees from any and all claims,
demands, and causes of action of every kind and nature by third
parties for damages to persons or property, costs, charges, and
expenses, including attorneys' fees, insofar as permitted under
Florida law, which may arise out of, by reason o €, or in any
manner grow out of CITY'S use of the property as described above
for locating its port -a- potties on County -owned property for use
during its parade.
In the event that COUNTY -owned property is damaged or
destroyed as a result of CITY'S use of said property, then CITY
agrees to pay to COUNTY the full cost of restoring said property
to its condition prior to CITY'S use, with total cost and
condition to be determined by COUNTY.
