AGREEMENT FORM
GENERAL re)
THIS AGREEMENT, made this 3 day of August ,2000, by and between
(1) the City of Sanford, hereinafter called the City, and
(2) (2) C.F. Tuohey Construction, Co. Inc. doing business as a
(3) (3) Company , and hereinafter called the Contractor.
The Owner and Contractor agree as follows:
Contract Documents
The Contract Documents consist of this Agreement; all Technical, General, and
Supplementary Conditions and Sections contained in the Project Manual; the Drawings as
listed on the Bid Form and Index to Drawings; all Addenda issued prior to and all Change
Orders issued after execution of this Agreement. These form the Contract and all are as
fully a part of the Contract as if attached to this Agreement or repeated herein.
Scope of Work
The project consists of the renovation to the Evergreen Cemetery Building Repairs.
Construction includes replacement of various items and renovations as indicated on the
drawings and other information contained within the contract documents.
The contractor shall commence work as soon as possible The Contractor shall coordinate
closely with the City for repairs for this project, unless otherwise directed or approved by
the City/Engineer.
Contract Time
The Contractor shall begin work within 10 days after the issuance of a written Notice to
Proceed and shall be complete the work within 90 calender days from the date of the Notice
to Proceed.
Liquidated Damages
OWNER and CONTRACTOR recognize that time is of the essence of this Agreement and
that OWNER.
Contract Price
The Owner will pay the Contractor in current funds for the performance of the work,
subject to additions and deductions by Change Order, the Total Contract Price Nineteen
thousand nine hundred eighty-eight dollars and 00/1000 ($19,988.00). Payments will be
made to the Contractor based on the Lump Sum Bid amount, the schedule of Values, and
subject to completion of the work, in accordance with the Contract Documents.
Payments
The Owner will make payments as provided in the General Conditions and Supplementary
Conditions.
Progress' payments will be made in an amount equal to 90% of the value of Work
completed, less, in each case, the aggregate of payments previously made. At the sole

discretion of the' OWNER, monthly progress payments may be increased after 50% of the
Work is completed to 95% of the value of Work completed less the aggregate of previous
payments provided that: a) Contractor is making satisfactory progress, and b) there is o
specific cause for greater withholding. However, the Owner may subsequently resume
retaining 10% of the value of Work completed and materials delivered if, in the sole
determination of the OWNER, the Contractor is not performing according to the Contract
Documents or not complying with the current progress schedule. This Agreement shall be
binding upon all parties hereto and their respective heirs, excutors, administrators,
successors, and assigns.
Engineer
The Project has been designed by City of Sanford, Department of Engineering and
Planning, referred to in the documents as the Engineer, whose authority during the progress
of constructions is defined in the General Conditions and Supplementary Conditions in
AIA document 201. Although not attached to this document the General Conditions of
A201 of AIA documents are hereby included in this contract and the Contractor shall make
himself fully aware of the provisions of this document.
IN WITNESS WHEREOF, the parties hereto have executed this Agreemere the day
and year first above written.

PROJECT DESCRIPTION: Evergreen Cemetery Building Repairs
The OWNER has considered the BID submitted by your firm on 6/16/00 for the above-described WORK in response
to the Advertisement for Bids and Information for Bidders.
You are hereby notified that your LUMP SUM BID has been accepted for BID items described in the plans and
Contract Documents in the amount of $19,988.00
You are required by the Information for Bidders to execute the Agreement and furnish the required CONTRACTOR's
Performance Bond, Payment Bond, and certificates of insurance within ten (10) calendar days from the date of this
Notice to you. If you fail to execute said Agreement and to furnish said Bonds within ten (10) calendar days from the
date of this Notice, said OWNER will be entitled to consider all your rights arising out of the OWNER's acceptance of
your BID as abandoned and as a forfeiture of your BID BOND if required. The OWNER will be entitled to such other
rights as may be granted by law.
You are required to return an acknowledged copy of this NOTICE OF AWARD to the OWNER.
