301-CPH-Amendment 30B AMENDMENT NO. 30B TO AGREEMENT FOR CONTINUING ENGINEERING SERVICES FOR CHASE PARK RESTROOMS AND CONTROL BUILDING BETWEEN THE CITY OF SANFORD, FLORIDA AND CPH ENGINEERS, INC. This Amendment No 30B dated this day of ,2000, is an amendment to Agreements previously entered into on the 12TM day of November 1998, and the 13~h day of July 2000, by and between the CITY of SANFORD, Florida, hereinafter referred to as the OWNER or CITY, and CPH Engineers, Inc., hereinafter referred to as the ENGINEER or CPH, is mutually agreed upon and declared an extension of the original Agreement dated December 17th, 1987, and entitled "Agreement for Continuing Engineering Services." It is the intent of this Amendment to provide for services supplemental to those described in Amendment 30A dated July 13, 2000 for the design and construction of the restroom and control building facilities associated with the Chase Park Ball Fields .... In the event of a conflict between this Amendment and the Odginal Agreement dated December 17, 1987, the provisions of this Amendment shall govern the work described herein. -1- SECTION I 1.1 GENERAL The ENGINEER proposes to provide additional design/construction services in connection with the Chase Park Baseball Field project. 2.1 SECTION II BASIC SERVICES OF THE ENGINEER SPECIFIC SERVICES OF THE ENGINEER The ENGINEER agrees to perform professional services in connection with the project as follows: Electrical, mechanical, and structural design including survey for layout of utility lines and professional supervision and project management 2. Concrete pads for eight future water coolera at the four dugout areas 3. Supply and install water lines and sewer lines for eight future water coolers Electrical service for four quad outlets at the backstop areas. Conduit only for eight future water fountains in the dugout areas. Conduit only for four scoreboards located in the ouffield area. Conduit only for communication connections to the four scoreboards in the ouffield area. Conduit only for a remote outlet for communications for the scoreboards in the backstop of the four fields. Conduit and power line for the main electric service to the restroom building Conduits only for future phone lines for the building and the dugout areas 6. Conduits only for the sound system at the building Grade and compact soil for the driveway from the parking lot to the building. Labor and materials for 5" concrete slab for the driveway. Labor and materials for concrete sidewalks around the building· Labor and materials for the concrete sidewalk in front of the handicap parking space. ~-- The ENGINEER will perform the work under the general supervision of the City Manager and will submit interim reports for his review, input, decision, etc., as appropriate. -2- 2.2 The OWNER hereby authorizes the ENGINEER to proceed with Engineering/Construction Services as outlined herein. GENERAL INFORMATION We have not included services relating to the supply and installation of the scoreboards, supply of the telephone lines and telephone switchboards, supply and installation of the sound system and flagging of utilities and irrigation lines inside the baseball field. We have not included any services regarding the existence of environmental hazards or hazardous wastes on the project. We understand these services are being provided by others. It is understood that fees for the subject project, including but not limited to, application fees, impact fees, utility connection fees, review fees, etc., will be paid directly by the OWNER. 3.1 SECTION III ADDITIONAL SERVICES OF THE ENGINEER GENERAL If authorized in wdting by the OWNER, the ENGINEER will furnish or obtain from others additional services of the following types which will be paid for by the OWNER as indicated in Section V. Additional services due to significant changes in general scope of the Project or its design including, but not limited to, changes in size, complexity, or character of construction. Revising previously approved studies, reports, design documents, drawings, or specifications beyond the revisions as described herein. Additional services resulting' from manufacturers, public, or contractor protests, administrative hearings, or similar matters. Additional services in connection to the Project, including services normally fumished by the OWNER and services not otherwise provided for in this Agreement. Preparing to serve and serving as an expert witness for the OWNER in any litigation or other proceeding involving the Project. ~.. -3- Additional Engineering Services required by revisions subsequent to the date of this Agreement to the applicable regulations, or new regulations (after date of this Agreement) of Florida Department of Environmental Protection, St. John's River Water Management District or other regulatory agency requirements not previously specified. SECTION IV THE OWNER'S RESPONSIBILITIES The OWNER will: Provide full information as to his requirements for the project. Designate a person to act as the OWNER's representative with respect to the work to be performed under this Amendment, and such person shall have complete authority to transmit instructions, receive information, interpret and define the OWNER's policies and decisions pertinent to the work covered by this Amendment. Provide and guarantee access to and make all provisions for the ENGINEER to enter upon public and private lands as required for the ENGINEER to perform his work under this Amendment. Examine all studies, reports, sketches, and other documents presented by the ENGINEER and render decisions pertaining thereto within a reasonable time so as not to delay the work of the ENGINEER. Obtain approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the project. Furnish or direct the ENGINEER, in writing, to perform at the OWNER's expense, necessary additional services. Provide such legal, accounting, and insurance counseling services as may be required for the project, and such auditing services as the OWNER may require. Give prompt written notice to the ENGINEER whenever the OWNER observes or otherwise becomes aware of any defect in the project. 5.1 5.1.1 5.1.2 5.1.3 5.1.4 6.1 6.3 SECTION V Payment General Payment Provisions The fee for the services described herein is $47,257 and added to the original design and and construction services of Amendment 30A, result in a total project fee of $137,007, inclusive of out-of-pocket expenses. Invoices will be submitted periodically for a combination of Amendment 30A and 30B services, based on percentage of work completed. The CITY will make prompt monthly payments in response to ENGINEER's monthly statements without retention for all categories of services rendered under this Agreement and for reimbursable expenses incurred. Charges for the services rendered by principals and employees as witnesses in any litigation, headng or proceeding will be computed at a rate of $1200.00 per day or any portion thereof (but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the payment method as set forth in Paragraphs 5.1.1 ). If this Agreement is terminated during prosecution of the services prior to completion of the services of Section II, payments to be made in accordance with Paragraph 5.1.1 and 5.1.2 on account of that and all prior work under this Amendment shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the ENGINEER shall be paid for any additional services authorized and rendered under Section III. SECTION VI General Conditions The CITY and the ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Amendment. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any dghts or benefits hereunder to anyone other than the CITY and the ENGINEER. The ENGINEER agrees to initiate work promptly upon receipt of authorization to proceed and to prosecute the work in an expeditious and timely manner until the Proje_c.t is completed.
