205-CPH-Amendment 61 AMENDMENT NO. 61 TO AGREEMENT FOR CONTINUING SERVICES FOR THE REDESIGN AND REPERMITTING OF THE SANFORD SOUTH WATER RECLAMATION FACILITY BETWEEN THE CITY OF SANFORD, FLORIDA AND CPH ENGINEERS, INC. This Agreement made on the~'~'1~ day of ' ,2001 between the CITY OF SANFORD, FLORIDA (hereinafi"~rcalied the CI~H ENGINEERS, INC. (hereina~ercalled the ENGINEER), is mutually agreed upon and declared an authorized Amendment to an Agreement dated December 7, 1983, between the parties, herein setting forth the scope, terms and conditions of the work herein authorized. In case of any conflict between this Amendment and the aforementioned Agreement of December 7, 1983, this Amendment shall govern for the work described herein. SECTION 1 PURPOSE OF AMENDMENT 1.1. Introduction The growth within the City of Sanford Service Area is expected to be considerable with the construction of the western leg of the GreeneWay (SR-417) and expansion of the Odando-Sanford Airport. As growth continues, new collection and transmission system improvements, wastewater treatment facility improvements, and reclaimed water distribution system improvements will be required. Population and wastewater flow projections have been revised as part of the Sanford Wastewater 201 Facilities Plan Addendure through design year2020. The projections indicate that various wastewater system improvements are currently required to meet both wastewater and reclaimed water demands. The wastewater management system improvements are identified in the 201 Facilities Plan Addendure. The City of Sanford Commission approved the Sanford Wastewater 201 Facilities Plan Addendum, on September 28, 1998, to proceed with obtaining State Revolving Loan Funding (SRF) for a new Water Reclamation Facility and other associated improvements (collection and transmission system, reclaimed water distribution system improvements, etc.). The Recommended Plan, as presented in the Facilities Plan Addendum, which was in accordance with the City's Comprehensive Plan and Master Wastewater Plan, called for the rerouting of a lift station in the south and southeast quadrant of the City and the construction of the "new" Sanford South Water Reclamation Facility. The new water reclamation facility (WRF) was to have an initial capacity of 2.0 MG D and was to be built on the corner of Marquette and Beardall Avenues on a piece of City-owned property (Orlando-Sanford Airport). The advanced treatment facility was to produce a high quality effluent, reclaimed water, that would be suitable for public access spray irrigation of residential lawns, golf courses, City parks and properties, common areas, Site 10, etc. The Engineer previously assisted the City in applying for and acquiring a low interest SRF Loan for design and construction of a wastewater collection system, Water Reclamation Facility and Reuse System for the South Sanford Area in the vicinity of the Orlando-Sanford Airport. The planning, permitting, design and funding were completed and approved by the City, FDEP-Tatlahassee, FDEP-Orlando, various jurisdictional state agencies, and the Federal Aviation Authority (FAA). However, after the project was completed, the FAA approached the City of Sanford and informed them that the airport site was no longer viable and that another site would have to be acquired by the City if they wanted to continue to receive federal funds for airport expansion. The City has recently acquired a new parcel of land, on Cameron Avenue, in the general vicinity of the airport for the "new" Sanford South Water Reclamation Facility. In order to maintain eligibility for the SRF Loan, the City must redesign and repermit various phases of the proposed project with the FDEP, FAA, State of Florida, Seminole County (right-of-way utilization) and various state jurisdictional agencies. Professional engineering services for the Sanford South WRF are required due to the change in site location and include the following task assignments: · Preliminary Engineering Services; · Hydraulic Engineering of the facility; · Existing Plan Sheet revisions; · Stormwater Management System Design and Permitting; · Raw wastewater and Potable Water Force Main Extensions; · Reclaimed Water Distribution System Extension; · Roadway improvements along Cameron Avenue (site entrance); · Engineering Design, Facilities Plan Modifications, SRF Revisions and permitting with FDEP-Tallahassee; and · Engineering Design and Permitting with FDEP-Orlando. in addition, the City of Sanford is looking to incorporate new emerging technologies into the redesign to provide a more energy efficient, cost-effective, lower capital-cost facility that also reduces the amount of process safety and risk management. These technologies include the following: ~ Disinfection using liquid sodium hypochlorite ~ Modifications of the Sludge Handling Facilities for incorporation of Class "A" Sludge Treatment; ~ Modifications to the Infiuent Structure to incorporate an above-grade, FRP, stand-alone, energy-efficient "vortex-type" grit chamber; ~ Tertiary filtration utilizing disk filters. The proposed 2.0 MGD Sanford South Water Reclamation Facility is necessary to provide wastewater treatment capacity and reclaimed water production due to the growth within the Sanford service area. In order to maintain the project on schedule, repermitting, and redesign of various phases of the project, and SRF Loan permitting must proceed immediately for the Sanford South Water Reclamation Facility. 1.2 Purpose The purpose of this Amendment work is to generally provide professional engineering services for the redesign and rapermitting of the "new" Sanford South Water Reclamation Facility, on the Cameron Avenue Property that the City recently acquired, collection system improvements, reclaimed water distribution system improvements and lift station improvements. SECTION 2 PROFESSIONAL ENGINEERING SERVICES 2.1. Under this Agreement, the ENGINEER is to provide the following design and repermitting services for the 2.0 MGD Sanford South Water Reclamation Facility expandable to 6.0 MGD capacity with minimal additional work at the new site located on Cameron Avenue. The specific services are detailed in the Plan of Study and include the following: 2.1.1 Project Tasks due to Change in Site Location ® Preliminary En<~ineering Preliminary site layout on the Cameron Avenue Site with considerations for expansion, odor and noise control; evaluate the Iogistics of getting potable water and raw wastewater to the new site and reclaimed water to the existing point of connection; and meetings with the City of Sanford to coordinate the basis of design and review, comment and approve the new site plan. Hydraulic Engineering Calculations Prepare hydraulic calculations for the water reclamation facility and set preliminary grades for the facility structures. Existinc~ Plan Sheet Revisions Revisions to some of the existing plan sheets based on the new facility site; approved facility layout; setback requirements; new horizontal and vertical control system; and new site and yard piping layout. Stormwater Management System Desicln and Permittinq Professional engineering services associated with the design of the new Stormwater Management System for the facility and permitting services associated with obtaining the stormwater permit for the site. Raw Wastewater and Potable Water Force Main Extensions Extensions of the raw wastewater and potable water force mains from their existing design locations (Marquette and Beardall Ave's - Airport location) to the new treatment facility site. Electrical Engineerinn Desiqn Design of power to the new Sanford South WRF location and electrical plan sheet revisions. · Redesign the Reclaimed Water Line and Prepare Plans and Specifications From the Sanford South WRF north on Cameron Avenue to SR 46, and then connecting into the existing 24-inch reclaimed water line. Roadway Improvements Design roadway improvements to the new location of the Sanford South Water Reclamation Facility · Enaineerina Design, Facilities Plan Modifications. SRF Revisions and Permitting with FDEP - Tallahassee Sanford Wastewater Management System Facilities Plan Addendure, Facilities Planning and SRF Permitting for the new facility location, with the proposed modifications with FDEP Tallahassee. Enaineerincl Desiqn and Permittinq with FDEP - Orlando Revise and update the Preliminary Design Report for the Sanford South Water Reclamation Facility as required by Chapter 62~600.715, FAC. Preparation of an Abbreviated Engineering Report for the Sanford South Water Reclamation Facility as required by Chapter 82-610.715(2)(a), FAC. Prepare FDEP Permit Application for the Sanford South Water Reclamation Facility and assist the City in permitting the project with FDEP (Orlando). 2.1.2 Proiect Tasks due to additional en~ineerina work and services ® Infiuent Structure Redesiqn Redesign (Plans/Specs) of the lnfiuent Structure and associated systems to incorporate a new "vortex-type" grit removal system that is energy efficient; has a low O&M cost; has a lower capital cost than the previous system; has less mechanical equipment to operate and maintain; and requires less operator control. · Tertiary Treatment System Redesign Redesign (Plans/Specs) of the tertiary filtration system to incorporate a "new" filtration system technology that utilizes a reduced footprint; is very energy efficient; has a significantly smaller capital cost than the previous filtration system; has a lower O&M cost; and produces a effluent of comparable quality to the previously designed system. ® Disinfection System Redesign Redesign (Plans/Specs) of the disinfection system at the new facility to eliminate the storage of and use of chlorine gas (4 - 15 tons). Chlorine gas is a highly dangerous, lethal and corrosive material and is regulated by EPA, OSHA, FDEP through the Process Safety Management (PSM) and Risk Management (RM) Programs. The new system will utilize the bulk storage and delivery of sodium hypochlorite (liquid bleach) and will eliminate the liability associated with chlorine gas and the City's need to annually update and enforce PSM and RM Programs. The existing Sanford North WRF and Main and Auxiliary WTP's will also be converted to sodium hypochlorite in the near future. Redesign of the Solids Handling Facility Redesign of the Solids Handling Facility to incorporate the new Class "A" solids handling system and equipment required. This modification is the first step in a two-step process that will enable the City to begin to produce a Class "A" sludge which can then be land applied anywhere and reduces the amount of laboratory, monitoring and operational costs associated with the production of a Class "B" sludge (which the City is currently producing). · Electrical Engineering Redesicln for the Sanford South WRF Electrical Engineering Redesign for the tertiary filtration, disinfection system, infiuent structure and solids handling facility improvements. Lift Station Reevaluation Reevaluation of the Sanford Lift Station System and design of improvements for the Carriage Cove Lift Station (Master lift station) for conveyance of wastewater flows to the WRF. SECTION 3 SUPPLEMENTARY SERVICES OF THE ENGINEER 3.1. If authorized by the CITY, the ENGINEER shall furnish or obtain from others, supplementary services of the following types which will be paid for by the CITY as an additional cost as outlined in Section 5. 3.2. Additional services due to significant changes in the scope of the project or its design including, but not limited to, changes in size, complexity, character of construction, or due to time delays in initiating or completion of the work as described herein. 3.3, Except as otherwise provided herein, services or additional costs associated with revising previously accepted studies, reports, or other documents prepared by the ENGINEER when such revisions are due to causes beyond the ENGINEER's control. 3.4. Additional services resulting from public protests. administrative hearings, or similar matters. 3.5. Preparing to serve and/or serving as an Expert Witness for the CITY in any litigation, public hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation, or other legal / administrative proceeding. 3.6. Additional engineering services required by revisions to regulations (after the date of this Amendment) as applicable to the U.S. EPA, Florida Department of Environmental Protection (FDEP), or other regulatory agency requirements. 3.7. Additional services in connection with the project including services normally furnished by the CITY as described in Section 4 herein and services not otherwise provided for in this Agreement. SECTION 4 CITY RESPONSIBILITIES 4.1 In addition to the specific responsibilities hereinbefore described, the CITY will: A. Advise the ENGINEER of his requirements for the project and designate a person to act as the CITY's representative with respect to the work to be performed under this Amendment, and such person shall have complete authority to transmit instructions, receive information, interpret and define the CITY's policies and decisions pertinent to the work covered by this Amendment. B. Obtain and provide data requested that is reasonably available on the project along with operational and maintenance requirements and easement and right- of-way requirements. C. Guarantee access to and make all provisions for the ENGINEER to enter upon public and private lands as required for the ENGINEER to perform his work under this Amendment including obtaining authorization for use of the "new" property located on Cameron Avenue for the Sanford South Water Reclamation Facility construction. D. Make facilities accessible for inspection. E. Examine all studies, reports, sketches, schedules, and other documents presented by the ENGINEER and render decisions pertaining thereto within a reasonable time so as not to delay the work of the ENGINEER. F. Assist in obtaining approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the Project. G. Furnish or direct the ENGINEER, in writing, to provide at the CITY's expense, any subconsultant services not designated in Section 2, if advised by the ENGINEER and CITY concurs that they are necessary. H. Furnish, or direct the ENGINEER, in writing, to provide at the CITY's expense, necessary additional services as stipulated in Section 3 of this Amendment, or other services as required. I. Provide such legal, accounting, financial and insurance counseling services as may be required for the project, and such auditing services as the CITY may require. J. Give prompt written notice to the ENGINEER whenever the CITY observes or otherwise becomes aware of any defect in the Project. SECTION 5 PAYMENT 5.1. Payment for services and expenses of the ENGINEER are to be as set forth below. The ENGINEER agrees to perform the work outlined in this Agreement and Plan of Study (Attachment A) for a not-to-exceed fee of $258,441. 5.2. The OWNER will make prompt monthly payments in response to the ENGI NEER's monthly statements without retention for all categories of services rendered under this Agreement. 5.3 Charges for the services rendered by principals and employees as witnesses in any litigation, hearing or proceed ing will be computed at a rate of $1,200 per day or any portion thereof (but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the payment method as set forth herein). 5.4 If this Agreement is terminated during prosecution of the services prior to completion of the services of Section 2, payments to be made in accordance with Section 5 on account of that and all prior work under this Amendment shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the ENGINEER shall be paid for any additional services authorized and rendered under Section 3. SECTION 6 GENERAL CONDITIONS 6.1. Since the ENGINEER has no control overthe cost of labor, materials, or equipment or over any construction method of determining prices, any opinion of probable construction cost which may be provided in the services of this Amendment are made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but the ENGINEER cannot and does not guarantee that the construction cost will not vary from opinions of probable construction cost prepared by him. Similar limitations apply to construction schedules reviewed or prepared by the ENGINEER. 6.2. The CITY and the ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Amendment. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other than the CITY and the ENGINEER.
