Dear Mr. Chris:
Cox Associates is pleased to present the following proposal for the above referenced building for
your consideration:
ACTIVITY I - CONSTRUCTION I)OCUMENT$
Preparation of a Project Manual suitable for obtaining bona fide contractor bids. The project manual
will contain construction documents (design details and specifications) based on the recommendations
presented in the Cox Associates Report dated March 5, 1998. It will also include contractual
documents (bonds and contracts), and any sopplementaty conditions of the contract which you
organization wishes to use.
At your direction Project Manuals will be distributed to invited bidders. Bids received will be
evaluated to ensure complianee with the requirements ofthe Project Manual. Contractor's submittals
will be verified for complianco with the Project Manual.
Our fee for performing Activity I is $1,550.00, plus reimbursable expenses, which shall be due upon
completion of Construction documents. Rebidding will be billed at Cox' Standard Hourly Rates (see
Exhibit "A").
ACTIVITY II - CONSTRUCTION OBSERVATION
A. Conduct an on-site preeonstruction conference with the selected contractor and an Owner's
representative. The purpose of the conference is to establish areas for material storage, work
hours, utilities access, and to ensure the contractor's understanding of design details and

B. Perform part time on-site observations of the work'm-progress. A written report of
observatiom will be provided to the Owner's representative and contractor after each
on-site visit.
C. Perform a Substantial Completion Inspection and document any deficiencies noted in
a "punch list" format.
D. A Final Completion Inspection to ensure satisfactory correction of any "punch list"
items. This inspection will be performed by a representative of the City of Sanford:
Our fee for performing Activity II will be as follows and billed momhiy:
A. Pre-Construction Conference $250.00
B. On-site observation $300.00/per visit (2) = $600.00
C. Substantial Completion Inspection Report $450.00
Reimbursable expenses are in addition to the Architect's compensation and include expenditures made
by the Architect and by the Architect's employees in the interest of the project, and shall be limited
to the following expenses:
long distance communications, postage, fax, overnight mailings, handling of
documents, reproduction, photography, and travel mileage @ 30¢ per mile.
This proposal is included as part of the Standard Form of Agreement, two (2) copies are enclosed
for your review and signature. Receipt of one (1) fully executed copy of this Agreement in our office
shall serve as our authorization for us to proceed with the work.

Sanford Museum, located at 520 East First Street, Sanford, Florida for the City of Sanford in
accordance with our proposal letter dated April 7, 1998, attached to and forming a part of this
agreement).
TERMS AND CONDITIONS OF AGREEMENT
ARTICLE 1
ARCHITECT'S SERVICES AND RESPONSH~H, ITIES
1.1 The Architect°s services shah consist of the two (2) Activities described in the proposal

THE CLIENT'S RESPONSIBILITIES
2. 1 The Client shah provide full information regarding requirements for the project.
2.2 The Client shall designate, when necessary, a representative authorized to act in the Owner#s behalf
with respect to the Project. The Client or such aathori~ed representative shall examine the documents
submitted by the Architect and shall render decisions pertaining thereto promptly to a~oid unreasonable
delay in the progress of the Architect °s services.
2.3 The Client shall furnish required information as expeditiously as necessary for the orderly progress of
the Work and the Architect shall be entitled to rely upon the accuracy and completeness thereof.
ARTICLE 3
REIMBURSABLE EXPENSES
3. 1 Reimbursable Eapenses are in addition to the Architect ° s compensation and include expenditures made
by the Architect and the Architect's employees and other consultant°s in the interest of the Project as
listed in the following subparagraph.'

COMPENSATION TO THE ARCHITECT

4. 2 Any follow-up services will be billed at the Architect's Standard Hourly rates (see Exhibit "A ~), plus
reimbursable expenses as outlined in Article 3.
4. 3 Should the Owner decide to reject any and all bids received and to rebid the project, Owner will be
billed at the Architect's Standard Hourly Rates (see Exhibit "A "), plus eapenses as outlined in Article
3 of this Agreement.
4. 4 Fee schedule for service provided:
Activity l- Construction Documents (due in Jhll upon completion): $1,550.00
Activity 1l - Construction Observation (billed monthly):
Preconstruaion Conference - $250.00
On-site observations - 2 Visits @ $300. O0/per visit = $600.00
Substantial Completion - $450.00
All Activities shall be provided for a not-to-exceed fee of $2,850.00, plus reimbursable expenses as
outlined in Article 3 of this Agreement, unless otherwise provided by written authorization.
4. 5 Invoices for the Architect's services and/or reimhrsabie e~zpertses will be submitted in accordance with
the ~e schedule '. Payment by the client shall be due upon receipt of the invoice. Unpaid invoices
beyond thirty (30) days shall bear interest at the rate of 1.5% per month.
Terms and condiaons as defined above and eisewhere on this form are acceptable and the Architect is
authorized to perform the services specified.
