ECONOMIC AND FINANCIAL CONSULTING SERVICES
1.0 Scope of Work
Background
The City of Sanford is in the process of reviewing various projects that may
require the services of the City of Sanford's financial advisor.
Scope of Work
The financial advisor (Fishkind and Associates, Inc.) will provide full
professional support for review, analysis and financial advice on these various
projects. These sen, ices will include, but not be limited to, analyzing economic
proposals, evaluating leases, conducting studies of projected development
programs, and associated matters.
Fishkind and Associates, Inc. agrees to coordinate its work with the work of other
consultants and City staff
2.0 Fee Proposal, Timetable, Billing Arrangement, and Client Responsibilities.
Fishkind and Associates, Inc. will charge for services at their standard hou~y
rates. Dr. Fishkind's rate is $150 per hour. Mr. Art Diamond's rate is $125 per
hour.
Services will be provided on a timely basis that will meet the needs of the City of
Sanford.
No retainer is necessary for the Financial Advisor to commence work. Bills will
be rendered on a monthly basis and paid in accordance with laws that govern the
City of Sanford.
An authorization to commence any work for the City of Sanford will occur with
the execution of this agreement. Authorization to commence work on individual
projects will be at the direction of the Finance Director or the City Manager of the
City of Sanford.
3.0 Disputes
Disputes and questions concerning the work of Fisbkind and Associates, Inc. are
rare, but may sometimes occur. It is the policy of Fishkind and Associates, Inc. to
perform services for clients in the best manner possible. Any questions about the
work product of Fishkind and Associates, Inc. should be brought to their attention
as soon as possible. Should the City ofSanford and Fishkind and Associates, Inc.
not be able to reach a resolution of problems on any particular engagement, the
engagement may be cancelled by the City of Sanford upon written notification.
Upon receipt of written notification, work on the engagement will cease and a bill
will be issued only for the successfully completed part of the engagement.
To the fullest extent permitted by law, Fishkind and Associates, Inc. shall
indemnify, hold harmless and defend the City, its agents, servants and employees,
or any of them, from and against all claims, damages, losses and expenses,
including but not limited to attorneys' fees and other legal costs such as those for
paralegal, investigative and legal support services, and the actual cost incurred for
expert witness testimony, arising out of or resulting from the performance of
services required under this Agreement, provided that same is caused in whole or
for its part by the error, omission, negligent act, conduct or misconduct of
Fishkind and Associates, Inc, its agents, servants, employees or Subconsultants.
In accordance with Florida Statutes Section 725.06, adequate consideration has
been provided to Fishkind and Associates, Inc. for this obligation, the receipt and
sufficiency of which is hereby specifically acknowledged. Nothing herein shall
be deemed to affect the rights, privileges and immunities of the City as set forth in
Section 768.28, Florida Statutes.
4.0 Termination
The City may terminate its relationship with Fishkind and Associates, Inc. upon
thirty (30) days written notice. The City shall at that time identify any work
which the City would like Fishkind and AssoCiates, Inc. to continue to
completion. Fishkind and Associates shall promptly discontinue all other
services.
