642-Solin-Addendum Jan 98 ADDENDUM NO 1 TO AGREEMENT FOR PROFESSIONAL SERVICES: CITY OF SANFORD WITH SOLIN AND ASSOCIATES, INC. THIS ADDENDUM, is made and entered into this ~ ~ day o · , 19~7~and between the CITY OF SANFORD, City Commission, hereinafter referred t~o~the CITY, and SOLIN AND ASSOCIATES, INCORPORATED, hereinafter referred to as SAI. WITNESSETH WHEREAS, the CITY and SAI entered into a Principal Agreement dated the 2na day of December, 1996, for professional services required to assist the CITY in preparing the first phase of the Comprehensive Plan Evaluation and Appraisal Report; WHEREAS, §IICB) "Scope of Services" in the Principal Agreement establishes the Phase II professional services required to complete the Comprehensive Plan Evaluation and Appraisal Report; WHEREAS, the CITY desires SAI to assist the CITY staff in completing the Comprehensive Plan Evaluation and Appraisal Report; WIt'EREAS, SAI desires to provide such professional services to the CITY as described in the scope of services identified in this Addendum No. I to the Principal Agreement; NOW, TItEREFORE, in consideration of the mutual benefits which will accrue to the parties hereto in carrying out the terms of this Addendum, it is mutually understood and agreed as follows: L INTENT AND PURPOSE This Addendure No. 1 shall be considered a supplement to the Principal Agreement herein referenced. The Addendum No. I is intended to define the scope of services necessary to complete the Comprehensive Plan Evaluation and Appraisal Report and produce a product for submittal to the Florida Department of Community Affairs in compliance with § 163.3191, F_.S_, and Rule 9J- 5.0053, FAC. II. PROFESSIONAL SERVICES A. Scope of Service. SAI shall complete the Work Program in subsection IICB) below. The tasks identified in the Work Program are required to achieve the purpose of Addendum No. 1. B. Work Program. SAI shail execute the following specific tasks: PHASE H: COMPLETION AND TRANSMITTAL OF EVALUATION AND APPRAISAL REPORT 2.100 PREPARE VISION STATEMENT 2.200 COMPLETE EAR TECHNICAL REQUIREMENTS 2.201 Comprehensive Plan Consistency. SAI shall assess the consistency of the Comprehensive Plan with changes in State laws and rules as well as regional policies. SAI with staff assistance shall identify unanticipated and unforeseen problems and opportunities which have occurred since Plan adoption. Florida Administrative Code Reference: Chapter 9j-5.0053(6)(a)(5) 2.204 Major Problems and Issues. SAI shall identify major problems and issues related to the development, physical deterioration, and location offand uses in Sanford. SAI shall further analyze the social and economic effects of major problems or issues on the City. Florida Administrative Code Reference: Chapter 9J-5.0053(6)(a)(4) 2.205 Document Planning Issues and Identify Nature of Plan Amendments A. Address Planning Issues. SAI with City staff shall identify needed actions to address planning issues raised during the Comprehensive Plan evaluation and appraisal. SAI with City staff shall perform the following tasks at a minimum: 1. Calculate new orrevised population projections based on minimum 5-year and 10-year timeframes; 2. Develop new or revised goals, objectives and poli~ies; 3. Revis~ future conditions maps; 4. Prepare a new c~lital improvements element based on the recommendations of SAI end directires; 5. Determine other actions, stwh as monitoring and evaluation Ixocedures; and 6. Identify additional studies to be enmpleted. B. Identify Strategies for Accomplishing Phase 1II Plan Amendments. 1. Florida Administrative Code Reference: Chapter 9J-5.0053(6)(a)(7-8) 2,300 PREPARE THE EVALUATION AND APPRAISAL REPORT 2.301 Prepare EAR Draft SAI shall prepare a dr~ Evaluation and Appraisal Report PHASE HI: PLAN AMENDMENTS: POSSIBLE FUTURE CONTRACT ADDENDUM 3.100 PLAN AMENDMENTS. 3.101 Prepare Draft ofPian Amendments. 3.102 Revise Amendments Based on Staff Comments. 3.200 UPDATE COMPREIIENSIVE PLAN. 3.201 Prepare Data Inventory and Analysis. 3.202 Prepare Goals, Objectives, and Policies. III. COMPENSATION SCI~Bw~DULE The CITY agrees to pay SAI a sum not to exceed Seventeen Thousand Dollars ($17,000) for professional services required to complete the Phase II Scope of Services identified herein. This fee includes expenses for travel expenses in Seminole County. Other expenses directly attributed to the scope of services shall be reimbursed at actual costs, including: telephone charges; express/ priority mail; printing; cost of travel outside Seminole County; cost of publleations such as census material, reports, or plans needed to facilitate evaluation of the Comprehensive Plan. Such reimbursable expenses shall not exceed an additional five percent (5%) of the fixed fee for services, unless approved by the Project Manager. IV. WORK PROGRAM SCHEDULE, BUDGET AND DELIVERABLES SAI shall commence work immediately upon receiving a signed copy of Addendure No. 1. Following is the schedule for Work Program task completion and Deliverables. The work schedule may be adjusted by mutual consent of the CITY and SAI to reflect the actual date on which the A~reement was signed. Should the CITY fail to produce requisite data needed by SAI to complete a work program component pursuant to the schedule presented herein, or should unforeseen issues create a delay beyond the control of SAI, the CITY and SAI shall negotiate a mutually agreeable adjustment in the schedule and/or work program. All products provided by SAI shall be the property of the CITY. SAI shall provide the CITY with a hard copy, as well as disks and any other material generated by SAI which is supportive to the preparation of the Comprehensive Plan Evaluation and Appraisal Keport. The following table presents the proposed work program schedule, budget and cites deliverables. ADDITIONAL STII'ULATIONS, The following provisions 0fthe Principal Agreement shall be binding as ifherein stipulated: §II (c) FEE SCHEDULE; §II(E) MAPPING; §II(F) REPORT PRODUCTIONS; §II(G) MEETINGS AND HEAPriNGS; IV INVOICING; §V ADDITIONAL SERVICES; §VI CITY' S RESPONSIBILITIES;§VII ACCOUNTING RECORDS; VIII STEPULATIONS REQUIRED BY STATE; §IX DISCLAIMER OF LIABILITY; §X TERMINATION; §XI SUCCESSORS AND ASSIGNS; §XII NON-DISCRIMINATION; §XIII EXTENT OF AGREEMENT; §XIV; and APPLICABLE LAW.
