As. always, I pledge responsive, responsible, and timely delivery of planning services. I appreciate the opportunity to continue our prior working relationship and look forward to commencement of this Comprehensive Plan amendment. You will note the revised Contract Addendure No. One breaks the work program into two potential Contract Phases. As we agreed, the Addendure establishes a detailed scope of services for Phase I with compensation for SAPs Phase I professional services set at no greater than $8,500. I anticipate the Phase II City response to the DCA Objections, Recommendations, and Comments Report (ORC Report) to cost between $3,000-5,000 if the Department is not too harsh. However, should the State attempt to block the amendment with unanticipated objections, the cost could be higher. Project Commencement SAI will begin work immediately upon receiving an executed Agreement. Such receipt shall constitute notice to proceed. IlL COMPENSATION The CITY agrees to pay SAI a sum not to exceed Eight Thousand Five Hundred Dollars ($8,500) for professional services required to complete the Phase I Scope of Services identified herein. The actual compensation shall be predicated on axe actual hours worked and the hourly fees shall be compensated pursuant to the fee schedules presented in Exhibit 2. This fee includes all expenses excepting any mapping which may be requested by the City. Should mapping services be requested by the CITY such services shall be billed at cost as an additional expense, IV. INVOICING PROCEDURE AND PAYMENTS SAI shall subrail ir~oices to the CITY, generally on a monthly basis. Invoices shall cite the percent of work completed by respective tasks cited in Exhibit 1. In addition, each billing shall separately itemize direct expenses. SAI shall be paid within fifteen (15) days of the City's receipt of the invoice. V. ADDITIONAL SERVICES Additio~l services ~h~ll include revisions and additions to work previously performed which results from: 1 ) Services requested by the CITY beyond the tasks iden~ed in Exhibit 1; 2) A CITY request that SAI provide services required to prepare subsequent phases identified herein for completion of the Comprehensive Plan amendment; 3) A CITY request that SAI develop a regulatory technique or other action needed to implement the Comprehensive Plan ~; 4) A major change beyond the control of SKI in a previously stated position of the CITY or a change in State, Regional Planning Council, or the S.IRWMD policies, rules, or s~atutes which requires additional work beyond the control of SAI, In addition, SKI will, upon request of the CITY, provide any and all other related planning services requested by the CITY. All such additional services shall be compensated over and above the fixed fee for professional services herein stipulaled. Any such City directed additional compensation shall, at the CITY's discretion, be paid at the hourly rate set forth herein or shall be compensated pursuant to an agreed upon fixed fee stipulated in writing and attested to by the parties. Any related additional direct expenses shah be reimbursed pursuant to actual documented cost, Professional and technical fees for additional services billed on an hourly fee basis shall be invoiced pursuant to the fee schedule itemized in Exhibit 3 of this Agreement. VI. CITY'S RESPONSIBIIulTI~S A. Review of Work Products. The CITY shall examine documents submitted by SAI and shall render decisions pat~ainlng thereto witIlia a reasonable period of ~hrte to avoid delay in schedule. X. TERMINATION The CITY may terminate this Agreement with cause upon (30) days written notice. In the event that SAI receives notification of the intcrt of the CITY to lerminato the contract, SAI shall not perform any further sendces.
