This agreement made this 30th day Of August, 1995, by and between the City of Sanford
a municipality in the State of Florida, hereinafter called the Owner and INSITUFORM
SOUTHEAST, INC., a corporation organized under the laws of the State of Florida, hereinafter
called the CONTRACTOR.
WITNESSETH:
For the considerations hereinafter named, the Owner and Contractor agree and bind
themselves as follows:
Section 1. The Contractor agrees to furnish all material, labor, supervision, tools and
fully perform and in every respect complete the items of work as described herein for
Sewer Reconstruction for the City 0f Sanford.
Section 2. The Contractor agrees to begin work as soon as he is notified by the Owner,
and will carry forward and complete his work as rapidly as he may judge that the progress will
permit.
Section 3. The Owner agrees to pay the Contractor upon his submission of periodic
estimates, within fifteen (15) days of the acceptance of the completed work.
Section 4. The Owner agrees to pay to the Contractor, in accordance with the provisions
of Section 3, and subject to any increase or decrease resulting from changes that may be agreed
upon in writing, for the following items:
555 LF of 8" x 6mm Insituform, $45.00/LF $24,975.00
555 LF of by-pass pumping, $1.00/LF $ 555.00
555 LF of light cleaning, $2.00/LF $ 1,110.00
14 Service reconnections, $150.00 each $ 2,100.00
Mobilization $ 2,500.00
Total $31,240.00

Section 5. Contractor assumes exclusive liability for all contributions, taxes, or
payments required to be made because of employees of the Contractor by the Federal and State
Unemployment Compensation Acts, Social Security Acts or any amendments thereto, and by all
other or future Acts, State or Federal, requiring the payment of similar contributions or taxes,
and for all sales and use tax.
Section 6. Contractor agrees to protect the Owner by carrying public liability, property
damage, and Worker's Compensation Insurance as follows:

The Contractor agrees to forever save and keep hamless and fully indemnify the Owner
and their officers, employees and agents of and from all liabilities, damages, claims, Judgments,
costs and expenses because of the loss or damages to property, or injuries to or deaths of
persons in any way arising out of or in connection with this contract or by any conditions created
thereby or the work to be performed thereunder. And without limiting the generality of the
foregoing, the Contractor shall assume the investigation and defense of all claims and suits and
pay all costs and expenses incurred in connection therewith.
Contractor agrees that this provision shall include injuries to, or deaths, of Owners'
employees caused or in any manner arising from the operations hereunder.
The Contractor agrees to furnish three (3) certificates of insurance indicating his
compliance with the above insurance requirements, such certificates to bear the following
wording: "In the event of expiration, cancellation or of any other material change in the
policies, ten days prior written notice will be given to the person or firm to whom this certificate
is addressed."
Section 7. The Contractor shall not employ any workman whose employment on the
building or project is objected to by the Owner.
Section 8. INSITUFORM SOUTHEAST, INC. is an Equal Employment Oppommity
Employer and it is this company's policy to hire, upgrade, promote, lay-off or discharge all
employees on a basis of qualification and without regard to race, creed, sex, color, or national
origin. The Subcontractor agrees to comply with Executive Order 11246, as amended, 38
U.S.C. 4212 (the Vieroam Era Veterans Readjustment Assistance Act), and Section 503 of the
Rehabilitation Act of 1973, as amended, and their implementing regulations.)

IN WITNESS WHEREOF the parties hereto have executed this agreement in two (2)
copies consisting of four (4) pages each (including the original page) on the 30th day of August,
1995.
