\ corporation ( the "City" ), and SEMINOLE TOWNE CENTER LIMITE~
PARTNERSHIP AND SEMINOLE INVESTORS ( collectively, the "Developer" ).
WITNESSETH:
WHEREAS, the City and the Developer entered into that certain
Developer's Agreement Regarding Reduction in Number of Billboards
dated January 25, 1994, and recorded in Official Records Book 2725,
Page 1123, Public Records of Seminole County, Florida (the
"Agreement" ); and
WHEREAS, the parties desire to amend the Agreement pursuant to
the terms of this First Amendment.
NOW, THEREFORE, in consideration of the mutual covenants and
agreements herein contained, and for other good and valuable
consideration, the receipt in sufficiency of which is hereby
acknowledged, the parties hereto do agree as follows:
1. Exhibit "F" to the Agreement is hereby deleted in its
entirety and replaced by the new Exhibit "F" attached hereto and
incorporated by reference.

2. Notwithstanding anything in the Agreement to the
contrary, the Developer agrees not to receive nor accept
compensation for the relocation of the outdoor advertising
structures located on the Property and caused by the condemnation
for roadway of any portion of the Property by state, local
federal agencies.
3. Capitalized terms used herein shall have the same meani~
as defined in the Agreement.
4. Other than as specifically amended by this First CO
Amendment, the Agreement shall remain unchanged and continue in
full force and effect.
IN WITNESS WHEREOF, the parties have executed this First
Amendment in manner and form sufficient to bind them as of the day
and year first above written.
