456-Sanford Museum-UF Contract CONTRACT
~' THIS CONTRACT, made and entered into on this ~ day of
Gainesville, Florida (hereinafter called the "Foundation") for
and on behalf of the GEORGE A. SMATHERS LIBRARIES at THE UNIVER-
SITY OF FLORIDA (hereinafter called the "UF Libraries"), and THE
CITY OF SANFORD, FLORIDA (hereinafter called the "City") for and
on behalf of The Henry Shelton Sanford Memorial Library and
Museum (hereinafter called the "Museum");
1. City herein covenants and agrees to pay to Foundation
the sum of approximately One Hundred and Forty Thousand and
No/100 Dollars ($140,000.00) (the specific amount to be finally
determined at closing), as the full purchase price for the
property and services described in paragraph 3 below.
2. For purposes of'this Contract, the "Chase Papers" shall
mean and refer to all items and objects given or loaned (either
temporarily or permanently) to UF Libraries from any member of
the Chase family.
3. UF Libraries agree to provide the following property
and services to Museum:
(a) A reasonable number of copies (the reproduction
cost ofwhich is not to exceed $2,000.00 per year) of an exhibit-
able quality or for research purposes and/or originals (dupli-
cates in the collection or items not within the scope of the
Chase Papers) of items and objects in the Chase Papers held at UF
Libraries as requested by Museum. The attached Schedule A, while
not inclusive, is'intended to demonstrate the areas of interest
and types of requests to be made by Museum.
(b) Originals of items and objects from the Chase
Papers shall be loaned to Museum within generally accepted
Museum/Library Standards of preservation needs for display
purposes, generally not to exceed a period of six months, or for
research purposes, generally not to exceed a period of three
months.
(c) UF Libraries will prepare and provide Museum with
a complete copy of an index and a finding guide that will be
produced to provide researchers access to the Chase Papers held
graph 1 above.
(e) Assistance in locating appropriate consultants and
expertise within the University of Florida community in matters
of interest and concern to Museum.
(f) Special assistance in determining other materials
available concerning the history of the City of Sanford in UF
Libraries' collections and provision for reproduction of the same
(costs of which are to be included in the limits set forth in
subparagraph 3(a) above).
4. The Foundation and UF Libraries expressly agree to
recognize the contribution of the Chase Papers to UF Libraries by
the Chase family in such publications as University of Florida
Today and other university publications.
5. With the exception of subparagraph 3(b) above (which
arrangement shall be unlimited), this agreement is to last for a
period of ten (10) years from the completion of the cataloging of
the Chase Papers and delivery of the index and finding guide
referred to in subparagraph 3(c) herein to Museum. However, it
is anticipated and hoped that the collegial relationship between
the staff of Museum and the staff of UF Libraries will continue
to the benefit of both collections and institutions.
6. This Contract constitutes the entire agreement between
the parties hereto. This agreement shall be binding on the
parties, their successors and assigns. This Contract is not
assignable by either party.
