1. Location and Description of Project:
The City of Sanford, Florida is a municipal corporation organized
under the laws of the State of Florida.'. The project is comprised
of tasks to update and revise the City's Comprehensive plan.

year of the date of execution of this Agreement.

STANDARD GENERAL CONDITIONS
These standard general conditions are attached to and made part of
the AGREEMENT FOR PROFESSIONAL SERVICES between Ivey, Bennett, Harris
and Walls, Inc. (IBHW) and the City of Sanford, Florida, heroin
after called the CLIENT, for professional services described in
Exhibit "A" of the AGREEMENT FOR PROFESSIONAL SERVICES.
I. IBHW shall invoice the CLIENT for professional services
rendered on a monthly basis. The invoice shall specify the
percentage of specific tasks accomplished and include a
brief summary of services rendered for the period covered by
the invoice within thirty (SO) days of the receipt of the
invoice unless IBHW is advised in writing, within (10) days of
receipt of the invoice, that the CLIENT would not approve any
part of the invoice. The CLIENTshall, in the written
notification, advise IBHW of any errors, omissions or problems
leading to the written notification.
II. This AGREEMENT FOR PROFESSIONAL SERVICES may be terminated
by the CLIENT or IBHW upon fourteen (14) days written notifi-
cation. In the event this AGREEMENT is terminated without
cause prior to completion, IBHW shall be entitled to payment
for services performed as of the date of termination. Prior
to final termination both parties shall state and negotiate in
good faith in an attempt to avoid final termination.
III0 The consultant shall consider all information supplied by the
CLIENT as accurate and correct, unless data limitations are
indicated by CLIENT in writing. Additional work or revisions
to completed work performed by IBHW as a result of inaccurate,
incomplete or incorrect information supplied by the CLIENT
shall be paid for as additional services. This additional
work will not be performed without prior written approval by
CITY COUNCIL. The consultant shall submit monthly written
pro~ect status reports to the City of Sanford during the con-
tract period. The reports shall state work progress and prob-
lems encountered and provide prolections as to when each of
the work elements will be provided. The status reports shall
be due on the 30th day of each month of the contract period.
IV. If authorized in writing by the CLIENT, after approval by
the CITY COMMISSION, the Consultant shall furnish, or obtain
from others, additional services not covered under Exhibit
"A" of the AGREEMENT FOR PROFESSIONAL SERVICES. The CLIENT
shall request that the Additional Services be performed under
a LUMP SUM ARRANGEMENT or by TIME CHARGE AGREEMENT. For the
latter, the Consultant would invoice the CLIENT for actual
time and reimbursable expenses incurred in performing request-
ed services, using Attachment A: Schedule of Hourly Rates as
basis for determining the charges.
V. The City retains the right to obtain from the Consultant, for
review purposes, all work sheets and data used in the plan
document.

WORE PROGRAM
PHASE I WORK PROGRAM
Task 1.1 - Assemble Data Base and Maps
The Consultant will participate in a meeting with City officials to
identify, understand and collection all materials, maps and data
prepared or collected by the City. In addition, a schedule will be
established for data maps, which are the responsibility of the City,
to be completed for the Consultant's use. The Consultant will be'
responsible for the following data or maps, said data or maps to
delineate City of Sanford and urban study area.
ExistinC Land Use - Inventory of land uses by type and acreage, at
traffic zone, neighborhood or census tract level. Also, housing unit
inventory by type, density and location. Included in the land use
inventory is a development potential classification for vacant or
agricultural lands, and an inventory of existing zoning classified
lands. Appropriate graphic representations of this data will be
prepared.
Socioeconomic Data - The Consultant, with the assistance of City
staff, will be responsible for the compilation of a current plans and
prolects list, classified by probability of development. Population,
employment and land use forecasts will be the responsibility of the
Consultant. Appropriate graphic representations of this data will be
prepared.
Transportation Svstem Data The Consultant will assemble and map,
from existing data resources, traffic circulation data as to ADT and
P.M. Peak flows for major lines and intersections.
Other - All other necessary data, graphics, and base maps for
required plan elements will be the responsibility of the City.
As part of this task, the Consultant will conduct a meeting with City
officials to: assist in the definition of a citizen participation
program and schedule; discuss land use concepts for the City of
Sanford; and, discuss current zoning and subdivision regulations in
terms of impacts to desired land use concepts.
Task 1.2 - Documentation of Existin~ Oonditlons
Technical Report No. 1 will be prepared by the Consultant from the
information generated in Task 1.1, and this Report will be formatted
to be consistent with the requirements for an Evaluation and Apprais-
al Report pursuant to applicable state laws. Five copies of this
Report will be provided to the City for review and the Consultant
will meet with staff to verify and finalize the data presented.

Task 1.3 - Develop Projected Growth Impact Model
Utilizing Technical Report No. I as a base, and available population
and employment forecasts as a benchmark, the Consultant will prepare
population, employment and land use projections for the study area
for the years 1991 and 1995, and furthermore the consultant will
provide documentation for 2005 forecasts. These forecasts will be
further allocated to TAZ~s based on known or approved projects and
vacant land inventory.
Following completion of the growth allocation, the Consultant will
perform an impact analysis of this allocation to identify: public
facilities and services demands/needs~re/ationship of growth pattern
to zoning pattern; problems or opportunities with respect to envi-
.tonmentally sensitive areas; the tax base; and, current service
levels and standards. As a part of this ef'fort, heavy emphasis wi'll
be placed on a transportation system evaluation. Regression models
will be developed to determine the basis for Internal-Internal trips,
External-Internal trips and External-External trips for the study
area. Existing conditions data will be used to model existing travel
demand in the study area. This test will consist of trip generation,
trip distribution, modal split and traffic assignment. We will
calibrate this model and validate to existing traffic counts. This
effort will provide the traffic basis for the Traffic Circulation
Element, and evaluation of the traffic impacts of the growth alloca-
tion and alternative land use strategies.
Task 1.4 - Documentation of Growth ImDact Model
Technical Report No. 2 will be prepared by the Consultant from the
information generated in TAsk 1.3. Five copies of this report will
be provided to the City for review and the Consultant will meet with
staff to verify and finalize the data presented.
PHASE IIWORKPROGRAM
Task II.1 - Prepare a Sketch Development Framework and Alternative
Land Use Strategies
The first aspect of this task will be to document the results of Task
1.S, and identify major issues or opportunities presented by the
growth allocation. This information would be condensed to a one or
two page brochure for use by a citizen participation task force.
This brochure may be used by local governments as a general mail-out
to generate interest in the process of determining community goals
and objectives.
The second element would involve the generation of goal and objective
statements by the Consultant as an aid in generating discussion by
the citizen participation task force. The brochure and goal/
objective statements would be presented to the task force by the
Consultant, who would also participate in four workshops or two
charettes to develop a series of final objectives. Upon completion
of this process the Consultant would proceed to generate alternative'
land use strategies based on the growth allocation and established

community goals and objectives. A maximum of three alternatives
would be produced in map form with supporting text. The Consultant
would present these alternatives for discussion at a maximum of two
workshops. Following selection of a desired alternative, the
Consultant will document in a Technical memorandum the results of the
workshop.
The Consultant will utilize the selected alternative to prepare a
draft Development FramewOrk. This document will be comprised of
Technical Report Nos. 1 and 2, community goals and objectives, a
future land use map, and policies/required implementation actions for
each of the plan elements. Furthermore, we will provide an outline
of regulations and capital improvements that would be necessary to
implement the Development Framework. It should be emphasized that
the Development Framework we propose is not a complete Comprehensive
Plan under the 9J5 criteria, with the exception of the Future Land
Use Plan. Additional work on the policies for other plan elements,
as well as completing required implementing actions, would be
necessary in Phase III.
The Consultant will provide twenty-five copies of this draft for
review by the citizen participation task force and local govern-
ments. Upon completion of this review, the Consultant will render
final minor modifications. Minor modifications does not include
revisions which would change basic concepts inherent in the Develop-
ment Framework.
PHASE III WORK PROGRAM
Task III.1 - Prepare Final Draft Comprehensive Plan
Based on the results of Task II.1 the Consultant will complete all
Required Plan Elements to the City and State specifications. Twenty
five copies of a Final Draft will be provided to the City for
review. Upon completion of this review, the Consultant will render
final minor modifications and resubmit the draft to the City for
printing as necessary to conduct a plan adoption process.
PHASE IV WORK PROGRAM
Task IV.1 - ParticiPation in Plan Adoption
At the discretion of the City, the Consultant will participate in
four public hearing/meeting/workshops to present and discuss the
proposed Comprehensive Plan and support documents. Following
adoption, or as part of the adoption process, the Consultant will
perform any required tasks to insure consistency of the Plan with
Rule 9J-5 criteria.
