229-Bryant Miller Olive AGREEMENT FOR SERVICES BRYANT, MILLER AND OLIVE, P.A., agrees to serve as Bond Counsel to the City of Sanford and as Bond Counsel will perform the following services: 1. Prepare all bond documents relating to the financing in cooperation with the City's attorney, Financial Advisor, staff and Investment Banker. 2. Prepare validation pleadings, including proposed final judgment, and appear as attorneys of record with the City's attorney, if requested, at the validation hearing. 3. Attend and participate in conferences among the City's staff and financial advisors and/or underwriters as the financing develops. 4. Review all disclosure documents prepared or authorized by the City insofar as such documents describe the bonds and summar- ize the underlying documents. However, Bryant, Miller and Olive, P.A., assumes no responsibility for the disclosure documents inso- far as such documents describe the financial circumstances of the offering or any other statistical projections or data. 5. Review all underwriting proposals, prepare all closing documents and attend and assist in the closing. 6. Render an opinion in written form at the time the bonds are delivered, which opinion will cover (a) the legality of the bonds and the proceedings by which they are issued and (b) the exemption from current federal income taxation of the interest paid on the bonds. The City of Sanford agrees that Bryant, Miller and Olive, P.A., shall be compensated for the above services at the time the bonds are delivered according to the following schedule: $1.90 per $1,000 of bonds actually issued for the first $5,000,000; and $1.75 per $1,000 of bonds actually issued for the second $5,000,000; $1.50 per $1,000 of bonds actually issued for over $10,000,000. In the event a special tax opinion is rendered in regard to advance refunding, there will be an additional fee of $.50 per $1,000 of bonds issued. In the event bond anticipation notes are issued, the fee for such notes will be $.75 per $1,000 of notes issued irrespective of the amount of notes issued, plus one-half of the bond fee due for such issue payable upon delivery of the notes. It is understood and agreed between the parties that the City will reimburse Bond Counsel for reasonable out-of-pocket expenses, not to exceed $3,000, but only if bonds are delivered.
