The Amendment dated this 15th day of June, 1990, in the year
Nineteen Hundred and Ninety and between the CITY OF SANFORD, FLORIDA
(herein~fter called the OWNER, and CONKLIN, PORTER & HOLMES - ENGINEERS,
INC. (hereinafter called the ENGINEER), is mutually agreed upon and
declared an authorized A~ndment to an Agreement dated December 7, 1983,
between the parties, herein setting forth the scope, terms and conditions
of the work herein authorized.
In case of conflict between this Amendment 29 and the original Agreement
of December 7, 1983, this Amendment shall govern for the work described
herein. All other Amendments which have been previously executed provided
for other municipal engineering services and have no applicability to the
services"covered by this Amendment.

SECTION I
GENERAL PROVISIONS
1.1 GENERAL
1.1.1 The 201 Facilities Planning includes an outfall line to St. Johns
River downstream of Lake Monroe.
1.1.2 This outfall line will convey excess wet weather flow from the
reclaimed water distribution system.
1.1.3 Water quality studies have been performed by the Florida Dept. of
Environmental Regulation and a draft report, recommending the
discharge, is available.
1.1.4 Services to be provided under this Amendment include preliminary
and final engineering for the construction of approximately
181000 lineal feet of outfall line. In addition, an evaluation
and modification of the existing dechlorination system will be
performed and reviewed with the Owner, and final engineering
plans and documents will be provided accordingly.
1.1.5 Maximum allowable chlorine residual level of 0.02 mg/L is allowed
by FDER prior to discharge into the river, therefore, the
existing dechlorination system will he modified to a feed-forward
dechlorination system to control the chlorine residual.
SECTION II
SCOPE OF SERVICES
2.1 DATA COLLECTION AND PRELIMINARY ENGINEERING
2.1.1 Prepare planning, scheduling, budgeting, data gathering and
negotiation of subcontractual agreements necessary for
development of final design, including Construction Plans and
Contract Documents.
2.1.2 Contact the Florida Department of Transportation and obtain
preliminary input regarding installation of the proposed outfall
line along 17-92.
2.1.3 Preliminary study for route selections. Determine the most
feasible location for pipe alignment along S.R. 17-92 and study
and analyze the most feasible location for discharging at the St.
Johns River, and provide recommendations to the Owner
accordingly.
2.1.4 Complete preliminary evaluation and modification of existing
dechlorination system including design criteria, size and
location of the additional required equipment, construction
materials, application points, control system, equipment
selection and operational considerations.
2.1.5 Liaison and communications with regulatory agencies; addressing
questions, review of final design concept. Review the subaqueous
installation alternative at St. Johns River.
2.1.6 Perform additional hydraulic analyses to optimize pipe sizing.
2.2 FINAL RESIGN
2.2.1 Review all preliminary work.
2.2.2 Through a subcontract with a Geotechnical Consultant, provide
soils investigations, borings and muck probes along pipe route.
Provide report and recommendations as required for design of the
proposed outfall line.
2.2.3 Through a subcontract, perform surveys, aerial mapping,
horizontal and vertical controls, and field staking as required
to establish the alignment of the outfall pipeline.
2.2.4 Through a subcontract with an Electrical Subconsultant provide
electrical engineering design and specification services on the
electrical facilities.
2.2.5 Through a subcontract with an Environmental Specialist firm,
prepare needed project documentations to firmly establish any
environmental baseline criteria, to develop recommendations for
minimizing environmental impacts, to recommend mitigation
features, if appropriate, and to provide support from an
environmental standpoint thorughout the permitting process.
2.2.6 Provide coordination, evaluation and administrative service in
connection with the subcontracted services listed above in 2.2.2,
2.2.3, 2.2.4, and 2.2.5.
2.2.7 Preparation of all necessary calculations and designs required to
determine size, configuration, materials, equipment and
facilities'to be constructed for the project scope outline
herein.
2.2.8 Coordination of final design with City to ensure that operational
needs and preferences of the City staff are met.
2.2.9 Preparation for and meetings with Owner and regulatory agencies
to discuss project concerns, progress, and permitting
requirements. For estimating purposes, it has been assumed that
no more than four total meetings will be held.
2.2.10 Preparation of one set of construction drawings which includes,
reclaimed water outfall line and details from the plant point of
connection to the St. Johns River down from Lake Monroe.
Estimated length 18,000 feet; includes an estimated total of 16
drawings.
2.2.11 Preparation of Contract and Bidding Documents and Specifications
based on the construction contract as outlined above, in
compliance with appropriate U.S. Environmental Protection Agency
(EPA) Construction Grants Program requirements for review by
Owner, Owner's attorney and regulatory agencies.
2.2.12 The preparation of quantity estimates and opinions of probable
cost.
2.2.13 Furnish to OWNER such documents and design data as may be
required for, and assist in the preparation of, the required
documents so that the OWNER may secure approvals of such
governmental authorities as have jurisdiction over design
criteria applicable to the Project.
ENGINEER will assist the OWNER in his efforts to secure all
approvals necessary for the construction of the project. For
estimating purposes, it has been assumed that the following
approvals and permits will be required:
a. Seminole County ROW utilization approval
b. Corps of Engineers Dredge and Fill Permit
c. FDOT ROW Utilization permit
d. FDER Construction permit
e. FDER Dredge and Fill permit
f. DNR Permit
2.2.14 The submission of Step 2 documentation to the FDER Bureau of
Local Government Wastewater Financial Assistance including final
engineering design Plans and Specifications, Preliminary Plan of
Operation, Project Performance Proposal and other associated
documentation for review and approval for State funding
purposes. Note that the Operation and Maintenance Manual, the
Final Plan of Operation and Bidding and Construction Services,
start-up services, and project performance evaluation and
certification are not included in this Amendment. It is
contemplated that they will be provided during the construction
phase of the project under a subsequent authorization.
2.2.15 Delivery of up to fifteen (15) copies each of the three sets of
Construction Drawings and Contract Documents for permitting,
review and approvals, and City's file.
2.2.16 Make reasonable revisions as required based on reviews of
regulatory agencies and the CITY.
2.3 PLAN OF STUDY
The Scope of Services outlined in Sections 2.1 and 2.2 is general
in nature and not intended to detail all work activities needed
to complete the project. Further task definition is given in the
Plan of Study attached hereto and incorporated herein by
reference.
SECTION III
ADDITIONAL SERVICES OF THE ENGINEER
3.1 GENERAL
If authorized in writing by OWNER, ENGINEER shall furnish or
obtain from others Additional Services of the following types
which are not considered normal or customary Basic Services and
are not included in Section II. These will he paid for by OWNER
as indicated in Section VI, if authorized.
3.1.1 Services resulting from significant changes in the general scope
of the Project or its design as outlined, including, but not
limited to changes in size, complexity, OWNER's schedule,
character of construction; services resulting from significant
delays not caused by the ENGINEER; services or additional cost
resulting from changes or extra work not included in the scope of
the Basic Services of this Agreement; and revising previously
accepted studies, reports, design documents or Contract Documents
when such revisions are due to causes beyond the ENGINEER's
control.
3.1.2 Investigation involving detailed consideration of operations,
maintenance and overhead expenses including preparation of
operating and maintenance manuals; preparation of earnings and
expense statements, feasibility studies, appraisals and
valuations, detailed audits or inventories.
3.1.3 Furnishing additional copies of reports and additional prints of
Drawings, Specifications and Contract Documents beyond those
called for in the Basic Services.
3.1.4 Furnishing services of independent professional associates and
consultants beyond those specified in the Plan of Study. If
additional property, boundary, right-of-way, legal descriptions,
appraisals, topographic and special utility surveys, hydrographic
surveys, soils horings, laboratory tests, soils studies and
evaluations and other special services become necessary, they
shall he considered for subsequent authorization as Additional
Services.
3.1.5 Providing renderings or models for OWNER's use.
3.1.6 Preparing documents for alternate bids determined by OWNER as
advantageous to OWNER for Contractor(s) work which is not
executed or documents for out-of-sequence work. Also included is
extra work for preparation of drawings, Contract Documents, etc.,
for one construction contract.
3.1.7 Preparing to serve and serving as an expert witness for the OWNER
in any litigation, public bearing, condemnation proceeding,
right-of-way acquisition or negotiation, or other
legal/administrative proceeding.
3.1.8 Additional services in connection with the Project including
services normally furnished by OWNER and other services that may
subsequently become necessary that are not included in the Basic
Services of this Agreement.
SECTION IV
OWNER'S RESPONSIBILITIES
4.1 GENERAL
Owner shall do the following in a timely manner so as not to
delay the services of ENGINEER.
4.1.1 Provide full information as to his requirements for the project.
4.1.2 Assist the ENGINEER by placing at their disposal all available
information pertinent to the project including previous reports
and any other data relative to design and construction of the
project.
4.1.3 Furnish to the ENGINEER, as required for performance of Basic
Services, data prepared by or services of others; all of which
ENGINEER may rely upon in performing his services.
4.1.4 Provide access to and to make all provisions for the ENGINEER to
enter upon public and private lands as required for the ENGINEER
or his subconsultants to perform their work under this Agreement.
4.1.5 Provide such legal, accounting and insurance counseling services
as may he required for the Project, and such auditing services as
the OWNER may require.
4.1.6 Designate in writing a person to act as CITY's representative
with respect to the work to be performed under this Agreement;
and such person shall have complete authority to transmit
instructions, receive information, interpret and define OWNER's
policies and decisions with respect to materials, equipment
elements and systems pertinent to the work covered by this
Agreement.
4.t.7 Provide all land, easements and rights-of-way, leases and other
agreements, needed for design and construction of the project in
a timely manner.
4.1.8 Give prompt written notice to the ENGINEER whenever the CITY
observes or otherwise becomes aware of any defect in the project.
4.1.9 Execute requests for approvals and permits drafted by ENGINEER
from all governmental authorities having jurisdiction over the
project and such approvals and consents from others as may be
necessary for completion of the project.
4.1.10 Furnish approvals and permits from all governmental authorities
having jurisdiction over the project and such approvals and
consents from others as may be necessary for completion of the
project.
4.1.11 Examine all studies, reports, sketches, addenda, change orders,
estimates, specifications, drawings, proposals and other
documents presented by the ENGINEER and render decisions
pertaining thereto expeditiously so as not to delay the work of
the ENGINEER or his subconsultants.
4.1.12 Furnish, or direct the ENGINEER in writing to provide, at the
CITY's expense, additional services in connection with the
Project including services normally furnished by the OWNER and
other services that may subsequently become necessary that are
not included in the services of this Agreement.
4.1.13 Give prompt written notice to ENGINEER whenever OWNER observes or
otherwise becomes aware of any development that affects the scope
or timing of ENGINEER's services.
4.1.14 Bear all costs incident to compliance with the requirements of
this Section IV.
SECTION V
PERIOD OF SERVICE
5.1 The provisions of this Section and the various rates and total
compensation for ENGINEER's services provided for elsewhere in
this Agreement have been agreed to in anticipation of the orderly
and continuous progress of the Project. ENGINEER's obligation to
render services hereunder will extend for a period which may
reasonably be required for the completion of the project
including extra work and required extensions thereto, but not to
exceed one (1) year from the date of the Agreement without
renegotiation of rates and total compensation provided for in
this Agreement.
5.1.1 The Final Engineering Design, Drawings and Documents, ready for
review and submission to the OWNER and regulatory agencies, will
be completed within seven (7) months, following receipt of
written authorization to proceed.
5.1.2 If OWNER requests significant modifications or changes in the
scope of the project or fails to give prompt written
authorization to proceed with the project, or project is delayed
by other causes outside of the ENGINEER's control, the time of
performance of ENGINEER's services and compensation for services
of the ENGINEER shall be adjusted appropriately.
SECTION VI
METHOD OF PAYMENT TO THE ENGINEER
6.1 Payments for Services and Expenses of the ENGINEERS are to be as
set forth below:
6.1.1 Principals and Employees of the ENGINEERS
Compensation paid ENGINEERS for services described in Sections I
and II and rendered by principals and employees assigned to the
project will be computed by multiplying Direct Personnel Expense
times a factor of 1.95 plus all reimbursable expenses, for an
estimated total compensation of $111,500.00 for the scope of
Basic Services described herein. Direct personnel expense shall
mean the salaries and wages paid to principals and employees of
all classifications engaged directly on the project, plus the
cost of fringe benefits including, but not limited to, social
security, workers compensation, health and retirement benefits,
sick leave, vacation, and holiday pay applicable thereto.
6.1.2 Expenses for items not specifically valued herein are to be
reimbursed to the ENGINEER at the actual cost thereof. Said
expenses shall include reproduction, transportation and
subsistence of principals, employees, and consultants when
traveling in connection with the project, consultant's fees, toll
telephone calls, telegrams, and similar project-related items.
6.1.3 Payment for services rendered in connection with the Additional
Services of Section III will be individually negotiated for each
item requested, and will be subsequently designated in the
authorization to proceed or the appropriate amendment to this
engineering agreement.
6.1.4 The OWNER will make prompt monthly payments in response to
ENGINEER's monthly statements for all categories of services
rendered under this Agreement and for reimbursable expenses
incurred.
SECTION VII
GENERAL CONSIDERATIONS
7.1 Estimates of Cost
7.1.1 Because the ENGINEERS have no control over the cost of labor,
materials or equipment, or over the Contractor(s)' methods of
determining prices, or over competitive bidding or market
conditions, opinions of probable cost or construction cost
provided for herein are to be made on the basis of the ENGINEER's
experience and qualifications and represent the ENGINEER's best
judgment as a design professional familiar with the construction
industry, but the ENGINEERS cannot and do not guarantee that
proposals, bids or the construction cost will not vary from
opinions of probable cost prepared by the ENGINEER.
7.2 INSURANCE
7.2.1 The ENGINEER shall secure and maintain such insurance as will
protect him from claims under the Workmen's Compensation Act and
from claims for bodily injury, death or property damage which may
arise from the performance of services under this Agreement. The
ENGINEER also agrees to carry Professional Liability Insurance in
an amount mutually acceptable in writing to both parties, but not
more than $1,000,000 and to provide a certificate regarding the
same to the OWNER. The ENGINEER shall also require all of his
professional consultants to carry Professional Liability
Insurance in an amount no less than $250,000 unless otherwise
approved by the OWNER in writing.
7.3 SEVERABILITY AND CONTRAVENTION
7.3.1 It is further understood and agreed by the parties hereto that if
any of these provisions shall contravene, or be invalid under the
laws of the particular state, county or jurisdiction where used,
such contravention or invalidity shall not invalidate the whole
agreement, hut it shall he construed as if not containing the
particular provision or provisions held to be invalid in the same
particular state, county or jurisdiction and the rights and
obligations of the parties shall he construed and enforced
accordingly.
7.4 REUSE OF DOCUMENTS
7.4.1 All documents including the drawings and specifications prepared
or furnished by ENGINEER (and ENGINEER's independent professional
associates and consultants) pursuant to this Agreement are
instruments of service in respect to the project and ENGINEER
shall retain an ownership and property interest therein whether
or not the project is completed. OWNER may make and retain
copies for information and reference in connection with the use
and occupancy of the Project by OWNER and others; however, such
documents are not intended or represented to be suitable for
reuse or adaptation on any other project. Any reuse without
written verification or adaptation by ENGINEER for the specific
purpose intended will be at OWNER's sole risk and without
liability or legal exposure to the ENGINEER, or to ENGINEER's
independent professional associates and consultants, and OWNER
shall indemnify and hold harmless ENGINEER and ENGINEER's
independent professional associates and consultants from all
claims, damages, losses and expenses including attorneys' fees
arising out of or resulting therefrom. Any such verification or
adaptation will entitle ENGINEER to further compensation at rates
to be agreed upon by OWNER and ENGINEER.
7.5 CONTROLLING LAW
7.5.1 This Agreement is to be governed by the law of the principal
place of business of ENGINEER.
7.6 SUCCESSORS AND ASSIGNS
7.6.1 OWNER and ENGINEER each binds himself and his partners,
successors, executors, administrators and assigns to the other
party of this Agreement and to the partners, successors,
executors, administrators and assigns to the other party of this
Agreement and to the partners, successors, executors,
administrators and assigns of such other party, in respect to all
covenants of this Agreement; except as above, neither OWNER nor
ENGINEER shall assign, sublet or transfer his interest in this
Agreement without the written consent of the other. Nothing
herein shall be construed as creating any personal liability on
the part of any officer or agent of any public body which may be
a party hereto, nor shall it be construed as giving any rights or
benefits hereunder to anyone other than OWNER and ENGINEER.
7.7 PERSONNEL AND FACILITIES
7.7.1 The ENGINEER represents that he has, or will secure at his own
expense, all personnel required in performing the services under
this contract unless otherwise specified herein. All personnel
engaged in the work shall be fully qualified.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed
as of the day and year hereinabove set forth.
