TRANSMISSION FACILITIES
BETWEEN
THE CITY OF SANFORD, FLORIDA
AND
CONKLIN, PORTER & HOLMES - ENGINEERS, INC.
This Amendment dated this day of in the
year Nineteen Hundred and Eighty-Six and between the THE CITY OF
SANFORD, FLORIDA (hereinafter called the OWNER) and CONKLIN,
PORTER & HOLMES - ENGINEERS, INC. (hereinafter called the
ENGINEER), is mutually agreed upon and declared an authorized
Amendment to an Agreement dated December 7, 1983, between the
parties, herein setting forth the scope, terms and conditions of
the work herein authorized.

SECTION 1
GENERAL PROVISIONS
1. I Subsequent to the EnVironmental Regulatory Commission
(ERC) meeting on August 20, 1986, wherein approval was
granted for the request by the City of Sanford to
utilize the previously awarded Florida Department of
Environmental Regulation (FDER) grant funds for an
alternate plan for wastewater treatment and effluent
disposal, it is necessary to complete additional
Preliminary Engineering and Final Engineering for plans
and specifications and other work to be submitted to
FDER for the wastewater treatment and transmission
improvements which will be funded by the Step 2+3
grant.
1.2 The proposed plan for wastewater treatment and effluent
disposal as described in the City of Sanford, Florida
201 Plan Amendment and Site Specific Study dated
September, 1986 consists of secondary treatment with
filtration and high-level disinfection of the
wastewater with effluent disposal by spray irrigation
on the Sanford Airport, Mayfair Golf Course, and
various parks and other City-owned property. A
wet-weather surface water discharge into Lake Monroe
initially and eventually downstream of the lake in the
St. Johns River is also an integral part of the overall
effluent disposal plan.
?"~ SECTION 2 ~'~
BASIC SERVICES OF ENGINEERS
2.1 GENERAL
2.1.1 ENGINEER shall perform professional services as
hereinafter stated in accordance with good engineering
practices and ethical standards.
2.1.2 ENGINEER will serve as the OWNER's professional
representative in those phases of work to which this
Agreement applies, and will give consultation and
advice to the OWNER during the period of performance of
services.
2.1.3 The Basic Services are to be performed on those
facilities designated in the previously referenced 201
Plan Amendment as the Treatment and Transmission
Improvements. These improvements include an additional
secondary clarifier, effluent filtration and chemical
feed facilities, disinfection systems, dechlorination
systems, emergency power as required for Class 1
reliability, effluent storage and pumping facilities,
and the effluent distribution system. The effluent
distribution system includes a distribution loop east
from the treatment plant along the lakefront to
Mellonville Avenue~ south along Mellonville Avenue to
the Sanford Airport~ west along various rights-of-way
to the Mayfair Golf Course, and then north to the
treatment plant. Also included in the project is the
distribution system from the loop to the various
property lines of the effluent disposal sites. Not
included in this Amendment are the various spray
irrigation systems or the effluent line to the St.
Johns River downstream of Lake Monroe. Survey and
soils exploration work are not included in this
Amendment and would be obtained by the OWNER with
coordination assistance from the ENGINEER. This
proposal is based on the division of the work into not
more than three ~3) construction contracts.
2.1.4 Advise the OWNER as to the necessity of any Additional
Services required for procurement by OWNER, or the
extra cost involved in providing them for the OWNER's
consideration.
PRELIMIN?"~ DESIGN
After receipt of written authorization to proceedt
ENGINEER shall:
2.2.1 Review and refine previous Facilities Planning work in
order to better define the scope, detail and design
criteria for the proposed improvements as designated in
the 201 Plan Amendment.
2.2.2 Compiler summarize, review and evaluate all available
sewage treatment plant wastewater analyses and monthly
reports and project expected wastewater flows and
characteristics, both of the raw sewage and treated
effluent before application to the ground.
2.2.3 Complete preliminary design of new secondary clarifier
including design criteria, system hydraulics, surface
overflow and solids loading rates~ construction
materials, operational considerations, and preliminary
design of additional sludge pumping facilities.
2.2.4 Complete preliminary design of filtration system for
7.3 MGD capacity including number and type of filters,
system hydraulics~ filtration and backwash rates, size
and location of units, media type and depth,
construction materials, operational considerations, and
preliminary design of aluminum sulfate storage and feed
systems.
2.2.5 Complete preliminary design of chlorine contact
facilities and dechlorination system including design
criteria# size and location of facilities, system
hydraulics, evaluation of existing facilities,
construction materials, application points,, control
systems, equipment selection and operational
considerations, including economics.
2.2.6 Complete preliminary design of effluent storage
facilities of 3.0 MGD and effluent pumping station with
a design capacity of 12.2 MGD including design
criteria, size and location of facilities, system
hydraulics, construction materials, control systems,
equipment selection and operational considerations,
including economics.
2.2.7 Complete preliminary design of auxiliary power system
for Class 1 reliability including decision between dual
power feed and auxiliary generator.
2.2.8 Complete preliminary design of treatment plant spray
irrigation system including design criteria,
operational considerations, application rates, and
construction materials.
2.2.9 Establish and finalize effluent distribution loop
route. Provide sketch of any easement or right-of-way
necessary.
2.2.10 Prepare updated preliminary cost estimate.
2.2.11 Complete preliminary design of electrical facilities
for all proposed improvements.
2.2.12 Prepare summaries of preliminary design results
including design criteria, equipment selected, and
facility sketches for use in the Final Design Plans and
Specifications phase of the work to review with the
OWNER, and finalize.
2.3 FINAL ENGINEERING DESIGN, PLANS AND SPECIFICATIONS
2.3.1 Review all preliminary work and summaries and prepare
general site and detailed layout and coordinate with
OWNER.
2.3.2 Perform final equipment selection and coordinate with
OWNER and regulatory agencies.
2.3.3 Prepare Final Engineering Designs and Calculations.
2.3.4 Prepare, based upon the previously completed
preliminary design criteria, detailed drawings,
thereinafter called the Drawings), to show the
character and scope of work to be performed by
contractors.
2.3.5 Prepare for review and approval by OWNER, its legal
counsel and other advisors contract agreement forms,
general conditions and supplementary conditions and bid
forms, invitations to bid and instructions to bidders
tall of which are hereinafter called the
Specifications).
2.3.6 Furnish to OWNER such documents and oesign data as may
be required for, and assist in the preparation of, the
required documents so that the OWNER may secure
approvals of such governmental authorities as have
jurisdiction over design criteria applicable to the
ProJect.
2.3.7 Engineer will assist the OWNER in his efforts to secure
all approvals necessary for the construction of the
Project.
2.3.8 Advise the OWNER of any adjustments of the opinions of
probable construction costs for the ProJect caused by
changes in scope# design requirements or construction
costs and furnish a revised cost estimate for the
ProJect based on the final Drawings and Specifications.
2.3.9 Deliver up to twenty (20) copies of the Drawings and
Specifications for permitting, approvals and OWNER's
file.
2.3.10 Prepare for OWNER's submission to the Florida
Department of Environmental Regulation (FDER)
applications to construct the facilities.
2.3.11 Make reasonable revisions as required by the reviews by
FDER and the OWNER.
2.3.12 Prepare Step II documentation (Preliminary Plan of
Operation and Basis of Design Summary) required by
FDER. Note: Operation and Maintenance Manual and
Final Plan of Operation are not included in this
Agreement and would be provided during the construction
phase of the ProJect.
SECTION 3
ADDITIONAL SERVICES OF THE ENGINEERS
3.1 GENERAL
If authorized in writing by OWNER, ENGINEER shall
furnish or obtain from others Additional Services of
the following types which are not considered normal or
customary Basic Services and are not included in
Section 2; these will be paid for by OWNER as indicated
in Section 6, if authorized.
3.1.1 Services resulting from significant changes in the
general scope of the Project or its design as outlined,
including, but not limited to changes in size,
complexity, OWNER's schedule, character of
construction; services resulting from significant
delays not caused by the ENGINEER; services or
additional cost resulting from changes or extra work
not included in the scope of the Basic Services of this
agreement; and revising previously accepted studies~
reports, design documents or Contract Documents when
such revisions are due to causes beyond the ENGINEER's
control.
3.1.2 Investigations involving detailed consideration of
operations, maintenance and overhead expenses including
preparation of operating and maintenance manuals;
preparation of earnings and expense statements,
feasibility studies, appraisals and valuations,
detailed audits or inventories.
3.1.3 Preparing to serve or serving as s consultant or
witness for OWNER in any litigation, public hearing or
other legal administrative proceeding involving the
Pro3ect where the ENGINEERS have not caused the
litigation by their gross negligence.
3.1.4 Furnishing additional copies of reports and additional
prints of Drawings, Specifications and Contract
Documents beyond those called for in the Basic
Services.
3.1.5 Furnishing services of independent professional
associates and consultants beyond those specified in
the Plan of Study. If additional property, boundary,
right-of-way, legal descriptions, appraisals,
topographic and special utility surveys, hydrographic
surveys, soils borings, laboratory tests, soils studies
and evaluations and other special services become
necessary, they shall be considered for subsequent
authorization as Additional Services.
3.1.6 Providing renderings or models for OWNER's use.
3.1.7 Preparing documents for alternate bids determined by
OWNER as advantageous to OWNER for Contractor(s)' work
which is not executed or documents for out-of-sequence
work. Also included is extra work for preparation of
drawings, Contract Documents, etc., for more than three
construction contracts.
3.1.8 Additional Services in connection with the Project
including services normally furnished by OWNER and
other services that may subsequently become necessary
that are not included in the Basic Services of this
Agreement.
~ SECTION 4 ~
OWNER'S RESPONSIBILITIES
4.1 GENERAL
Owner shall do the following in a timely manner so as
not to delay the services of ENGINEER:
4.1.1 Provide full information as to his requirements for the
Project.
4.1.2 Assist the ENGINEERS by placing at their disposal all
available information pertinent to the ProJect
including previous reports and any other data relative
to design and construction of the Project.
4.1.3 Designate in writing the person(s) to act as OWNER's
representative with respect to the services to be
rendered under this Agreement. Such person(s) shall
have complete authority to transmit instructions,
receive information, interpret and define OWNER's
policies and decisions with respect to ENGINEER's
services for the ProJect.
4.1.4 Since more than one prime contract for construction is
anticipated, OWNER will designate a person or
organization to have authority and responsibility for
coordinating the activities among the various prime
contractors.
4.1.5 Furnish to the ENGINEER, as required for performance of
Basic Services, data prepared by or services of others;
all of which ENGINEER may rely upon in performing its

to enter public and private property as required for
ENGINEERS to perform their services.
4.1.7 Examine all studies, reports, sketches, Drawings,
Specifications, proposals and other documents presented
by ENGINEER; obtain advice of any attorney, insurance
counselor and other consultants as he deems appropriate
for such examination and render in writing decisions
pertaining thereto within a reasonable time so as not
to delay the services of ENGINEER.
4.1.8 Furnish approvals and permits from all governmental
authorities having jurisdiction over the ProJect and
such approvals and consents from others as may he
necessary for completion of the Project.
4.1.9 Provide such legal, accounting, independent cost
estimating and insurance counseling services as may be
required for the ProJect, and such auditing service as
OWNER may require.
4.1.10 Furnish to ENGINEER data or estimated figures as to
OWNER's anticipated costs for services to be provided
by others for OWNER so that ENGINEER may make the
necessary findings to support opinions of probable
Total Project Costs.
4.1.11 Give prompt written notice to ENGINEER whenever OWNER
observes or otherwise becomes aware of any development
that affects the scope or timing of ENGINEER's
services.
4.1.12 Give prompt written notice to ENGINEER whenever OWNER
observes or otherwise becomes aware of any defect in
the Project.
4.1.13 Execute requests for approvals and permits drafted by
ENGINEER from all governmental authorities having
~urisdiction over the Pro~ect and such approvals and
consents from others as may be necessary for completion
of the Project.
4.1.14 Furnish or direct ENGINEER to provide, Additional
Services as stipulated in Section 3 of this Agreement
or other services as required.
4.1.15 Bear all costs incident to compliance with the
requirements of this Section 4.
SECTION 5
PERIOD OF SERVICE
5.1 The provisions of this Section and the various rates
and total compensation for ENGINEER's services provided
for elsewhere in this Agreement have been agreed to in
anticipation of the orderly and continuous progress of
the Pro3ect. ENGINEER's obligation to render services
hereunder will extend for a period which may reasonably
be required for the completion of the Pro3ect including
extra work and required extensions thereto, but not to
exceed one (1) year from date of the Agreement without
renegotiation of rates and total compensation provided
for in this Agreement.
5.1.2 The Final Engineering Design, Drawings and Documents,
ready for review submission to the OWNER and regulatory
agencies, will be completed within eight (8) months,
following receipt of written authorization to proceed.
5.1.3 If OWNER requests significant modifications or changes
in the scope of the Pro3ect or fails to give prompt
written authorization to proceed with the Pro3ect, or
Pro3ect is delayed by other causes outside of the
ENGINEER's control, the time of performance of
ENGINEER's services and compensation for services of
the ENGINEER shall be ad3usted appropriately.
· /~'~ SECTION 6
METHOD OF PAYMENT TO THE ENGINEERS
6.1 Payments for Services and Expenses of the ENGINEERS are
to be as set forth below:
6.1.1 Principals and Employees of the ENGINEERS
Compensation paid ENGINEERS for services described in
Section 2 and rendered by principals and employees
assigned to the Pro3ect will be computed by multiplying
Direct Personnel Expense (defined per paragraph 6.1.5
of this Agreement) times a factor of 2.20 plus all
reimbursable expenses, not to exceed a total
compensation of S347,460.97 for the scope of Basic
Services described in Section 2 and elsewhere herein..
6.1.2 Reimbursable Expenses
6.1.2.1 Expenses for items not specifically valued herein are
to be reimbursed to the ENGINEER at the actual cost
thereof. Said expenses shall include transportation
and subsistence of principals, employees, and
consultants when traveling in connection with the
Pro3ect, consultant's fees, toll telephone calls,
telegrams, and similar pro3ect-related items.
6.1.2.2 The rate of reimbursement for providing reproducible
copies of Construction Drawings will be at $1.50 per
square foot. Blueprint copies will be reimbursed at
the rate of $0.90 per 24" x 36" drawing. Photocopied
sheets of up to 8-1/2" X 14" size will be reimbursed at
a rate of $0.25 per sheet.
6.1.2.3 The rate of reimbursement for computer time (hardware
and software), including computer aided design and
drafting and other peripheral equipment use, will be
charged at the company's standard commercial rates
without increase.
6.1.3 The OWNER will make prompt monthly payments in response
to ENGINEER's monthly statements for all categories of
services rendered under this Agreement and for
reimbursable expenses incurred.
6.1.4 Charges for the services rendered by principals and
employees as witnesses in any litigation, hearing, or
proceeding in accordance with Section 3 of the
aforesaid Agreement will be computed at a rate of
$350.00 per day or any portion thereof (but
compensation for time spent in preparing to appear in
any such litigation, hearing, or proceeding, will be
computed in accordance with the payment provisions of
Direct Personnel Expense times a factor of 2.20 as
outlined in paragraph 6.1.1.
6.1.5 Direct Personnel Expense used as a basis for payment
shall mean the salaries and wages paid to principals
and employees of all classifications engaged directly
on the ProJect, plus the cost of fringe benefits
including, but not limited to, social security, workers
compensation, health and retirement benefits, sick
leave, vacation, and holiday pay applicable thereto.
For purposes of this Agreement, Direct Personnel
Expense shall be considered an amount equal to 1.4554
times applicable salaries and wages.
6.1.6 If this Agreement is terminated during prosecution of
the services prior to completion of the services of
Section 2, the payment to be made in accordance with
paragraph 6.1 on account of that and all prior work
under this Agreement shall be due and payable and shall
constitute total payment for services rendered. In
addition, upon termination, the ENGINEER shall be paid
for any Additional Services to those itemized under
Section 2 that were authorized and rendered.
~"~ SECTION 7 ~'~I
GENERAL CONSIDERATIONS
7.1 ESTIMATES OF COST
7.1.1 Because the ENGINEERS have no control over the cost of
labor, materials or equipment, or over the
Contractor(s)' methods of determining prices, or over
competitive bidding or market conditions, opinions of
Probable Cost or Construction Cost provided for herein
are to be made on the basis of the ENGINEER's
experience and qualifications and represent the
ENGINEER's best Judgment as a design professional
familiar with the construction industry, but the
ENGINEERS cannot and do not guarantee that proposals,
bids or the Construction Cost will not vary from
opinions of probable cost prepared by the ENGINEER.
7.2 INSURANCE
The ENGINEERS shall secure and maintain such insurance
as will protect the ENGINEERS from claims under the
Workmen's Compensation Act and from claims for bodily
injury, death or property damage which may arise from
~he performance of services under this Agreement. The
ENGINEERS also agree to secure and maintain
Professional Liability Insurance in an amount not less
than $1,000,000 and to furnish Certificates of
Insurance upon request.
7.3 SEVERABILITY AND CONTRAVENTION
It is further understood and agreed by the parties
hereto that if any of these provisions shall
contravene, or be invalid under the laws of the
particular state, county or ~urisdiction where used,
such contravention or invalidity shall not invalidate
the whole agreement, But it shall be construed as if
not containing the particular provision or provisions
held to be invalid in the said particular state, county
or jurisdiction and the rights and obligations of the
parties shall be construed and enforced accordingly.
~.4 REUSE OF =~UMENTS ~"~
All documents including Drawings and Specifications
prepared or furnished by ENGINEER (and ENGINEER's
independent professional associates and consultants)
pursuant to this Agreement are instruments of service
in respect of the Pro~ect and ENGINEER shall retain an
ownership and property interest therein whether or not
the Pro~ect is completed. OWNER may make and retain
copies for information and reference in connection with
the use and occupancy of the Pro~ect by OWNER and
others; however, such documents are not intended or
represented to be suitable for reuse or adaptation on
any other pro~ect. Any reuse without written
verification or adaptation by ENGINEER for the specific
purpose intended will be at OWNER's sole risk and
without liability or legal exposure to the ENGINEER, or
to ENGINEER's independent professional associates and
consultants, and OWNER shall indemnify and hold
harmless ENGINEER and ENGINEER's independent
professional associates and consultants from all
claims, damages, losses and expenses including
attorneys' fees arising out of or resulting therefrom.
Any such verification or adaptation will entitle
ENGINEER to further compensation at rates to be agreed
upon by OWNER and ENGINEER.
7.5 CONTROLLING LAW
This Agreement is to be governed by the law of the
principal place of business of ENGINEER.
7.6 SUCCESSORS AND ASSIGNS
OWNER and ENGINEER each binds himself and his partners,
successors, executors, administrators and assigns to
the other party of this Agreement and to the partnersp
successors, executors, administrators and assigns of
such other party, in respect to all covenants of this
Agreement; except as above, neither OWNER nor ENGINEER
shall assign, sublet or transfer his interest in this
Agreement without the written consent of the other.
Nothing herein shall be construed as creating any
personal liability on the part of any officer or agent
of any public body which may be a party hereto, nor
shall it be construed as giving any rights or benefits
hereunder to anyone other than OWNER and ENGINEER.
