205-CPH-Amendment 55 AMENDMENT No. 55 TO THE AGREEMENT FOR CONTINUING SERVICES FOR THE DESIGN 'OF THE RECLAIMED WATER AUGMENTATION FACILITY AT THE SANFORD NORTH WATER RECLAMATION FACILITY BETWEEN THE CITY OF SANFORD, FLORIDA' AND CPH ENGINEERS, INC. This Agreement made on the .f' *~ day of Oc'F~ z~,~, ,1999 between the CITY OF SANFORD, FLORIDA (hereinafter called the CITY) and CPH ENGINEERS, INC. (hereinafter called the ENGINEER), is mutually agreed upon and declared an authorized Amendment to an Agreement dated December 7, 1983, between the parties, herein setting forth the scope, terms and conditions of the work herein authorized. In case of any conflict between this Amendment and the aforementioned Agreement of December 7, 1983, this Amendment shall govern for the work described herein. WHEREAS, the ENGINEER's personnel have previously provided engineering services to the CITY through Amendments to an Agreement previously entered into on the 7th day of December 1983, and WHEREAS, the ENGINEER has previously provided engineering design and · construction services for the Sanford North Water Reclamation Facility, and WHEREAS, the CITY has experienced operational periodS>where the demands for reclaimed water has been significantly greater than the Sanford North Water Reclamation Facility's ability to produce reclaimed water, and WHEREAS, the service area is expanding and will continue to expand, and WHEREAS, the Tri-Party Agreement between the City of Sanford, City of Lake Mary, and Seminole County requires a considerable quantity of reclaimed water to be produced and sold to the City of Lake Mary and Seminole County, and WHEREAS, the CITY desires to effect reductions in groundwater withdrawals from the Floridan Aquifer, and WHEREAS, the ENGINEER has performed "full-scale" pilot-plant studies on Lake Monroe Water and has determined that it is feasible to be used as an augmentation source for the reclaimed water system, after proper treatment and disinfection, and WHEREAS, the ENGINEER has assisted the CITY in the development of an Environmental Information Document (EID) for the Sanford Wastewater Management and Reclaimed Water Systems which was approved by the EPA and SJRWMD, as it relates to the development and augmentation of the current reclaimed water system with treated and disinfected water from Lake Monroe, and WHEREAS, the ENGINEER has assisted the CITY in acquiring an EPNSJRWMD grant in the amount of $354,334 for the design and construction of augmentation facilities at the Sanford North Water Reclamation Facility, NOW THEREFORE, the CITY and the ENGINEER for the considerations named herein agree as follows: City of Sanford Reclaimed Water Augmentation Facility SECTION I PURPOSE OF THE AMENDMENT 1.1. Introduction The St. Johns River Water Management District is encouraging the use of alternative sources of water to meet the water supply needs of the Central Florida area. The City of Sanford has undertaken a beneficial and successful program of reusing reclaimed water, through both public and restricted access irrigation, throughout the City to reduce the use of valuable high quality groundwater supplies. The program has been so successful that at certain times during the year there is not an adequate supply of reclaimed water to meet the demands of the system. As a result, a three-phased program has been developed to augmentthe City's current reclaimed water supply with surface water from Lake Monroe (St. Johns River). The three phases of this project are described below: Pilot-Plant Study - Development and implementation of a pilot-plant study to determine the treatment requirements for the lake water to meet FDEP regulations. Preparation of a final report with treatment recommendations. Final Design, Permitting and Construction of the Reclaimed Water II Augmentation System and associated Water Reclamation Facility improvements. Future expansion of the Sanford Reclaimed Water Augmentation System is III expected in the coming years as the demand for reclaimed water exceeds the \ supply. The pilot plant study portion of the project (Phase I) has been completed. The results and recommendations have been presented in the report entitled "City of Sanford Water Reclamation Project: Pilot Plant Study Final Report". The pilot plant study results showed that with minimal treatment processes such as coagulation, filtration and chlodnation, Lake Monroe water could be used as a source water for the generation of reclaimed water and augmentation of the Sanford Reclaimed Water System. The reclaimed water generated during the pilot plant study met the water quality criteria mandated in Chapter 62-610, F.A.C. as summarized below: August 1999 Purpose of the Amendment City of Sanford Reclaimed Water Augmentation Fac~ity 2 pH 6.5 - 8.5 TSS < 5 mg/L Turbidity < 2.0 NTU CBODs < 20 mg/L Chlorine Residual > 1.0 mg/L after 15 minutes Phase II of the project includes the final design, permitting and construction of the Reclaimed Water Augmentation Facility based on the Pilot-Study results. The Reclaimed Water Augmentation Facility will be constructed at the Sanford North Water Reclamation Facility to utilize existing space, equipment and 'minimize manpower requirements. A preliminary layout for the reclaimed water augmentation facility is presented in Attachment A. In order to maintain the project on schedule, in accordance with EPA/SJRWMD requirements, and begin augmenting the system, the final design of the facilities must proceed immediately. The proposed Augmentation Facilities are described below: · Portable, diesel powered feed pumps; · Chemical coagulant and polymer feed systems; · Coagulation and fiocculation systems; · Upfiow, deep-bed tertiary filters (DynaSand); · Chemical Feed/Compressor Building; · Chlorination system for the filters; · Yard piping improvements; and · Electrical / Controls / Instrumentation improvements. August 1999 Purpose of the Amendment City of Sanford Reclaimed Water Augmentation Facifity 3 1.2 Purpose This Amendment work is to generally provide engineering services for the design, permitting (FDEP and SJRWMD), bidding and construction services for the Reclaimed Water Augmentation Facilities at the Sanford North Water Reclamation Facility in accordance with the approved Sanford Reclaimed Water System Environmental Information Document (EID) and the approved EPNSJ RWMD Grant for said facilities. The ENGINEER shall provide all services required to complete each task in accordance with regulatory requirements in effect on the date of execution of the Agreeme..nt to the extent of the scope of work as defined and set out in this Amendment. The ENGINEER shall perform professional services as hereinafter stated in accordance with good engineering practices. August 1999 Purpose of the Amendment City of Sanford Reclaimed Water Augmentation Facifity 4 SECTION 2 DESIGN AND PERMITTING 2.1. General The ENGINEER has assisted the CITY in acquiring an EPA/SJRWMD Grant in the amount of $354,334 for the design and implementation of a reclaimed water augmentation system for the City of Sanford using treated and disinfected water from Lake Monroe. A Pilot-Plant Study has been conducted and the results indicate that with proper coagulation, ~occulation and filtration of the suspended and dissolved matter within the lake water, the product is a viable resource/commodity that can be used to augment the existing reclaimed water system when demand for reclaimed water exceeds the supply produced from the Sanford North WRF. Under this Agreement, the ENGINEER is to provide the following design a~d preparation of plans and specifications for a 1.80 MGD Reclaimed Water Augmentation Facility expandable to 10.0 MGD capacity with minimal additional work. Through subconsultants, the ENGINEER will provide needed surveyir~g, geotechnical investigations and electrical engineering design services for the project, survey and soils. 2.2 Specific Services Specific services of the ENGINEER shall include the following: A. Design of Reclaimed Water Augmentation Facilities 1. Coordinate with the surveyor employed by the ENGINEER to obtain a topographic survey and elevations of existing structures, weirs, etc., to be used as a basis for design. 2. Coordinate with the geotechnical firm employed by the ENGINEER for obtaining borings and recommendations at the site of the reclaimed water · augmentation facility and compaction requirements for facility structures. Prepare a preliminary site layout for the reclaimed water augmentation facility, with consideration for future expansion to 10.0 MGD. 4. Prepare hydraulic calculations for the reclaimed water augmentation facility and set preliminary grades for the facility structures. The augmentation facilities will also be designed to allow the secondary effluent from the clarification system to be conveyed to either the existing Infilco-Degremont filters or the new DynaSand tertiary filters. 5. Meet with CITY Engineering and Operating personnel and coordinate the basis of design for the facility based on operational experience. 6. Prepare an evaluation of potential pumping systems and sludge removal/treatment system to be used at the new facilities and the need for any reject storage facilities. 7. Design the Reclaimed Water Augmentation Facilities at the Sanford North WRF and prepare the following plan sheets: a. Cover Sheet and General Notes b. Site Piping and Grading Plan c Influent Structure and Tertiary Filtration System - Mechanical Plan d. Influent Structure and Tertiary Filtration System - Mechanical Plan e. Prepare stormwater calculations and assist the CITY in obtaining a Stormwater Permit from FDEP for site improvements at the new water reclamation facility. 10. Prepare and submit to the FDEP - Central Florida District, a preliminary engineering design report as required by Chapter 62-600.715, F.A.C. and a Final Engineering Report as required by 62-610,310(2)(a), F.A.C. 11. Prepare contract documents (specifications) for the Reclaimed Water Augmentation Facility improvements at the Sanford North WRF. 12. Prepare quantities and an opinion of probable construction cost for the proposed Reclaimed Water Augmentation Facilities at the Sanford North Water Reclamation Facility. 13. Prepare the FDEP Minor Modification Permit Application for the Sanford North Water Reclamation Facility and assist the City in permitting the project with FDEP. To keep the project on schedule an engineering report will be prepared and the facility will be permitted based on said report. Assist the City in responding to requests from the FDEP for additional information concerning the proposed improvements. 14. Through an Electrical Subconsultant provide the Electrical Design for the Reclaimed Water Augmentation System at the Sanford North Water Reclamation Facility to meet Class I Reliability Standards. Prepare facility lighting plan and building mechanical plans. Prepare the proposed improvements to be integrated with the City's new SCADA System. 15. Coordinatewith CITY, FDEP and SJRWMD dudng the design and permitting phase of the project as required. B. Biddine Services 1. Prepare Advertisements for Bids for placement in appropriate publications by the CITY. To generate Contractor interest in the project work and in an effort to enhance competition, the ENGINEER will send copies of the Advertisement to potential bidders to notify them of the Bid letting. 2. Distribute and keep records of the distribution of Documents to Bidders and Suppliers. August 1999 Design and Permitting City of Sanford Reclaimed Water Augmentation Facility 7 3. Issue Addenda to the Contract Documents as required. 4. Answer questions of the Bidders and Suppliers. No interpretations of the Contract Documents shall be made other than through the issuance of Addenda to the Contract Documents. 5. Evaluate the Bids and Assist the CITY in their selection of the construction contractor. 6. Attend the Bid Opening and CITY's meetings at which the Bids are opened and subsequent meetings when the contract is awarded, C. Construction Administration and Start-Up Services 1. During the construction pedod for the "new" facilities, the ENGINEER will: a. Check and approve shop drawings, catalog data, diagrams, illustrations, schedules, samples, test and inspection results and other data the equipment supplier(s) is required to submit, but only as to conformance with the overall design concept of the project and compliance with the Plans~ Specifications, and other Contract Documents as well as with CITY of Sanford requirements. b. Provide part-time RPR services (15 hr/week) to observe the construction progress and report as to the amount of work complete, the overall quality of the executed work, and observed impediments to the successful contract completion. c. Furnish the CITY with a set of reproducible record drawings for the construction contract showing the changes made during the construction process, based on the marked-up prints, drawings and other data furnished by the Contractor to the ENGINEER and which the ENGINEER considers significant. d. Prepare and submit two (2) copies of the "Notification to Place a Domestic Wastewater Treatment Facility in Operation" to the FDEP upon final completion of construction of the proposed improvements, e. Provide Start-Up services associated with "optimizing" the augmentation system to meet FDEP criteria at the lowest operating cost. August f999 Design andPermi~ing City of Sanford Reclaimed Water Augmentation Facility 8 SECTION 3 SUPPLEMENTARY SERVICES OF THE ENGINEER 3.1. If authorized by the CITY, the ENGINEER shall furnish or obtain from others, supplementary services of the following types which witl be paid for by the CITY as an additional cost as outlined in Section 5. 3.2. Additional services due to significant changes in the scope of the project or its design including, but not limited to, changes in size, complexity, character of construction, or due to time delays in initiating or completion of the work as described herein. 3.3 Provide through subconsultants, surveys, soils, environmental scientists services, construction quality control testing, or other specialist services. If these services are subsequently determined advisable during the course of the work, they may be considered for authorization as an additional service under this Section or separately provided by the CITY. 3.4 Except as otherwise provided herein, services or additional costs associated with revising previously accepted studies, reports, or other documents prepared by the ENGINEER when such revisions are due to causes beyond the ENGINEER's control. 3.5 Additional services resulting from public protests. administrative hearings, or similar matters. 3.6 Preparing to serve and/or serving as an Expert Witness for the CITY in any litigation, public hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation, or other legal / administrative proceeding. 3.7 Additional engineering services required by revisions to regulations (after the date of this Amendment) as applicable to the U.S. EPA, Florida Department of Environmental Protection (FDEP), or other regulatory agency requirements. 3.8 Additional services in connection with the project including services normally furnished by the CITY as described in Section 4 herein and services not otherwise provided for in this Agreement. August 1999 Supplementary Satvices of the Engineer City of Sanford Reclaimed Water Augmentation Facility 9 SECTION 4 CITY RESPONSIBILITIES 4.1 In addition to the specific responsibilities hereinbefore described, the CITY will: A. Advise the ENGINEER of his requirements for the project and designate a person to act as the CITY's representative with respect to the work to be performed under this Amendment, and such person shall have complete authority to transmit instructions, receive information, interpret and define the CITY's policies and decisions pertinent to the work covered by this Amendment. B. Obtain and provide data requested that is reasonably available on the project along with operational and maintenance requirements and easement and right- of-way requirements. C. Guarantee access to and make all provisions for the ENGINEER to enter upon public and private lands as required for the ENGINEER to perform his work under this Amendment. D. Make facilities accessible for inspection. E. Examine all studies, reports, sketches, schedules, and other documents presented by the ENGINEER and render decisions pertaining thereto within a reasonable time so as not to delay the work of the ENGINEER. F. Assist in obtaining approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the Project. G. Furnish or direct the ENGINEER, in writing, to provide at the CITY's expense, any subconsultant services not designated in Section 2, if advised by the ENGINEER and CITY concurs that they are necessary, H. Furnish, or direct the ENGINEER, in writing, to provide at the CITY's expense, necessary additional services as stipulated in Section 3 of this Amendment, or other services as required. Provide such legal, accounting, financial and insurance counseling services as may be required for the project, and such auditing services as the CITY may require. J. Give prompt written notice to the ENGINEER whenever the CiTY observes or otherwise becomes aware of any defect in the Project. August 1999 City Responsibilities City of Sanford Reclaimed Water Augmentation Facility SECTION 5 PAYMENT 5.1. Payment for services and expenses of the ENGINEER are to be as set forth below. A. Principals and Employees of the ENGINEER Compensation paid to the ENGINEER for services described herein and rendered by the principals and employees assigned to the project are computed by multiplying the Standard Classification Billing Rates for all classifications of employees directly engaged on the project, by the number of hours worked on the project. The engineering fee for the services described herein is estimated to be $85,513, inclusive of out-of-pocket expenses. Invoices will be submitted periodically, indicating the hours expended dudrig that billing cycle.A breakdown of the project engineering fee is summarized below: Survey Subconsultant $1,720 Soils Subconsultant $6,000 Electrical Subconsultant $6,500 Civil/Environmental Engineer $71,293 5.2. Reimbursed Expenses A. Expenses for items not specifically valued herein are to be reimbursed to the ENGINEER at the actual cost thereof. Said expenses shall include transportation and subsistence of principals and employees, when traveling in connection with the project, toll telephone calls, telegrams, prints, photocopies, and similar project-related items. The CITYwill make prompt monthly payments in response to ENGINEER's monthly statements without retention for all categories of services rendered under this Agreement and for reimbursable expenses incurred. 5.4. Charges for the services rendered by principals and employees as witnesses in any litigation, hearing or proceeding will be computed at a rate of $1,200 per day or any portion thereof (but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the payment method as set forth herein). 5.5 If this Agreement is terminated during prosecution of ~e services prior to completion of the services of Section 2, payments to be made in accordance with Section 5 on account of that and all prior work under this Amendment shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the ENGINEER shall be paid for any additional services authorized and rendered under Section 3, : August1999 Payment City of Sanford Reclaimed Water Augmentation Facility f3 SECTION 6 GENERAL CONDITIONS 6.1. Since the ENGINEER has no control over the cost of labor, materials, or equipment or over any construction method of determining prices, any opinion of probable construction cost which may be provided in the services of this Amendment are made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but the ENGINEER cannot and does not guarantee that the construction cost will not vary from opinions of probable construction cost prepared by him. Similar limitations apply to construction schedules reviewed or prepared by the ENGINEER. 6.2. The CITY and the ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Amendment. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other than the CITY and the ENGINEER.
