301-CPH-Amendment 24 Amendment No. Z4 To Agreement For Continuing Services For Final Design and Construction Plans For Utility Relocation: Projects Associated With S.R. 417, Airport Boulevard Widening and C.R. 46A Widening Between The City of Sanford, Florida And Conkiln, Porter and Holmes - Engineers, Inc. This Agreement made on the X/'2'da of z/,~c,~/'4t-A 1996 between the CITY OF SANFORD, FLORIDA (herehalter called the City) and CONKLIN, PORTER AND HOLMES-ENGINEERS, INC. (hereinafter called the Engineer), is mutually agreed upon and declared an authorized Amendment to an Agreement dated December 17, 1987, between the parties, herein setting forth the scope, terms and conditions of the work herein authorized. In case of any conflict between this Amendment and the aforementioned Agreement of December 17, 1987, this Amendment shall govern for the work described herein. WHEREAS, the construction of S.R. 417, the widening of Airport Boulevard and widening of C.R. '46A creates the need for relocation of City utilities to accommodate the road construction, and WHEREAS, the City has requested the Engineer to perform cormin professional engineering services in connection with this work The City and the Engineer for the considerations named herein agree as follows: SECTION 1 General 1.1 Introduction This proposal outlines various sections of the project including the work to be performed under each section. Each section will be coordinated closely with the City, County, the Florida Department of Transportation (FDOT), and the Seminole County Expressway Authority to accomplish utility relocafions in the project area as shown on the figure attached to this proposal as Exhibit A. As a part of the work, we will coordinate with other consulting firms conducting roadway design work for the purpose of obtaining the latest available plans and other project data for us to perform our work. The City will assist us in the coordination with the various entities associated with the projects. Any negotiations required to accomplish the relocations will be performed by the City, and CPH will provide engineering support for the negotiations. The utilities associated with this proposal include the City of Sanford potable water distribution system, wastewater collection system, and reclaimed water distribution system. The engineering work for the project will be done in several phases. The first phase will include data collection to obtain all available information along the proposed route. The second phase will include evaluation of available data to determine alternative routes for conflicts, and any upgrading of facilities that may be needed in the project area or changes to the existing systems to make them more efficient in the post-constructed condition. The third phase will include preparation of design drawings and consreaction drawings for permit approval for construction. This phase will also include coordination with other design consultants and public agencies. The fourth phase will include permit submittal and follow- up with permitting agencies to obtain construction approval. The fifth phase involves construction administration and certification services. The construction administration and certification work will be proposed under separate amendment at the appropriate time. We are aware of several consultants currently proceeding with the design of the roadway projects. We understand the City will assist us in obtaining my]ars or AutoCAD base drawings from these consultants showing the road improvements which will be used as base sheets for the utility relocation drawings. The Engineer assumes no responsibility for the accuracy or information shown on the base drawings. Any additional surveys or dig ups will be provided by the City. The following consultants are currently working on projects as shown: 1. Post, BuckIcy, Schuh & J'emigan - Airport Boulevard from U.S. 17-92 to C.R. 46A. 2. Inwood Consulting Engineers, Inc. - Airport Boulgvard from C.R. 46A to S.R. 46. 3. Post, Buckley, Schuh & .lemigan - S.R. 417 (Cenlral Florida Greenway) from 17-92 to Old Lake Mary Road. 4. Dyer, Riddle, Mills&Precourt-S.R. 417 (CentralFlorida Greenway) from Old Lake Mary Road to beyond Upsala Road. 5. Professional Engineering Consultants - C.R. 46A ~,t Upsala Road to Country Club Road and From Airport Boulevard across Old Lake Mary Road beyond the RR crossing. From the preliminary information obtained from each of these consultants, we have preliminarily determined the overall scope and limits oftheproject to establish the basis for the scope of services outlined below. There may be instances in the future where additional services may be needed. Those areas have been noted in the proposal. A specific Scope of Services has been developed for road projects (number 2 .through 5) and is shown in Section 2. Road project No. 1 is currently scheduled for construction in the year 2000 and we will provide a proposal for that road project at a later date. SECTION 2 Scope of Services General Work Description The Scope of Services for each road section is shown below. A Plan of Study is attached as Exhibit B which shows the estimated man-hours for each work item identified below. 2.1 State Road 417 from Old Lake Mary Road to UpsalaRgad (Task 1) This section includes State Road 417 crossing of CR 46A, Country Club Road, and Upsala Road. It also includes CR 46A from Country Club Roadto Airport Boulevard and Country Club Road from CK 46A to Airport Boulevard. Due to therequirement for surcharging SR 417 in the vicinity of CR 46A, the utilities in this corridor ,must be relocated outside of the CR 46A right of way while the surcharging is occurring. Areajot 24" water main and a 12" force main exists along this route and this proposal is based on relocating these pipelines from CK 46A corridor to the Country Club Road corridor. The 24" water main would be extended from CR 46A and Country Club Road then east on Country Club Road to Hardy Avenue then south on Hardy Avenue to CK 46A to connect back to the existing water main. The 12" force main would be relocated on Country Club Road paralleling the water main and would connect to the existing 12" force main on Country Club Road and Old Lake Mary Road. After the surcharge operation is completed, provision for water and wastewater utilities would be provided along the reconstructed CR 46A. This proposal is based on this alternative for utility relocation in this area. This section is shown as Task 1 on Exhibit A. Specific services shall include the following: A. Meeting and coordinating with the City of Sanford, Seminole County, and the Expressway Authority to obtain the latest roadway construction plans and existing utility and other information in the project area. We anticipate considerable investigations including field work and possibly dig ups in the CK 46A area to determine utility conflicts. The City will provide considerable assistance in this field investigation and will perform required dig ups. B. The City has a 14" reclaimed water line on Country Club Road, and a 24" water main and both a 12" and 6" force main on CK 46A. The City plans to relocate the 24" water main along Country Club Road from CR 46A east to Hardy Avenue then south on Hardy Avenue to CR 46A where it will reconnect to the existing water main. The water main currently reduces to 20" as it crosses Airport Boulevard along CR 46A and we will provide computer modeling of future City conditions to determine a recommended sizing of the water main. The City also plans to relocate the 12" force main along Country Club Road from CR 46A to Old Lake Mary Road where it will reconnect to the existing 12" force main. We will perform modeling of the force main system to determine if the 12" force main can accommodate the flows along CR 46A and the 6" force main can be abandoned. Existing water and wastewater service in the area of CK 46A and Airport Boulevard will also have to be accommodated. Tasks 3, 4 and 5, subsequently describe work associated with this Task I required to accommodate water and wastewater service in this area. C. Review and discuss the proposed utility relocations with the City within the project limits. Provide the Seminole County Expressway Authority and FDOT with preliminary marked-up roadway plans showing the location of the proposed utilities for their use for updating their plans. Determine in conjunction with the City, if the work should be performed under a .IPA or separately contracted by the City. D. Obtain soils investigation data from geotechnical consultants associated with the roadway projects which will be provided by the Expressway Authority for use in design. The City will provide additional data, if required. Employ surveyor to obtain right-of-way survey, utilities, etc., for Country Club Road from Airport Boulevard to Hardy Avenue and Hardy Avenue from CR 46a to Country Club Road. E. Utilize AutoCAD or mylar roadway base drawings at a 1-in.= 20-fL scale as a base for preparation of construction plans for utility relocation work. The City shall be responsible for obtaining base roadway drawings or AutoCAD files for Engineer's use in preparation of final plans. Except as noted in D above. Prepare Technical Specifications and Contract Documents. G. Develop quantities and opinion of probable construction costs. H. Provide the City and Seminole County Expressway Authority with a copy of final engineering plans to update the utility locations on the roadway plans prior to sending the plans for bidding. I. Provide the City with mylar reproducibles and two signed and sealed record sets of drawings. Provide one set of original specifications and two signed and sealed bound specifications. I. Coordinate with FDEP and assist the City in obtaining FDEP Wastewater Collection SystemfPotable Water Distribution System permits. K. Assist the City in preparation of an FDOT Right-of-Way Utilization Permit. L. Assist the City in preparation of a Seminole County Right-of-Way Utilization Permit. M. Coordination and revisions with the City, FDOT, Seminole County, Road Consultants, and Expressway Authority. 2.2 State Road 417 from U.S. Highway 17-92 to Old Lake Mary Road (Task 2) This project area also includes a considerable area around U.S. Highway I7-92 near the Sanford Plaza, the Zayres Plaza, and along Highway 17-92 from the S.R. 417 exit ramp across Airport Boulevard. The area is shown as Task 2 in Exhibit A. The services provided for utility relocation in this area are shown below. A.' Meeting and coordinating with the City of Sanford, Seminole County, the Expressway Authority, and FDOT to obtain the latest roadway construction plans and existing utility and other information in the project area. We anticipate considerable investigations including field work and possibly dig ups in the Highway 17-92 area, the Sanford Plaza area, and the Zayres Plaza area, to determine utility conflicts. The City will provide considerable assistance in this field investigation and will perform required dig ups. B. Review proposed roadway plans and check and review the potential conflict locations, evaluate the feasibility of utility relocation including relocation of existing water mains and evaluation of abandonment of existing lift stations and force mains in the project area and their affect on the existing wastewater collection system. Conduct K Pipe analyses of existing force main and water main systems in the project area to verify service levels are met in the design. Determine in conjunction with the City, if the work should be performed under a J'PA or separately contracted by the City. Discuss possible alternatives for the project area with the City and make recommendations. C. Review and discuss the proposed utility relocations with the City within the project limits. Provide the Seminole County Expressway Authority and FDOT with preliminary marked-up roadway plans showing the location of the proposed utilities for their use for updating their plans. D. Obtain soils investigation data from geotechnical consultants associated with the roadway projects which will be provided by the Expressway Authority for use in design. The City will provide additional data, if required. E. Utilize AutoCAD or mylar roadway base drawings at a l~in.= 20-fL scale as a base for preparation of construction plans for utility relocation work. The City shall be responsible for obtaining base roadway drawings or AutoCAD files for Engineer's use in preparation of final plans. Prepare the following plans: 1 Cover Sheet 2-3 General Note Sheet / Quantity Sheet / Specifications 4-11 Single Plan and Profile Utility Improvement Plan @ 1-in.=20-ft. 12 Miscellaneous Detail Sheet F. Prepare Technical Specifications and Contract Documents. G. Develop quantities and opinion of probable construction costs. H. Provide the City and Seminole County, Expressway Authority with a copy of final engineering plans to update the utility locations on the roadway plans prior to sending the plans for bidding. I. Provide the City with mylar reproducibles and two signed and sealed record sets of drawings. Provide one set of original specifications and two signed and sealed bound specifications. J. Coordinate with FDEP and assist the City in obtaining FDEP Wastewater Collection System/Potable Water Distribution System permits. K. Assist the City in preparation of an FDOT Right-of-way Utilization Permit. L. Assistthe City in preparation of a Seminole County Right-of-Way Utilization Permit. M. Coordination and revisions with the City, FDOT, Seminole County, Road Consultants, and Expressway Authority. 2.3 Airport Boulevard from C.tL 46A to S.tL 46 flask 3) A. Meeting and coordinating with the City of Sanford and Seminole County to obtain available data and information on existing plan availability and existing utility and other information in the project area. This area is shown as Task 3 on Exhibit A. B. Review proposed roadway plans and check and review the potential conflict locations, evaluate the feasibility of utility relocation including evaluation of water mains, reclaimed water lines, gravity sewer systems and force mains in the project area. Determine in conjunction with the City, if the work should be performed under a JPA or separately contracted by the City. Discuss possible alternatives for the project area with City and make recommendations. The City has a gravity sewer line adjacent to the City's major lift station on Bevier Road. The gravity sewer will be extended through the intersection of Bevier Road and Jewett Lane for future extension. C. Review and discuss the proposed utility relocations with the County and City within the project limits. Provide the County with preliminary marked-up roadway plans showing the location of the proposed utilities for the County's use for updating their plans. D. Obtain soils investigation data from the County's geotechnical consultant which will be provided by the County for use in design. The City will provide additional data, if required. E. Utilize AutoCAD or Mylar roadway base drawings at a 1 "= 20' scale as a base for preparation of construction plans for utility relocation work. The City shall be responsible for obtaining base roadway drawings or AutoCAD files for Engineer's use in preparation of final plans. Prepare the following plans: 1 Cover Sheet 2-3 General Note Sheet / Quantity Sheet / Specifications 4-20 Single Plan and Profile Utility Improvement Plan at a 1 ''= 20' scale 21-22 Miscellaneous Detail Sheet F. Prepare Technical Specifications and Contract Documents. G. Develop quantities and opinion of probable construction costs. H. Provide the City and County with a copy of final engineering plans to update the utility locations on the roadway plans prior to sending the plans for bidding. I. Provide the City with Mylar reproducibles and two signed and sealed record sets of drawings. J. Coordinate with FDEP and assist the city in obtaining FDEP Wastewater Collection SysterrffPotable Water Distribution System permits. K. Assist the City in preparation of a Seminole County Right-of-Way Utilization Permit. L. Coordination and reviews with the City, Seminole County, FDOT and Road Consultants. 2.4 C.1L 46A From Upsala Road to Country Club Road and Airport Boulevard to Hardy Avenue (Approximately 6,400 L.F.) (Task 4) Seminole County is planning to widen CR 46A to four lanes in this area which will require relocation of City utilities including the 24" water main and the 12" and 6" force mains. The area is shown as Task 4 on Exhibit A. Specific services proposed include the following. A. Meeting and coordinating with the City, Seminole County, and FDOT to obtain available data and information on existing plan availability and existing utility and other information in the project area. B. Review proposed roadway plans and check and review the potential conflict locations, evaluate the feasibility of utility relocation including evaluation of abandonment of existing force mains and water mains and relocating of the existing force main and water main north to Countp/Club Road. Discuss possible alternatives for the project area with City and make recommendations. C. Review and discuss the proposed utility relocations with the City, County and Expressway Authority within the project limits. Provide the County and Expressway Authority with preliminary marked-up roadway plans showing the location of the proposed utilities for the their use for updating their plans. D. Obtain soils investigation data from the County's and Expressway geetechnical consultant which will be provided for use in design. The City will provide additional data, if required. E. Utilize AutoCAD or Mylar roadway base drawings in a I "=20' scale as a base for preparation of construction plans for utility relocation work. The City shall be responsible for obtaining base roadway drawings or AutoCAD files for Engineers use in preparation of final plans. Engineer will provide survey data as described in paragraph B above. Prepare the following plans: CR 46A - Upsala Road to Country Club Road and Airport Boulevard to East of the Railroad on CR 46A. 1 Cover Sheet 2-3 General Note Sheet / Quantity Sheet / Specifications 4-18 Single Plan and Profile Utility Improvement Plan at a 1 "=20' scale 19 Miscellaneous Detail Sheet F. Provide the City and County and Expressway Authority with a copy of final engineering plans to update the utility locations on the roadway plans prior to sending the plans for bidding. I. Provide the City with Mylar reproducibles and two signed and sealed record sets of drawings. J. Coordinate with FDEP and assist the City in obtaining FDEP Wastewater Collection System/Potable Water Distribution System permits. K. Assist the City in preparation of a Seminole County Right-of-way Utilization Permit. L. Coordination and reviews with the City, Seminole County, FDOT and Road Consultants. 2.5 Airport Boulevard from Southgate Boulevard Across Highway 17-92 to C.R. 46A (Task 5) A. This road project is not scheduled for construction until the year 2000 and we will provide a separate proposal for this project at a later date. 2.6 Miscellaneous Please note the utility relocation drawings will be prepared using the roadway drawings prepared by others and we will have no immediate knowledge of the accuracy of the existing information provided to us. We will recommend dig ups by the City of a few target locations to field verify the existing utility locations. If'the existing utility locations are found to be different from what is shown on the County's or FDOT's plans, we may require additional survey for proper development of the engineering plans which can be provided as an additional service. The subsurface investigation report for each project will be provided to us by the applicable agency or consultant. If additional soil borings are needed for proper development of our final engineering plans, additional soils work may be needed. This service would need to be obtained as an additional service to our contract or contracted separately with the information provided to us. SECTION 3 Additional Services of the Engineer 3.1 If authorized by the City, the Engineer shall fumish or obtain from others the following additional services, or the City may provide these services separately or directly with the provider. Such additional services will be paid for by the City as outlined in Section 5. 3.1.1 Additional services due to significant changes in the scope of the project or its design including, but not limited to, changes in size, complexity, character of construction or due to time delays in initiating or completion of the work as described heroin. 3.1.2 Provide through subconsultants, soils, environmental scientist (jurisdictional and permitting) services, construction quality control testing, or other specialist services including real estate/fight-of-way agents, project/construction management, financial/budgetary consultant, and bookkeeping/accounting services. If these services are subsequently determined advisable during the course of the work, they may be considered for authorization as an additional service under this Section or separately provided by the City. 3.1.3 Except as otherwise provided herein, services or additional costs associated with revising previously accepted studies, reports, or other documents prepared by the Engineer when such revisions are due to causes beyond the Engineer's control. 3.1.4 Additional services resulting from public protests. administrative hearings, or similar matters. 3.1.5 Preparing to serve and/or serving as an Expert Witness for the City in any litigation, public hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation, or other legal / administrative proceeding. 3.1.6 Furnishing additional sets of prints of drawings and other Documents beyond those designated in Section 2. 3. 1.7 Additional engineering services required by revisions to regulations (after the date of this Amendment) as applicable to the Florida Department of Environmental Protection, the St. J'ohns River Water Management District, Corps of Engineers, Seminole County, FDOT, or other regulatory agency requirements or revisions necessary due to changes in the Koad Improvement Plans. 3.1.8 Additional services in connection with the project including services normally fumished by the City as described in Section 4 herein and services not otherwise provided for in this Agreement. ~:~omz~.~o,w~oms~.~u~.. 11 SECTION 4 City Responsibilities 4.1 The City will: 4.1.2 Advise the Engineer of his requirements for the project and designate a person to act as the City's representative with respect to the work to be performed under this Amendment, and such person shall have complete authority to transmit instructions, receive information, interpret and define the City's policies and decisions pertinent to the work covered by this Amendment. 4.1.3 Obtain and provide data requested that is reasonably available on the project along with operational and maintenance requirements and easement and right-of-way requirements. 4.1.4 Guarantee access to and make all provisions for the Engineer to enter upon public and private lands as required for the Engineer to perform his work under this Amendment. 4.1.5 Make facilities accessible for inspection. 4.1.6 Examine all studies, reports, sketches, schedules, and other documents presented by the Engineer and render decisions pertaining thereto within a reasonable time so as not to delay the work of the Engineer. 4.1.7 Assist in obtaining approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the Project. 4.1.8 Furnish or direct the Engineer in writing to provide at the City's expense, any subconsultant services not designated in Section 2, if advised by the Engineer and City concurs that they are necessary. 4.1.9 Furnish, or direct the Engineer in writing to provide at the City's expense, necessary additional services as stipulated in Section 3 of this Amendment, or other services as required. 4.1.10 Provide such legal, accounting, financial and insurance counseling services as may be required for the project, and such auditing services as the City may require. 4.1.11 Give prompt written notice to the Engineer whenever the City observes or otherwise becomes aware of any defect in the Project. 4. I. 12 Obtain AutoCAD or mylar base drawings of the Road Improvement Plans to serve as a base for preparation of the Utility Relocation Plans. l:vo~,~x~Ro~Tm. 12 SECTION 5 Payment 5.1 Payment for services and expenses of the Engineer to be as set forth below: 5.1.1 Principals and Employees of the Engineer. 5.1.2 Compensation paid Engineer for services described herein and rendered by principals and employees assigned to the Project will be computed by multiplying Direct Personnel Expense (defined in paragraph 5.2.3 herein) times a factor of 1.95 plus all reimbursable expenses. The fee for the engineering services for the Service described in Section 2, plus out of pocket expenses as described in 5.2.1 below at actual cost thereof shall not exceed $259,138.22. A "Task" breakdown follow. Exhibit B, which is attached to this Agreement, provides a proposed Man-hour and Expenses cost breakdown and fee calculation. TOTAL $ 259,138.22 5.2 Reimbursed Expenses 5.2.1 Expenses for items not specifically valued herein are to be reimbursed to the Engineer at the actual cost thereof. Said expenses shall include transportation and subsistence of principals and employees, when traveling in connection with the project, toll telephone calls, telegrams, prints, photocopies, and similar project-related items. Monies collected from plan holders in the form of "non-refundable bid deposits" for Contract Document purchase, will be deposited in Engineer's account and at the conclusion of the bidding process, a check for total bid deposits received will be issued to the City. wf 5.2.2 The City will make prompt monthly payments in response to Engineer's monthly statements without retention for all categories of services rendered under this Agreement and for reimbursable expenses incurred. 5.2.3 Direct Personnel Expense used as a basis for payment shall mean the salaries and wages paid to principals and employees of all classifications engaged directly on the Project, plus the cost of fringe benefits including but not limited to, social security contributions, worker's compensation, health and retirement benefits, bonuses, sick leave, vacation and holiday pay applicable thereto. For purposes of this Amendment, Direct Personnel Expense shall be considered an amount equal to 1.48 times applicable salaries and wages. 5.2.4 Charges for the services rendered by principals and employees as witnesses in any litigation, hearing or proceeding will be computed at a rate of $600.00 per day or any portion thereof(but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the payment method as set forth in Paragraphs 5.1.2 and 5.2.1 herein). 5.2.5 If this Agreement is terminated during prosecution of the services prior to completion of the services of Section 2, payments to be made in accordance with Paragraph 5.1.2 and 5.2.1 on account of that and all prior work under this Amendment shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the Engineer shall be paid for any additional services authorized and rendered under Section 3. 5.2.6 Services provided by outside subconsultants will be billed at the direct cost without increase. SECTION 6 General Conditions 6.1 Since the Engineer has no control over the cost of labor, materials, or equipment or over any construction Contractor's method of determining prices, any opinion of probable construction cost which may be provided in the services of this Amendment are made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but the Engineer cannot and does not guarantee that bids or the construction cost will not vary from opinions of probable cost prepared by him. Similar limitations apply to construction schedules reviewed or prepared by the Engineer. 6.2 The City and the Engineer each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Amendment. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other than the City and the Engineer. 6.3 The Engineer agrees to initiate work promptly upon receipt of authorization to proceed and to prosecute the work in an expeditious and timely manner until the Project is completed.
