Attached is a proposal for engineering design and permitting services for the Mill Creek
Year I Drainage improvements. These services entail the necessary preparation of
construction documents in two separate portions of the project.
The first set of documents includes the Goldsboro School Joint Use Pond, crossing of
20th street, and ouffall of the pond to the existing 18th street ditch. The second set of
documents includes the detention pond on the Sandefur and adjacent City property,
interconnection to the Goldsboro pond, ouffall from the combined ponds, and (as a additive
alternate) construction of a box culvert to connect to the Year 2 improvements.
Upon review of the proposed agreement, it is in order and reasonable for the mount of
work involved. It is recommended that the attached amendment agreement engineering
services proposal be executed as follows:

SANFORD, FLORIDA (hereinafter called the CITY) and CONKLIN, PORTER AND HOLMES-ENGINEERS, INC,
(hereinafter called the ENGINEER), is mutually agreed upon and declared an authorized Amendment to an
Agreement dated December 17, 1987, between the parties, herein setting forth the scope, terms and
conditions of the work herein authorized,
In case of any conflict between this Amendment and the aforementioned Agreement of
December 17, 1987, this Amendment shall govern for the work described herein.
Section 1
Purpose of Amendment
1.1 General
1.1.1 This Amendment work is to provide Final Engineering Design for a portion of a program outlined
in the Preliminary Engineering Report, Drawings, and the St. Johns River Water Management
District Conceptual Permit previously completed by the ENGINEER for the CITY on Storm Water
Management Facilities for Mill Creek / Cloud BranCh,
1.1.2 The detailed purpose is to provide final engineering designs, construction plans, Contract
Documents, opinion of probable cost to construct, and permitting services for the Year Three
improvements of the Mill Creek drainage improvement program. This Amendment consists of
improvements to the system generally described as: a joint use detention pond at Goldsboro
School, a, second, interconnected detention pond and outfall control structure west of
Goldsboro School pond (partially on the Sandefur property, approximately at Mulberry Ave.
extended, south of 18th Street), and continuation of the Year Two box culvert southward
from 14th and Mulberry south to the proposed ponds.
1.1.3 It is anticipated that the CITY may provide the majority of the bidding and construction services
for portions of the work selected for competitive construction bidding. It is also anticipated
that the ENGINEER will provide at least some construction services to allow certification of
completion of improvements to the St. Johns River Water Management District and provide
other construction services. The scope of construction services that the CITY decides it wants
the ENGINEER to provide will be subsequently negotiated and authorized under Section 3,
Additional Services of the Engineer.
Section 2
Scope of Final Engineering and Related Services
2.1 General Services of the ENGINEER
2.1.1 The ENGINEER agrees to perform professional services in connection with the project as
hereinafter stated.
2.1.2 The ENGINEER will serve as the CITY's professional engineering representative in those phases
of the project to which this Amendment applies and will meet, consult with, and provide advice
to the CITY during the performance of these services. The ENGINEER will perform the services
for the City Commission under the direction of the City Manager and supervision of the
assigned Engineering Department representative.

2.1.3 Based on previous phases of this project, it is anticipated that a SJRWMD Individual
Environmental Resource Permit will be required and preparation of an application and
supporting designs and calculations is included in the scope of this work for the wet detention
facilities and the conveyance facilities to 14th and Mulberry Ave.. Also included is the
preparation of a Corps of Engineers Dredge and Fill permit application and supporting exhibits
for the box culvert construction along the existing ditch south from 14th and Mulberry Ave.
and also for the section of the existing ditch that will be incorporated into and become part of
the Goldsboro School Joint Use Pond. These areas along the existing creek (ditch) bottom are
known to be jurisdictional from previous phase work.
Wetlands jurisdictional limits in the pond area west of the abandoned railroad and south of
18th Street on the Sandefur tract and adjacent City lands are to be determined with SJRWMD
and Corps of Engineers as part of this work through the services of an environmental scientist
subconsultant. No engineering services for the preparation of dredge and fill or similar wetland
permit applications for this westerly pond has been included in this scope of work because
"jurisdiction" of the agencies is not known at this time at this pond location. This Agreement
scope also does not include mitigation plans nor Protected Species Surveys as they are not
anticipated as being required. Additional jurisdictional area scope work, mitigation planning,
Protected Species Surveys, and Dredge and Fill or similar wetland permit work than outlined
above, if required, will be considered an Additional Service under Section 3.
Based on previous year projects, no permits or permit work are anticipated as being required
from FDEP or Seminole County for any of the proposed project.
Additional permit work other than that outlined above, if required and requested by the CITY,
will be considered an Additional Service under Section 3.
2.1.4 Field surveys for preparation of Final Designs, location of borings, surveyed limits of wetland
jurisdictional lines, and land or easement acquisition for the project will be provided by the
CITY and are not included herein. The ENGINEER shall be entitled to rely upon the accuracy
and completeness of such information. The ENGINEER will meet with and coordinate with the
CITY'S surveyor, provide a general scope of work, assistance, give general direction, and
make known his requirements to the surveyor prior to and during the performance of the
surveyor's services. It is anticipated that the City's surveyor's work product will be provided
to the ENGINEER as AutoCAD R12 or R13 drawing files as well as a reproducible of signed and
sealed survey drawings
2.1.5 Soils borings, water table determinations and soils report in the area of the two ponds will be
provided by the CITY. The ENGINEER will coordinate this work with the CITY'S geotechnical
subconsultant, provide a general scope of work, assistance, give general direction, and make
known his requirements to the geotechnical subconsultant prior to and during the performance
of the surveyor's services.
2.1.6 Attached as Exhibit "A" is a Plan of Study which is hereby made a part of this Amendment
showing in more detail the scope of work contemplated, the time estimates, and overall cost
estimates for the scope of work generally described herein.
2.2 Pre-Final Design Coordination and Data Acquisition Services
2.2.1 Meet with regulatory agencies and utilities to discuss and obtain agency input into the scope,
methods and details of construction, maintenance of traffic and stream flow, permitting or
exemptions, temporary facilities and relocations, and other requirements of SJRWMD, the
Corps of Engineers, the CITY and utilities.
2.2.2 Assistance to CITY on Goldsboro School Joint Use Pond including, meetings, rough and final
pond sizing and computer analysis, preparation of drawings of alternate solutions and
modifications, and review of joint use interlocal agreement and preparation of exhibits.
2.2.3 Coordination with CITY and land acquisition specialist including studies of land CITY currently
owns west of railroad and additional land needed for pond. Also included is coordination with
CITY and Environmental scientist regarding the Sandefur tract.
2.2.4 Coordination with CITY and surveyor and meetings regarding scope of the required survey work
to be performed by the CITY's surveyor.
2.2.5 Coordination with land acquisition specialist on status of existing work and outlining additional
land needed south of 18th Street and west of the railroad and any land or easements needed
from ponds north to 14th and Mulberry. Services of land acquisition specialist will be provided
as an Additional Service under Section 3 of this Amendment.
2.2.6 Engineering studies including two alternate solutions (larger and smaller ponds west of railroad)
and computer analysis including Goldsboro joint use pond.
2.2.7 Evaluation of alternatives including effect on downstream facilities. Recommend to CITY the
preferred solution and additional land needed including amount of Sandefur tract.
2.2.8 Modify pond solution, study and evaluate in accordance with changed land acquisition progress
or final result.
2.3 Final Design Services: Phase III (Goldsboro Joint Use Pond and pond west of Railroad; and
additive bid alternate of conveyance facilities from 14th and Mulberry south to ponds).
2.3.1 Engineer will serve as City's professional Engineering representative and will meet, consult and
provide advice to CiTY during the performance of these services.
2.3.2 Engineer will describe the general scope of surveying services including instructions, review
and coordination of surveying work being done by CITY employed surveyor. Request flagging
of wetlands jurisdictional line, of utilities and borings for surveying.
2.3.3 Engineer will describe the general scope of soils work including instructions, review and
coordination of CiTY employed soils firm for borings, water table data and recommendations
needed in pond areas.
2.3.4 Meet with St. Johns River Water Management District staff, Corps of Engineers, the CITY and
the utility companies. The purpose of the meetings is to discuss permitting, erosion and silt
control plans, dewatering, wet detention, pollution abatement facilities, wetlands jurisdictional
areas, maintenance of stream flow, details of the construction and to determine utility
conflicts and relocations required.
2.3.5 Field inspections, plan research, coordination concerning utilities' locations in railroad right-of-
way and pond areas and along west side of Mulberry Ave.
2.3.6 Review soils borings and recommendations and final survey data.
2.3.7 Sketch rough geometry, depth, contours and details of ponds and conveyances into and out
of ponds including equalizer culverts and control structures and field check.
2.3.8 Review and finalize the alignment for the box culvert from the pond north to 14th & Mulberry
Ave. taking into account utility conflicts and relocations. Field check and mark on prints.
2.3.9 Review local lateral drainage and local drainage improvements from 20th Street north through
ponds and north to 14th and Mulberry including pollution abatement possibilities along the
route. Field check and mark on prints.
2.3.10 Determine junction box/pollution abatement/conflict structures and inlet locations and details.
2.3.11 Size required new local culverts tributary to the proposed system and other miscellaneous
culverts and control structures.
2.3.12 Finalize Mill Creek ponds, conveyances, grade lines, control structures, and lateral drainage and
re-run computer program for Phase III total final project.
2.3.13 Design the interconnectlon structures between the two proposed detention ponds and
between the Goldsboro School Joint use Pond and the tributary southerly portion of Mill Creek,
up to a location South of 20th Street.
2.3.14 Prepare final design plans for the proposed ponds, interconnection structures, tributary minor
local drainage systems and site restoration after construction. It is intended that the final plans
allow the construction of the proposed improvements in two phases; the first being the joint
use detention pond at Goldsboro School and the improvements where Mill Creek crosses 20th
Street, along with a temporary pond outfall to the existing 18th Street ditched portion of Mill
Creek, and a second phase consisting of the detention pond on the Sandefur and adjacent CITY
owned lands, the interconnecting structures between this detention pond and the joint use
pond on Goldsboro School, the outfall/control structure for the pond system and the extension
of box culvert northward to connect with the facilities being built under the Year Two program.
The purpose of the phasing is to ensure that the joint use pond at Goldsboro be in place within
the time limits stipulated in agreements between the CITY and the Seminole County School
Board to allow the construction of the Goldsboro pond.
2.3.15 Structural design of structures including, control structure out of ponds, and miscellaneous
head walls, wing walls and junction structures.
2.3.16 Erosion and sedimentation control design at inlets, outlets and lateral drainage locations.
2.3.17 Preparation, supervision, and office and field checking of the plan sheets as identified in the
attached Plan of Study.
2.3,18 Prepare Contract Documents and Specifications including bidding documents, general
conditions, special conditions, and specifications for review by CITY staff and attorney. Two
sets of Contract Documents matching the two sets of construction drawings described in
2.3.14 above are anticipated.
2.3.19 Prepare SJRWMD Individual Environmental Resource Permit Application, calculation package,
and documentation for the permit application. See also 2.1.3, 2.3.5, and 3.1.14.
2.3.20 Prepare Corps of Engineers Dredge and Fill permit application for existing ditch from 14th and
Mulberry to 18th and Mulberry and for the section of the existing ditch to be incorporated into
and become part of the Joint-Use Pond. Prepare 81/2" x 11" drawings and dredge and fill
quantities as required by the Corps of Engineers Nationwide Permit requirements. See also
2.1.3, 2.3.5, 3.1.14 and 3.1.15.
2.3.21 Prepare quantities and opinion of probable cost to construct the improvements.
2.3.22 Provide 10 sets of prints of the drawings and other documents for checking, CITY review and
approval, and for permitting during the course of the project.

Section 3
Additional Services of the Engineer
3.1 If authorized by the CITY, the ENGINEER shall furnish or obtain from others the following
additional services, or the CITY may provide these services separately or directly with the
provider. Such additional services will be paid for by the CITY as outlined in Section 5.
3.1.1 Preparation of permit applications other than those specified in Section 2.
3.1.2 Bidding services.
3.1.3 Administration of construction services and construction inspection services.
3.1,4 Additional services due to significant changes in the scope of the project or its design
including, but not limited to, changes in size, complexity, character of construction or due to
time delays in initiating or completion of the work as described herein.
3.1.5 Provide, through subconsultants, surveying, electrical, soils, environmental scientist,
environmental jurisdictional or pertaining services, real estate and land or easement acquisition
services, construction quality control testing, or other subconsultant services, not included in
the scope of this work, if requested or authorized in writing by the CITY.
3.1.6 Except as otherwise provided herein, services or additional costs associated with revising
previously accepted studies, reports, or other documents when such revisions are due to
causes beyond the ENGINEER's control.
3.1.7 Additional services resulting from public protests. administrative hearings, or similar matters.
3.1.8 Preparing to serve and/or serving as an Expert Witness for the CITY in any litigation, public
hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation, or
other legal / administrative proceeding.
3.1.9 Furnishing additional sets of prints of the drawings and other documents beyond those
designated in Section 2 and the attached Plan of Study.
3.1.10 Additional engineering services required by revisions to regulations (after the date of this
Amendment) as applicable to the Florida Department of Environmental Regulation, the St.
Johns River Water Management District, Corps of Engineers, Seminole County, or other
regulatory agency requirements.
3.1.11 Additional services in connection with the project including services normally furnished by the
CITY as described in Section 4 herein and services not otherwise provided for in this
Agreement.
3.1.12 Investigations involving detailed consideration of operations, maintenance and overhead
expenses including preparation of operating and maintenance manuals, feasibility studies,
appraisals and valuations.
3.1.13 Additional engineering or environmental scientist subconsultant services in connection with
regulatory agency-required wetland jurisdictional areas than anticipated and included in the
described scope or any required mitigation plans.

3,1,14 Protected species surveys in connection with Saint Johns River Water Management District
and/or Army Corps of Engineering permitting process.
Section 4
The CITY'S Responsibilities
4.1 The CITY will:
4.1. I Advise the ENGINEER of his requirements for the project and designate a person to act as the
CITY's representative with respect to the work to be performed under this Amendment, and
such person shall have complete authority to transmit instructions, receive information,
interpret and define the CITY's policies and decisions pertinent to the work covered by this
Amendment.
4.1.2 Provide data requested that is reasonably available on the existing Storm Water, utility and
street systems, along with operational and maintenance requirements.
4.1.3 Guarantee access to end make all provisions for the ENGINEER to enter upon public and private
lands as required for the ENGINEER to perform his work under this Amendment.
4.1.4 Provide personnel to locate facilities and mow, trim, excavate, or otherwise make them
accessible for inspection.
4.1.5 Examine all studies, reports, sketches, and other documents presented by the ENGINEER and
render decisions pertaining thereto within a reasonable time so as not to delay the work of the
ENGINEER.
4.1.6 Obtain approval of all governmental authorities having jurisdiction over the project, and such
approvals and consents from such other individuals or bodies as may be necessary for
completion of the Project.
4.1.7 Furnish or direct the ENGINEER in writing to provide at the CITY's expense any subconsultant
services not designated in Section 2, if advised by the ENGINEER and CITY concurs that they
are necessary. CITY is to provide surveying and soils (geotechnlcal) services as designated in
Section 2.
4.1.8 Furnish, or direct the ENGINEER in writing to provide at the CITY's expense, necessary
additional services as stipulated in Section 3 of this Amendment, or other services as required
that are beyond the described scope of this Amendment.
4.1,9 Provide such legal, accounting, and insurance counseling services as may be required for the
project, and such auditing services as the CITY may require.
4.1.10 Give prompt written notice to the ENGINEER whenever the CITY observes or otherwise
becomes aware of any defect in the Project.
Section 5
Payment
5.1 Payment
Payment for services and expenses of the ENGINEER to be as set forth below:
5.1.1 Principals end Employees of the ENGINEER.
5.1.2 Compensation paid ENGINEER for services described herein and rendered by principals and
employees assigned to the Project will be computed by multiplying Direct Personnel Expense
(defined in paragraph 5.2.3 herain) times a factor of 1.95 plus all reimbursable expenses. The
fee for the engineering services for the Service described in Section 2, plus out of pocket
expenses of 5.2.1 at actual cost thereof shall not exceed 971,886.00.
5.2 Reimbursed Expenses
5,2.1 Expenses for items not specifically valued herein are to be reimbursed to the ENGINEER at the
actual cost thereof. Said expenses shall include transportation and subsistence of principals
and employees, when traveling in connection with the project, toll telephone calls, telegrams,
prints, photocopies, and similar project-related items.
5.2.2 The CITY will make prompt monthly payments in response to ENGINEER's monthly statements
without retention for all categories of services rendered under this Agreement and for
reimbursable expenses incurred.
5.2.3 Direct Personnel Expense used as a basis for payment shall mean the salaries and wages paid
to principals and employees of all classifications engaged directly on the Project, plus the cost
of fringe benefits including but not limited to, social security contributions, worker's
compensation, health and retirement benefits, bonuses, sick leave, vacation and holiday pay
applicable thereto. For purposes of this Amendment, Direct Personnel Expense shall be
considered an amount equal to 1.48 times applicable salaries and wages.
5.2.4 Charges for the services rendered by principals and employees as witnesses in any litigation,
hearing or proceeding will be computed at a rate of 9600.00 per day or any portion thereof (but
compensation for time spent in preparing to appear in any such litigation, hearing or proceeding
will be computed in accordance with the payment method as set forth in Paragraphs 5. 1.2 and
5.2.1 herein).
5.2.5 If this Agreement is terminated during prosecution of the services prior to completion of the
services of Section 2, payments to be made in accordance with Paragraph 5.1.2 and 5.2.1 on
account of that and all prior work under this Amendment shall be due and payable, and shall
constitute total payment for services rendered, In addition, upon termination, the ENGINEER
shall be paid for any additional services authorized and rendered under Section 3.
5.2.6 Services provided by outside subconsultants will be billed at the direct cost without increase.
Section 6
General Conditions
6.1 Since the ENGINEER has no control over the cost of labor, materials, or equipment or over any
construction Contractor's method of determining prices, any opinion of probable construction
cost which may be provided in the services of this Amendment are made on the basis of his
experience and qualifications and represent his best judgment as a design professional familiar
with the construction industry, but the ENGINEER cannot and does not guarantee that bids or
the construction cost will not vary from opinions of probable cost prepared by him.
6.2 The CITY and the ENGINEER each binds himself and his partners, successors, executors,
administrators and assigns to the other party of this Agreement and to partners, successors,
executors, administrators, and assigns of such other party in respect to all covenants of this
Amendment. Nothing herein shall be construed as creating any personal liability on the part
of any officer or agency of any public body which may be a party hereto, nor shall it be
construed as giving any rights or benefits hereunder to anyone other than the CITY and the
ENGINEER.
6.3 The ENGINEER agrees to initiate work promptly upon receipt of authorization to proceed and
to prosecute the work in a timely manner until the Project is completed within 210 days from
Notice to Proceed based, upon availabiliW of survey and other information needed in a timely
manner.
IN WITNESS WHEREOF, the parties hereto have made and executed this Amendment the day
and year first above written.

Compensation paid to the ENGINEER for services described herein and rendered by the
principals and employees assigned to the project are computed by multiplying the Standard
Classification Billing Rates for all classifications of employees directly engaged on the
project, by the number of hours worked on the project. The engineering fee for the services
described herein is estimated to be $21,000.00, inclusive of out-of-pocket expenses. Invoices
will be submitted periodically, indicating the hours expended during that billing cycle.
Reimbursed Expenses
Expenses for items not specifically valued herein are to be reimbursed to the ENGINEER
at the actual cost thereof. Said expenses shall include transportation and subsistence of
principals and employees, when traveling in connection with the project, toll telephone calls,

G. Design Plan Modifications for New Stormwater Pond
The completed "Year 3B" design plans will need to be modified to delete the previous
proposed Year 3B pond, and to replace it with the new pond proposed by B&B. Plan Sheet
3 will require substantial replacement, including a larger survey base area, new pond
contours, modifications to pipe connections between ponds, and pond cross section. The key
map utilized throughout the design plans will also need to be updated to reflect the new
proposed pond. Details and other design related to the pond will also be adjusted as
appropriate.
Should the water control elevations be adjusted as part of the new pond design, the plans will
also need to include any adjustments to the existing control structure in the City's existing
Year 3A pond.
H, Stormwater Modeling and Report Modifications for New Pond
Stormwater computer modeling for the Mill Creek improvements will need to be modified
to include the final proposed pond by B&B. All changes to the pond, piping connections,
and contributing drainage basins will be incorporated. Construction work to be completed
by B&B will be defined as such. The Report will be modified as appropriate to describe the
New Year 3B Improvements and arrangements with B&B. All Post Development
calculations and mode] output will need to be prepared again for both the 25yr/6hr and
25yr/24hr design storms. Stormwater Quality Treatment calculations will also need to be
modified to account for the additional storage in the new pond and any adjustments that may
be made to the controlling water elevation.
I. Modifications to Permit Application
The individual Environmental Resource Permit application currently active with the
SJRWMD will need to be modified for the new pond arrangements, in which the new Year
3B pond will be permitted separately by B&B. We will meet jointly with SYRWMD and
B&B to review these new plans and how the Mill Creek Improvements will be enhanced.
CPH will coordinate with SJRWMD to keep the current application active while revising it
to exclude the new pond from the City's application. CPH will assist the City in revising
application forms, narratives, and other submittal documents to SJRWIVID.
CPH has also assisted the City in requesting time extensions in writing as necessary to keep

In order to address the wetlands as part of the stormwater application to SJRWMD, the
extent ofwefland areas claimed to be jurisdictional by SJRWMD had to be quantified. Once
the wetland lines were flagged and surveyed within the pond area, we plotted the
jurisdictional lines across the proposed pond layout and calculated proposed wetland areas
within the pond. Based upon modifications made to the pond in item A above, wetland areas
were further subdivided between those proposed to be destroyed by construction of the pond,
and those on the property (planned to be acquired) which could be saved,
C. Coordination with ACOE
Based upon initial review of the stormwater application, the ACOE has verbally informed
us the project may fall under ACOE jurisdiction. This will need to be further discussed with
the ACOE and additional information will need to be sent to them in order for ACOE to
make a clear determination whether or not the wetlands within the pond area are
jurisdictional. These services do not include any permitting with ACOE, should this become
required. Bishop and Buttrey should be required to permit as necessary with ACOE.

require design plan revisions on our part to accommodate the new pond. These modifications were
not considered in our original Scope of Services, and it would appear appropriate at this time to
amend our current base contract to include these desired services.
We have carefully reviewed this project and would recommend the following addendure to our
Scope of Services:
