To Agreement Dated December 17, 1987

Final Design & Construction Plans for:
West First Street (S.R. 46) Water Main
North French Avenue (US 17-92) to Persimmon Avenue
Between
The City of Sanford, Florida
And
Conkiln, Porter and Holmes-Engineers, Inc.
SANFORD, FLORIDA (hereinafter called the CITY) and CONKLIN, PORTER AND HOLMES-ENGINEERS, INC.
(hereinafter called the ENGINEER}, is mutually agreed upon and declared an authorized Amendment to an
Agreement dated December 17, 1987, between the parties, herein setting forth the scope, terms and
conditions of the work herein authorized.
In case of any conflict between this Amendment and the aforementioned Agreement of
December 17, 1987, this Amendment shall govern for the work described herein.
WHEREAS, the CITY maintains an existing 8-inch potable water main in the south right-of-
way of West 1st Street (SR 46), and
WHEREAS, this water main has experienced breaks and continues to be replaced, and
WHEREAS, the Master Water Plan indicates additional water capacity is needed in the
downtown area, and
WHEREAS, the CITY has requested the ENGINEER to perform Engineering Designs and
Construction Documents for the North French Avenue (U.S. 1792) to Persimmon Avenue (approximately
5000 If).
NOW THEREFORE, the CITY and the ENGINEER for the considerations named herein agree
as follows:
Section 1
General
1.1 Introduction
The CITY maintains an existing 8-inch potable water main in the south right-of-way of
West 1 st Street (SR46) and other various lines through the project area. The CITY wishes
to upgrade the system by replacing the existing 8-inch line with a 12-inch, or larger,
water main.
Section 2
Basic Services of the ENGINEER
2.1 Introduction
Services on this project will consist of the preparation of final engineering plans and
specifications suitable for bidding and construction of the water line replacement. This
project will be limited to the section of 1 st Street from North French Avenue to Persimmon
Avenue.
2.2 Final Design
2.2.1 Meet, coordinate and review the project with the CITY to obtain available data and
information on the overall scope and limits of the project, CITY utilities, and other available
existing information.
2.2.2 Review existing available route information, check and review the potential conflict
locations, and evaluate the feasibility of line location and roadway crossing locations.
2.2.3 Review and analyze the existing water system via hydraulic analysis (K-pipe computer
model) and evaluate the needs of the new line to meet the recommendations in the CITY's
Master Water Plan.
2.2.4 Prepare preliminary sketches (mark-ups) of the proposed route and discuss alternatives
with the CITY and make recommendations.
2.2.5 Based on the CITY'S approval of the preliminary recommendations and line route, engage
the services of the project surveyor for survey of the proposed line routes, The surveyor
will conduct a full right-of-way survey showing existing right-of-way, easements, utilities,
physical culture, structures, and spot elevations in plan view and profiles. The survey will
be generated on base drawings at 1-in. = 20-ft. scale for the engineer's use to develop
the construction plans for the design. We and the surveyor will coordinate with the CITY
and other utility companies to field verify existing utility locations. The CITY will provide
easement/title work/right-of-way information for all project work.
Review of CPH files and check with the CITY to compare and verify the location of the
CITY's and other existing utilities shown on the survey. It is anticipated that some "dig-
ups" by CITY personnel may be needed to field verify existing utility locations. "Dig-ups"
will only be conducted where the location and depth of the existing utilities are critical to
the design.
2.2.6 Engage the services of a subconsultant soils/geotechnical engineer to conduct soil borings
along the selected pipe route and provide an engineering report regarding soils types,
water tables and construction recommendations (excavation, compaction, soils corrosivity,
etc.). Borings will be conducted at 500-ft. (minimum) intervals along the pipe route.
2.2.7 Develop preliminary engineering plans by using the generated base. Utilize information
regarding other utilities that may be required to be relocated, and incorporate the CITY's
comments and information into the plans. If needed, the CITY will be asked to assist the
surveyor in conducting 'dig-ups" of CITY utilities for locations of those utilities which are
critical to design.
2.2.8 Develop final engineering plans including title sheet, key sheet and general notes, plan and
profile sheets (I-in. = 20-ft. scale), maintenance of traffic notes and details, and general
construction details. Develop technical specifications, quantities, opinion of probable
construction costs, and draft contract documents. Meet with the CITY and review these
items; provide copies of the final engineering plans, specifications and contract documents
to the CITY for final review prior to permitting submittals and bidding.
2.2.9 Coordinate with responsible regulatory agencies and assist the CITY in obtaining a FDEP,
FDOT, and possibly a county construction permit for the work.
2.2.10 Coordination meeting with FDOT for the purpose of reviewing the project and discussing
lane closure procedures. The need for this is based on field review we have already
conducted that seems to indicate the existing water main in the downtown area (at the
east end of the project) is under pavement with no apparent room within which to place
a new main except under pavement.
2.2,11 Provide up to 40 complete sets of utility construction plans, specifications, and contract
documents for the CITY's use for bidding.
2.3 Bidding and construction services are not included herein and if the CITY desires such
services from the ENGINEER, they will be negotiated as an "Additional Service" and
authorized under the provisions of Section 3.
Section 3
Additional Services of the ENGINEER
3.1 if authorized by the CITY, the ENGINEER shall furnish or obtain from others the following
additional services, or the CITY may provide these services separately or directly with the
provider. Such additional services will be paid for by the CITY as outlined in Section 5.
3.1.1 Preparation of permit applications other than those specified in Section 2.
3.1.2 Bidding services and construction inspection services.
3.1.3 Administration of construction services.
3.1.4 Additional services due to significant changes in the scope of the project or its design
including, but not limited to, changes in size, complexity, character of construction or due
to time delays in initiating or completion of the work as described herein.
3.1.5 Provide, through subconsultants, environmental scientist, environmental jurisdictional or
permitting services, real estate record/title research and land or easement acquisition
services construction quality control testing, or other subconsultant services beyond the
scope itemized in Section 2, if requested or authorized in writing by the CITY.
3.1.6 Except as otherwise provided herein, services or additional costs associated with revising
previously accepted studies, reports, or other documents when such revisions are due to
causes beyond the ENGINEER's control,
3.1.7 Additional services resulting from public protests, administrative hearings, or similar
matters.
3.1.8 Preparing to serve and/or serving as an Expert Witness for the CITY in any litigation, public
hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation,
or other legal / administrative proceeding,
3.1.9 Furnishing additional sets of prints of the drawings and other documents beyond those
designated in Section 2.
3.1.10 Additional engineering services required by revisions to regulations (after the date of this
Amendment) as applicable to the Florida Department of Environmental Regulation, the St.
Johns River Water Management District, Corps of Engineers, Florida Department of
Transportation, Seminole County, or other regulatory agency requirements.
3.1.11 Additional services in connection with the project including services normally furnished by
the CiTY as described in Section 4 herein and services not otherwise provided for in this
Agreement.
3.1.12 Investigations involving detailed consideration of operations, maintenance and overhead
expenses including preparation of operating and maintenance manuals, feasibility studies,
appraisals and valuations.
Section 4
The CITY'S Responsibilities
4.1 The CITY will:
4.1.1 Advise the ENGINEER of his requirements for the project and designate a person to act as
the CITY's representative with respect to the work to be performed under this
Amendment, and such person shall have complete authority to transmit instructions,
receive information, interpret and define the CITY's policies and decisions pertinent to the
work covered by this Amendment.
4.1.2 Provide data requested that is reasonably available on the existing utility and street
systems, along with operational and maintenance requirements.
4.1.3 Guarantee access to and make all provisions for the ENGINEER to enter upon public and
private lands as recluired for the ENGINEER to perform his work under this Amendment.
4.1.4 Examine all studies, reports, sketches, and other documents presented by the ENGINEER
and render decisions pertaining thereto within a reasonable time so as not to delay the
work of the ENGINEER.
4.1.5 Obtain approval of all governmental authorities having jurisdiction over the project, and
such approvals and consents from such other individuals or bodies as may be necessary
for completion of the Project.
4.1.6 Furnish or direct the ENGINEER in writing to provide at the CITY's expense any
subconsultant services not designated in Section 2, if advised by the ENGINEER and CITY
concurs that they are necessary.
4.1.7 Furnish, or direct the ENGINEER in writing to provide at the CITY's expense, necessary
additional services as stipulated in Section 3 of this Amendment, or other services as
required.
4, 1.8 Provide such legal, accounting, and insurance counseling services as may be required for
the project, and such auditing services as the CiTY may require.
4.1.9 Give prompt written notice to the ENGINEER whenever the CITY observes or otherwise
becomes aware of any defect in the Project.
Section 5
Payment
5.1 Payment for services and expenses of the ENGINEER to be as set forth below:
5.1.1 Compensation paid ENGINEER for services described herein and rendered by principals and
employees assigned to the Project will be computed by multiplying Direct Personnel
Expense (defined in paragraph 5.2.3 herein) times a factor of 1.95 plus all reimbursable
expenses. The fee for the engineering services for the Service described in Section 2, plus
out of pocket expenses of 5.2.1 at actual cost thereof shall not exceed 950,713.31.
5.1.2 Direct Personnel Expense used as a basis for payment shall mean the salaries and wages
paid to principals and employees of all classifications engaged directly on the Project, plus
the cost of fringe benefits including but not limited to, social security contributions,
worker's compensation, health and retirement benefits, bonuses, sick leave, vacation and
holiday pay applicable thereto. For purposes of this Amendment, Direct Personnel Expense
shall be considered an amount equal to 1.48 times applicable salaries and wages.
5.1.3 Expenses for items not specifically valued herein are to be reimbursed to the ENGINEER
at the actual cost thereof. Said expenses shall include transportation and subsistence of
principals and employees, when traveling in connection with the project, toll telephone
calls, telegrams, prints, photocopies, and similar project-related items.
5.2 The CITY will make prompt monthly payments in response to ENGINEER's monthly
statements without retention for all categories of services rendered under this Agreement
and for reimbursable expenses incurred.
5.3 if this Agreement is terminated during prosecution of the services prior to completion of
the services of Section 2, payments to be made in accordance with Paragraph 5.1.2 and
5.2.1 on account of that and all prior work under this Amendment shall be due and
payable, and shall constitute total payment for services rendered. In addition, upon
termination, the ENGINEER shall be paid for any additional services authorized and
rendered under Section 3.
5.4 Charges for the services rendered by principals and employees as witnesses in any
litigation, hearing or proceeding will be computed at a rate of 9600.00 per day or any
portion thereof (but compensation for time spent in preparing to appear in any such
litigation, hearing or proceeding will be computed in accordance with the payment method
as set forth in Paragraphs 5.1.2 and 5.2.1 herein).
5.5 Services provided by outside subconsultants will be billed at the direct cost without
increase.
Section 6
General Conditions
6.1 Since the ENGINEER has no control over the cost of labor, materials, or equipment or over
any construction Contractor's method of determining prices, any opinion of probable
construction cost which may be provided in the services of this Amendment are made on
the basis of his experience and qualifications and represent his best judgment as a design
professional familiar with the construction industry, but the ENGINEER cannot and does
not guarantee that bids or the construction cost will not vary from opinions of probable
cost prepared by him.
6.2 The CITY and the ENGINEER each binds himself and his partners, successors, executors,
administrators and assigns to the other party of this Agreement and to partners,
successors, executors, administrators, and assigns of such other party in respect to all
covenants of this Amendment. Nothing herein shall be construed as creating any personal
liability on the part of any officer or agency of any public body which may be a party
hereto, nor shall it be construed as giving any rights or benefits hereunder to anyone other
than the CITY and the ENGINEER.
6.3 The ENGINEER agrees to initiate work promptly upon receipt of authorization to proceed
and to prosecute the work in a timely manner until the Project is completed within 90 days
from Notice to Proceed based, upon availability of right-of-way and other information
needed in a timely manner.
IN WITNESS WHEREOF, the parties hereto have made and executed this Amendment the

We are enclosing for your review and approval, Amendment No. 22 for Final Design end Construction Plan
services for the proposed water main improvements (French Avenue to Pers'nnmon Avenue). As requested, this
Amendment is a revision of the one previously furnished which included Phase 2 work (Persimmon Avenue to
An'port Boulevard).
Please note that the last executed amendment for Water/Storm Water projects was Amendment 20 (Upsala Water
Main Extension). Amendment 20A (Real Estate Subconsultant Services Upsala Road Water Main Extension)
end Amendment 21 (Mill Creek Year H ConsInaction Services), have been sent to the City for review, approval
end execution. Amendment 22 is the next number in sequence.

Bill -
We are in need of improving the water line on 1st Street from
French Avenue to Persimmon Avenue. This is an old water line
which has had numerous repairs.
Attached is a proposal from C P & H for engineering services
related to the design and construction of this replacement water
line. Their proposal also includes a full survey of the road
right-of-way.
The cost for these services is $50,713.31. It is recommended
that this proposal be accepted.
Funds for this budgeted project are available in account number
451-4530-536-63-00.
