301-CPH-Amendment 17 /'7 AMENDMENT TO THE AGREEMENT DATED DECEMBER 17, 1987 FOR CONTINUING SERVICES FOR THE SANFORD WATER SYSTEM CORROSION CONTROL MODIFICATIONS AND "FULL-SCALE" DEMONSTRATION TEST BETWEEN THE CITY OF SANFORD, FLORIDA AND CONKLIN, PORTER & HOLMES-ENGINEERS, INC. This Amendment made on the2~/Zday of/It/~U~-E/A~ 1994 between the CITY OF SANFORD, FLORIDA (hereinafter called the CI'FY) and CONKLIN, PORTER AND HOLMES-ENGINEERS, INC. (hereinafter called the ENGINEER), is mutually agreed upon and declared an authodzed Amendment to an Agreement dated December 17, 1987, between the parties, herein setting forth the scope, terms and conditions of the work herein authorized. In case of any conflict between this Amendment and the aforementioned Agreement of December 17~ 1987, this Amendment shall govern for the work described herein. WHEREAS, the CITY of Sanford is classified as a medium-sized utility, and WHEREAS, the CITY has performed the necessary testing for copper and lead concentrations in its water distribution system to comply with FDEP and EPA regulations concerning lead and copper corrosion control, and WHEREAS, the ENGINEER, under Amendment No. 7, has previously prepared a Con'osion Control Desk-top Evaluation of the Sanford Public Water System, to include the potable water being treated and distributed by the Main and Auxiliary Water Treatment Plants, and WHEREAS, the ENGINEER has previously provided engineering design and construction services for the City of Sanford Water Treatment Plants, and WHEREAS, the CITY has requested the ENGINEER to perform engineering services to design a corrosion control system for the Main and Auxiliary Water Treatment Plants, permitting of the system with the FDEP, construction administration services for the proposed improvements, and engineering and water quality evaluation of the corrosion control system and coordination with the FDEP during the twelve (12) month Demonstration Testing Performance Period. NOW THEREFORE, the CITY and the ENGINEER for the considerations named herein agree as follows: SECTION I PURPOSE OF AMENDMENT 1.0 General A. This Amendment work is to generally provide engineering services for the design, permitting, construction administration, and operational evaluation of a corrosion control system for the City of Sanford Main and Auxiliary Water Treatment Plants, and other services as heroin specified for the designated project. B. The detailed purpose of this amendment is to provide engineering services to design a corrosion control system for the Main and Auxiliary Water Treatment Plants, permitting of the system with the Florida Department of Environmental Protection (FDEP), construction administration services for the proposed improvements, and engineering and water quality evaluation of the operation and performance of the corrosion control system and coordination with the FDEP during the twelve (12) month Demonstration Testing Performance Period. SECTION 2 SCOPE OF CONSTRUCTION RELATED SERVICES 2.0 General Services of the Engineer A. In order to regulate the Contol of Lead and Copper in Public Drinking Water Systems, as mandated by the Federal Govemment, the Florida Department of Environmental Protection has promulgated new water treatment regulations (Chapter 17~551, F.A.C.). These rules are intended to implement the Pdmary Ddnking Water Regulations (Title 40 of the Federal Regulations, Parts 141 and 142) related to the control of lead and copper in drinking water. The regulations require a corrosion control desk-top evaluation to be performed when the lead and copper action levels have been exceeded. Upon approval of the corrosion control desk-top evaluation by the State Regulatory Agency (FDEP), the CITY is required to implement the "optimum" corrosion control treatment system within a specified timeframe. A "full- scale" Demonstration Test of the selected "optimum" treatment system is required by the FDEP prior to final approval of the Corrosion Control Treatment System. B. The ENGINEER shall provide all services required to complete each task in accordance with the regulatory requirements in effect on the date of execution of this Agreement to the extent of the scope of work as defined and set out in this Amendment. The ENGINEER shall shall perform professional services as hereina~er stated in accordance with good engineering practices. C. The ENGINEER will serve as the CITY's professional engineering representative in those phases of the project to which this Amendment applies and will meet, consult with, and provide advice to the CITY during the performance of these services. The ENGINEER will perform the services for the City Commission under the direction of the City Manager. D. The ENGINEER will attend and padicipate in monthly progress meetings and conferences with the CITY, including Operating and Maintenance personnel, to keep the CITY advised of the progress of the work, Demonstration Test and the overall corrosion control system; receive his instructions, preferences and opinions; and will also coordinate with the pertinent regulatory agencies. E. The ENGINEER represents that all personnel engaged in the work shall be fully qualified. Any and all subconsultants will be submitted to the CITY for approval. F. The ENGINEER shall prepare plans and specifications for the proposed corrosion control improvements at each of the water treatment facilities; provide permitting services; procure corrosion control equipment for the proposed improvements (to be installed by City forces); provide construction administration services; provide corrosion control, engineering and water quality evaluation of the corrosion control system; and coordinate with the FDEP during the twelve (12) month Demonstration Testing Performance Period. G. Other subconsultant services (soils, surveying, environmental scientist services, quality control testing, water quality testing or other specialist services) are not included. If these services are subsequently determined advisable dudng the course of the work, they may be considered for authorization as an additional service under this Amendment or separately provided by the CITY. H. The ENGINEER shall promptly begin work on the services authorized by this Amendment upon execution of this Amendment and will complete the specified services within the compliance schedule promulgated by EPA and FDEP. 2.1 General Scope of Services A. The City of Sanford Water System Corrosion Control Modifications and Full-Scale Demonstration Testing Program will be divided into six (6) phases as follows: · Preliminary and Final Design of the Corrosion Control Modifications to the Main and Auxiliary Water Treatment Plants; ® Development and Design of the Full-Scale Corrosion Control Demonstration Testing Program; · Permitting of the Corrosion Control Modifications and approval of the Corrosion Control Demonstration Testing Program from the Florida Depadment of Environmental Protection (FDEP); · Construction Services and Administration; · Demonstration Testing Program Services and coordination with the FDEP; and · Final Permitting of the City of Sanford Corrosion Control System in accordance with FDEP and EPA regulations. B. Preliminary and Final Desiqn of the Corrosion Control Modifications 1. The ENGINEER will conduct field visits to each of the water treatment facilities in order to collect information necessary to produce preliminary and final engineering design of the corrosion control facilities. 2. The ENGINEER will design and prepare construction plans and specifications for the required new components and water treatment facility upgrades for the corrosion control program as outlined in the City of Sanford Corrosion Control Desk-top Evaluation and in accordance with the regulations concerning the Lead and Copper Rule as promulgated by the EPA and FDEP. The design will include, but is not limited to, the following components: · Addition of chemical feed pumps; · Addition of a flow metering system at the Main W'FP; · Addition of chemical injection systems; · Addition of chemical storage and containment systems; · Addition of day-tank and chemical mixing systems; · Miscellaneous piping, valving, appurtenances and ancillary equipment; · Eleddcal/[nstrumentation/Control Systems design; · Addition of Corrosion Control Coupon Testing Systems; 3. An electrical engineer will be retained to provide design services for the corrosion control facilities. The electrical engineer will evaluate the capability of the existing electrical system, with regard to the proposed improvements, and provide the electrical design for the new components. The ENGINEER will coordinate the services of this subconsultant. Attachment B details the design fee and scope of services for the Electrical Subconsultant. 4. Provide the CITY with copies of the Plans and Specifications for review. 5. Perform a field check of the completed Plans and Specifications and review them with the City Utilities Department and operating personnel. 6. Provide the CITY with three (3) sets of final Plans and Specifications. In addition, provide two (2) signed and sealed sets of final Plans and Specifications for submittal to FDEP, C. Development and Desicln of a Full-Scale Demonstration Testin.cl ProGram 1. Develop the elements of the "Full-Scale" Demonstration Test, in accordance with EPA criteria, for review and approval by the Florida Department of Environmental Protection (FDEP). The elements include, but are not limited to, the following: · Background testing program and protocol prior to the application of the corrosion control inhibitor; · Testing Protocols; · Sampling Program Design; · Coupon Testing Program and Protocol; · Measures of Corrosion Activity; · Data Handling and Analysis Techniques; · Testing Program for Secondary Impacts; · Quality Assurance/Quality Control Program; · Determination of the Optimum dosage and type of corrosion control inhibitor; · Evaluation of the need for any additional type of treatment; · Evaluation of the effect of the corrosion control program on the phosphorus and copper concentrations in the infiuent and biosolids at the City of Water Reclamation Facility. 2. Prepare plans and supporting documentation, in a report-like form, in accordance with the regulations concerning the Lead and Copper Rule and Demonstration Testing. 3. Provide the CITY with copies of the "Full-Scale" Demonstration Testing Program. 4. Meet with CITY personnel and review the scope of the Demonstration Testing Program prior to submittal to the FDEP. D. Permitting of the Corrosion Control Modifications and Approval of the Corrosion Control Demonstration Testincl Proclram 1. Assist the CITY in the preparation of the necessary construction permit application(s) for construction of all of the improvements at the water treatment facilities. The ENGINER shall assist the City in the permitting of the corrosion control system modifications. 2. Assist the City in submitting the required permit application forms and information and documentation with regard to the elements of the "Full-Scale" Demonstration Test. 3. Assist the CITY in responding to requests from the FDEP for additional information ¢onceming the corrosion control modifications to the water treatment facilities and/or the Demonstration Testing Program. E. Corrosion Control System Equipment 1, Various pieces of equipment will be required as part of the Corrosion Control System for each of water treatment facilities. As part of the Contract the Engineer shall provide the following: a. Four (4) Chemical Metering Pumps with 4-20 mA control and external cable pulse; b. One (1) fifty gallon closed tank; c. One (1) 1/20 HP Mixer; d. One (1) 165-gallon chemical tank; e. One (1) 1/2 HP Mixer; and g. Nine Hundred (900) gallons of blended ortho-polyphosphate inhibitor; and h. Six (6) seven-position corrosion coupon test racks. The cost of this equipment and 900 gallons of the corrosion control inhibitor is currently projected to be $10,147.80. A breakdown of the cost is presented in Attachment C. 2. The City of Sanford shall provide the remaining equipment, piping, appurtenances,and ancillary equipment to complete the corrosion control systems. A rough outline of this equipment is as follows: a. One (1) flow metering system to be installed at the Main WTP; b. Two (2) electrical control panels; c. All internal and external piping, fittings and valving associated with the corrosion control systems; d. All concrete and reinfoming steel required (sidewalks and future storage tank) e. Corrosion control inhibitor chemical which is required in excess of that supplied by the Engineer; and f. Any other ancillary equipment which is required to ensure a complete and functional system. Upon completion of the Final Engineering Plans and Specifications, a detailed list of equipment to be supplied by the City will be generated as well as an opinion of probable cost for said equipment. 3. The City of Sanford work forces shall install all of the corrosion control equipment, electrical/controls/instrumentation modifications, piping, appurtenances and ancillary equipment, and construct all corrosion control chemical storage and containment structures, in accordance with the plans and specifications. F. Construction and Administration Services During the construction pedod for the proposed facilities, the ENGINEER will: 1. Make periodic visits to the work site to observe the progress and report as to the amount of work complete, the overall quality of executed work, and observed impediments to the successful contract completion. ENGINEER will not be required to make exhaustive or continuous on-site observations as to the quality or quantity of completed work; his efforts will be directed toward providing assurance to the CITY that the completed projects will substantially conform to the contract, plans, and specifications, but he will not be responsible for the CITY's failure to perform the construction work in accordance with said documents. 2. Check and approve shop drawings, catalog data, diagrams, illustrations, schedules, samples, test and inspection results and other data the equipment supplier is required to submit, but only as to conformance with the overall design concept of the project and compliance with the Plans, Specifications, and other Contract Documents as well as CITY of Sanford requirements. 3. Furnish the CITY with a set of reproducible record drawings for the construction contract showing those changes made during the construction process, based on the marked-up prints, drawings and other data furnished by the CITY forces to the ENGINEER and which the ENGINEER considers insignificant. 4. Prepare and submit two (2) copies of the "Certification of Completion of Construction" to FDEP upon final completion of construction of the water system corrosion control modifications at both of the water treatment facilities. G. Demonstration Testing Services 1. Provide engineering start-up services to the CITY during the initial implementation of the corrosion control system at the two water treatment facilities. 2. Provide the City with engineering and water quality expertise in the evaluation of the corrosion control inhibitor on the lead and copper residuals within the distribution system, as well as, but not limited to, the following: · Evaluation of the inhibitor composition best suited for the specific water quality objectives and conditions. Analyses and evaluations for water quality parameters will be conducted prior to, during the treatment and at every change of inhibitor dose; · Evaluation of the appropriate dosage of corrosion control inhibitor to accomodate background orthophosphate demand as well as the corrosion protection sought; · Evaluation of the pH throughout the distribution system and its effect on corrosion control inhibitors performance; · Evaluation of the effect of the corrosion control inhibitor on the Trihalomethane concentration or potential; · Evaluation of the effectiveness of the corrosion control system and the need for additional treatment based on the water quality results; · Evaluation of the effect of the corrosion control inhibitor on the chlodne residual level throughout the distribution system; · Evalution of the corrosion control system and its impact on color and sediment complaints; · Evaluation of the effects of the corrosion control system on turbidity within the distribution system; · Evaluation of the effects of the corrosion control system on the lead and copper concentrations in the Water Reclamation Facility's wastewater in~uent and biosolids; · Evaluation of the effects of the corrosion control system on the metallic piping materials (lead, copper, mild steel) within the distribution system; 3. Provide an monitoring/evaluation/inspection of the Program during the first six weeks of operation (5 hours/week) to ensure compliance, The Engineers monitoring will then be reduced to two hours per week for the remainder of the twelve month Demonstration Testing Program. The Engineer shall prepare monthly engineering and operating reports for submittal to the FDEP, 4. Assist the City in ensuring that the Demonstration Testing Program is operating in accordance with the Protocols and Programs which were approved by the FDEP. 5. Upon completion of the Demonstration Test, the Engineer shall prepare a final engineering report for submittal to the FDEP. This report will accompany permit applications to the FDEP in an effort to obtain final approval of the Corrosion Control system Operating Permit. 6. The time required in evaluation and reporting the results of the Demonstration Test have been estimated. If multiple inhibitors must be evaluated, additional treatment schemes required, or other unforeseen conditions encountered, additional time may be required. H. Final Permittin.q of the Sanford Corrosion Control Pro.qram with the FDEP 1. Assist the CITY in the preparation of the necessary permit application(s) for full- scale and permanent operation of the corrosion control system at the water treatment facilities. The ENGINER shall submit a final engineering report and supporting documentation to the FDEP, which evaluates the results of the demonstration testing program, for review and approval of the overall system. 2. Assist the CITY in responding to any requests from the FDEP for additional information concerning the corrosion control systems at the two water treatment facilities and/or the results of the Demonstration Testing Program. I. Qualib/Control Review and Technical Expertise Quality Control Review of the Demonstration Testing Program, Technical Expertise with water quality evaluation, and review of the water quality with respect to Federal, State and local regulations, both present and pending, shall be performed by Dr. James S. Taylor, P.E., of the University of Central Florida. SECTION 3 SUPPLEMENTARY SERVICES OF THE ENGINEER A. If authorized by the CITY, the ENGINEER shall fumish or obtain from others, supplementary services of the following types which will be paid for by the CITY as an additional cost as outlined in Section 5. B. Additional services due to significant changes in the scope of the project or its design including, but not limited to, changes in size, complexity, character of construction, or due to time delays in initiating or completion of the work as described herein. C. Provide through subconsultants, surveys, soils, environmental scientist services, construction quality control testing, or other specialist services. If these services are subsequently determined advisable during the course of the work, they may be considered for authorization as an additional service under this Section or separately provided by the CITY. D. Except as otherwise provided herein, services or additional costs associated with revising previously accepted studies, reports, or other documents prepared by the ENGINEER when such revisions are due to causes beyond the ENGINEER's control. E. Additional services resulting from public protests. administrative hearings, or similar matters. F. Preparing to serve and/or serving as an Expert Witness for the CITY in any litigation, public hearing, condemnation proceeding, right-of-way or easement acquisition or negotiation, or other legal / administrative proceeding. G. Fumishing additional sets of prints of drawings and other Documents beyond those designated in Section 2. H. Additional engineering services required by revisions to regulations (after the date of this Amendment) as applicable to the U.S. EPA, Florida Department of Environmental Protection, or other regulatory agency requirements. I. Additional services in connection with the project including services normally furnished by the CITY as described in Section 4 herein and services not otherwise provided for in this Agreement. J. Additional demonstration testing and engineering services required by the Florida Department of Environmental Protection beyond the twelve (12) month testing pedod outlined in this Contract or additional services required to evaluate and change inhibitor type or additional services required to evaluate alternate or additional treatment schemes such as pH adjustment or pH adjustment in combination with inhibitor addition. SECTION 4 CITY RESPONSIBILITIES In addition to the specific responsibilities hereinbefore described, the CITY will: A. Advise the ENGINEER of his requirements for the project and designate a person to act as the CITY's representative with respect to the work to be performed under this Amendment, and such person shall have complete authority to transmit instructions, receive information, interpret and define the CITY's policies and decisions pertinent to the work covered by this Amendment. B. Obtain and provide data requested that is reasonably available on the project along with operational and maintenance requirements and easement and right-of- way requirements. C. Guarantee access to and make all provisions for the ENGINEER to enter upon public and pdvate lands as required for the ENGINEER to perform his work under this Amendment. D. Make facilities accessible for inspection. E. Examine all studies, repo~s, sketches, schedules, and other documents presented by the ENGINEER and render decisions pertaining thereto within a reasonable time so as not to delay the work of the ENGINEER. F. Assist in obtaining approval of all governmental authorities having jurisdiction over the project, and such approvals and consents from such other individuals or bodies as may be necessary for completion of the Project. G. Fumish or direct the ENGINEER in wdting to provide at the CITY's expense, any subconsultant services not designated in Section 2, if advised by the ENGINEER and CITY concurs that they are necessary. H. Furnish, or direct the ENGINEER in writing to provide at the CITY's expense, necessary additional services as stipulated in Section 3 of this Amendment, or other services as required. I. Provide such legal, accounting, financial and insurance counseling services as may be required for the project, and such auditing services as the CITY may require. J, Give prompt written notice to the ENGINEER whenever the CITY observes or otherwise becomes aware of any defect in the Project, K, Install all of the corrosion control equipment, electrical/controls/instrumentation modifications, piping, appurtenances and ancillary equipment, and construct all corrosion control chemical storage and containment structures, in accordance with the plans and specifications. L. Maintain "As-Built" drawings of all construction activities associated with the project and record information concurrently with the construction progress M. Retain a certified laboratory to evaluate all water quality parameters which must be analyzed as pad of the Demonstration Testing Program. Result shall be distributed to the ENGINEER as soon as they become available in order that changes to the corrosion control chemical may be made, if necessary. SECTION 5 PAYMENT 5.0 Payment A. Payment for services and expenses of the ENGINEER to be as set forth below. B. Principals and Employees of the ENGINEER The ENGINEER agrees to perform this work on the basis of payroll cost times a factor of 1.95 plus reimburseable expenses such as travel, long distance phone calls, prints and copies. Reimburseable expenses will be paid for at actual cost theroof without increase. The ENGINEER agrees to perform the services outlined in Sections 2 and 3 of this Amendment, and as outlined in the Plan of Study (Attachment A), for a not-to-exceed fee of $46,584. C. Reimbursed Expenses 1. Expenses for items not specifically valued herein are to be reimbursed to the ENGINEER at the actual cost thereof. Said expenses shall include transportation and subsistence of principals and employees, when traveling in connection with the project, toll telephone calls, telegrams, prints, photocopies, and similar project-related items. 2. Services for outside sub-consultant services, as required, will be charged at cost without mark-up. Sub-consultant fees are included in the not-to-exceed fee. D. The CITY will make prompt monthly payments in response to ENGINEER's monthly statements without retention for all categories of services rendered under this Agreement and for reimbursable expenses incurred. E. Direct Personnel Expense used as a basis for payment shall mean the salades and wages paid to principals and employees of all classifications engaged directly on the Project, plus the cost of fringe benefits including but not limited to, social secudty contributions, workers compensation, health and retirement benefits, bonuses, sick leave, vacation and holiday pay applicable thereto. For purposes of this Amendment, Direct Personnel Expense shall be considered an amount equal to 1.48 times applicable salaries and wages. F. Charges for the services rendered by principals and employees as witnesses in any litigation, hearing or proceeding will be computed at a rate of $600.00 per day or any portion thereof (but compensation for time spent in preparing to appear in any such litigation, hearing or proceeding will be computed in accordance with the payment method as set forth herein). G. If this Agreement is terminated during prosecution of the services prior to completion of the services of Section 2, payments to be made in accordance with Section 5, Articles 5.0(B) and 5.0(C) on account of that and all pdor work under this Amendment shall be due and payable, and shall constitute total payment for services rendered. In addition, upon termination, the ENGINEER shall be paid for any additional services authorized and rendered under Section 3. SECTION 6 GENERAL CONDITIONS A. Since the ENGINEER has no control over the cost of labor, materials, or equipment or over any construction method of determining pdces, any opinion of probable construction cost which may be provided in the services of this Amendment are made on the basis of his experience and qualifications and represent his best judgment as a design professional familiar with the construction industry, but the ENGINEER cannot and does not guarantee that the construction cost will not vary from opinions of probable cost prepared by him. Similar limitations apply to construction schedules rev!ewed or prepared by the ENGINEER. B. The CITY and the ENGINEER each binds himself and his partners, successors, executors, administrators and assigns to the other party of this Agreement and to partners, successors, executors, administrators, and assigns of such other party in respect to all covenants of this Amendment. Nothing herein shall be construed as creating any personal liability on the part of any officer or agency of any public body which may be a party hereto, nor shall it be construed as giving any dghts or benefits hereunder to anyone other than the CITY and the ENGINEER. C. The ENGINEER agrees to initiate work promptly upon receipt of authorization to proceed and to prosecute the work in an expeditious and timely manner until the Project is completed based on timely performance by the developer and his Engineers, construction Contractors and others involved. Coordination with city personnel during installation process. '- Our scope of services shall include designing the addition of a new raw water flow element at the main water treatment plant. This flow meter will be utilized to control and pace the flow of polymer. At the auxiliary water treatment plant the existing flow element will be used to pace polymer flow.
