This Agreement made on the=2f ~r'day of ,._,F,~~, 1993 between the CITY
OF SANFORD, FLORIDA (hereinafter called the CITY) and CONKLIN, PORTER AND
HOLMES-ENGINEERS, INC. (hereinafter called the ENGINEER), is mutually agreed upon
and declared an authorized Amendment to an Agreement dated December 17, 1987,
between the parties, herein setting forth the scope, terms and conditions of the work
herein authorized.
In case of any conflict between this Amendment and the aforementioned Agreement
of December 17, 1987, this Amendment shall govern for the work described herein.

Section I
Purpose of Amendment
1.1 General
1.1.1 This Amendment work is to provide Final Engineering Design for a portion of
a program outlined in the Preliminary Engineering Report, Drawings, and the
St. Johns River Water Management District Conceptual Permit previously
completed by the ENGINEER for the City on Stormwater Management
Facilities for Mill Creek / Cloud Branch.
1.1.2 The detailed purpose is to provide final engineering designs, construction
plans, Contract Documents, opinion of probable cost to construct, and
permitting services for the Year Two improvements of the Mill Creek / Cloud
Branch drainage improvement program. Because the Cloud Branch portion
of the Year One program has been put on hold for construction purposes
because of on-going litigation, it is important to move on quickly to other
parts of the program that can be designed, permitted, and constructed. This
Amendment consists of improvements to the system as follows:
1 ) Proposed Mill Creek channel improvements from the North side of the
Westside Recreation Center property to the North side of West 13th
Street.
2) Proposed Mill Creek main channel box culvert crossing of West 13th
Street.
3) Proposed Mill Creek main channel pipe culverts South from West 13th
Street to West 14th Street and thence East on 14th Street to Mulberry
where this phase of the Mill Creek Improvements would end.
4) Retention/detention basin on Cloud Branch on City-owned land at
Pinehurst Park, North of West 24th Street.
1.1.3 It is anticipated that the City will provide the majority of the bidding and
construction services for portions of the work selected for competitive
construction bidding. It is also anticipated that the ENGINEER will provide
at least some construction services to allow certification of completion of
improvements to the St. Johns River Water Management District and provide
other construction services. The scope of construction services that the
CITY decides it wants the ENGINEER to provide will be subsequently
negotiated and authorized under Section 3, Additional Services of the
Engineer.

Section 2
Scope of Final Engineering and Related Services
2.1 General Services of the ENGINEER
2.1.1 The ENGINEER agrees to perform professional services in connection with
the project as hereinafter stated.
2.1.2 The ENGINEER will serve as the City's professional engineering
representative in those phases of the project to which this Amendment
applies and will meet, consult with, and provide advice to the CITY during
the performance of these services. The ENGINEER will perform the services
for the City Commission under the direction of the City Manager and
supervision of the assigned Engineering Department representative.
2.1.3 Soils borings, explorations and reports are included in the basic services of
this Agreement only at the Pinehurst Park site as they are not believed
necessary at the other sites. If subsequently determined advisable during
the course of the work, such services will be considered for authorization as
an Additional Service under Section 3 or separately provided by the CITY.
No environmental scientist services are included, nor any wetland
jurisdictional or dredge and fill permits included from SJRWMD, FDER, Corps
of Engineers, or Seminole County. Some of these services or permits may
be necessary; however, they will be provided if deemed necessary as an
Additional Service under Section 3 because the limits of wetlands jurisdiction
and scope of the services involved are not known definitely at this time.
2.1.4 Field surveys for preparation of Final Designs and land or easement
acquisition, or establishment of Prescriptive Rights for the project will be
provided by the CITY and are not included herein, and the ENGINEER shall
be entitled to rely upon the accuracy and completeness of such information.
The ENGINEER will coordinate with the CITY'S surveyor, provide assistance,
give general direction, and make known his requirements to the surveyor
prior to and during the performance of the surveyor's services.
2.1.5 Attached as Exhibit "A" is a Plan of Study which is hereby made a part of
this Amendment showing in more detail the scope of work contemplated,
the time estimates, and overall cost estimates for the scope of work
generally described herein.
2.3 Final Engineering
2.3.1 Meet with regulatory agencies and utilities to verify the scope, methods and
details of construction, maintenance of traffic and stream flow, permitting
or exemptions, temporary facilities and relocations, and other requirements
of SJRWMD, the City and utilities and request flagging of buried utilities for
surveying.
2.3.2 Prepare final designs for the improvements. It is assumed the City will
remove and salvage the foot bridge behind the Recreation Center and will
handle any replacement outside this Amendment.
2.3.3 Perform hydraulic Designs and Analyses consisting of refinements to the
overall computer-generated Preliminary Engineering Design previously
performed for Mill Creek and Cloud Branch.
2.3.4 Prepare Construction Drawings.
2.3.5 Prepare Contract Documents including Bidding Documents, General
Conditions, Special Conditions, and Specifications for the work for the
review by the CITY and/or the City Attorney.
2.3.6 Prepare Permit Applications and documentation for CITY'S execution and
submission to the SJRWMD (Management and Storage of Surface Waters
40C4 FAC permit). All review and permit, application, occupation, use,
crossing, and similar fees are not included in the scope of this work and are
to be paid directly by the CITY.
2.3.7 Prepare Opinion of Probable Cost to Construct the improvements.
2.3.8 Provide 10 sets of prints of the drawings and other documents for CITY and
other agency review, approval and permitting during the course of the
project work.
Additional sets will be provided as an additional service as required for
construction bidding purposes.

Section 3
Additional Services of the Engineer
3.1 If authorized by the CITY, the ENGINEER shall furnish or obtain from others
the following additional services, or the CITY may provide these services
separately or directly with the provider. Such additional services will be paid
for by the CITY as outlined in Section 5.
3.1.2 Preparation of permit applications other than those specified in Section 2.
3.1.3 Bidding services and construction inspection services.
3.1.4 Administration of construction services.
3.1.5 Additional services due to significant changes in the scope of the project or
its design including, but not limited to, changes in size, complexity, character
of construction or due to time delays in initiating or completion of the work
as described herein.
3.1.6 Provide, through subconsultants, surveying, electrical, soils, environmental
scientist, environmental jurisdictional or permitting services, real estate and
land or easement acquisition services, construction quality control testing,
or other subconsultant services, if requested or authorized in writing by the
CITY.
3.1.7 Except as otherwise provided herein, services or additional costs associated
with revising previously accepted studies, reports, or other documents when
such revisions are due to causes beyond the ENGINEER's control.
3.1.8 Additional services resulting from public protests. administrative hearings,
or similar matters.
3.1.9 Preparing to serve and/or serving as an Expert Witness for the CITY in any
litigation, public hearing, condemnation proceeding, right-of-way or easement
acquisition or negotiation, or other legal / administrative proceeding.
3.1.10 Furnishing additional sets of prints of the drawings and other documents
beyond those designated in Section 2.
3.1.11 Additional engineering services required by revisions to regulations (after the
date of this Amendment) as applicable to the Florida Department of
Environmental Regulation, the St. Johns River Water Management District,
Corps of Engineers, Seminole County, or other regulatory agency
requirements.
3.1.12 Additional services in connection with the project including services normally
furnished by the CITY as described in Section 4 herein and services not
otherwise provided for in this Agreement.
3.1.13 Investigations involving detailed consideration of operations, maintenance
and overhead expenses including preparation of operating and maintenance
manuals, feasibility studies, appraisals and valuations.
Section 4
The CITY'S Responsibilities
4.1 The CITY will:
4.1.2 Advise the ENGINEER of his requirements for the project and designate a
person to act as the CITY's representative with respect to the work to be
performed under this Amendment, and such person shall have complete
authority to transmit instructions, receive information, interpret and define
the CITY's policies and decisions pertinent to the work covered by this
Amendment.
4.1.3 Provide data requested that is reasonably available on the existing
stormwater,' utility and street systems, along with operational and
maintenance requirements.,
4.1.4 Guarantee access to and make all provisions for the ENGINEER to enter upon
public and private lands as required for the ENGINEER to perform his work
under this Amendment.
4.1.5 Provide personnel to locate facilities and mow, trim, excavate, or otherwise
make them accessible for inspection.
4.1.6 Examine all studies, reports, sketches, and other documents presented by
the ENGINEER and render decisions pertaining thereto within a reasonable
time so as not to delay the work of the ENGINEER.
4.1.7 Obtain approval of all governmental authorities having jurisdiction over the
project, and such approvals and consents from such other individuals or
bodies as may be necessary for completion of the Project.
4.1.8 Furnish or direct the ENGINEER in writing to provide at the CITY's expense
any subconsultant services not designated in Section 2, if advised by the
ENGINEER and CITY concurs that they are necessary.
4.1.9 Furnish, or direct the ENGINEER in writing to provide at the CITY's expense,
necessary additional services as stipulated in Section 3 of this Amendment,
or other services as required.
4.1.10 Provide such legal, accounting, and insurance counseling services as may be
required for the project, and such auditing services as the CITY may require.
4.1.11 Give prompt written notice to the ENGINEER whenever the CITY observes
or otherwise becomes aware of any defect in the Project.

Sectiorl 5
Payment
5.1 Payment
Payment for services and expenses of the ENGINEER to be as set forth
below:
5.1.1 Principals and Employees of the ENGINEER.
5.1.2 Compensation paid ENGINEER for services described herein and rendered by
principals and employees assigned to the Project will be computed by
multiplying Direct Personnel Expense (defined in paragraph 5.2.3 herein)
times a factor of 1.95 plus all reimbursable expenses. The fee for the
engineering services for the Service described in Section 2, plus out of
pocket expenses of 5.2.1 at actual cost thereof shall not exceed
$62,067.14.
5.2 Reimbursed Expenses
5.2.1 Expenses for items not specifically valued herein are to be reimbursed to the
ENGINEER at the actual cost thereof. Said expenses shall include
transportation and subsistence of principals and employees, when traveling
in connection with the project, toll telephone calls, telegrams, prints,
photocopies, and similar project-related items.
5.2.2 The CITY will make prompt monthly payments in response to ENGINEER's
monthly statements without retention for all categories of services rendered
under this Agreement and for reimbursable expenses incurred.
5.2.3 Direct Personnel Expense used as a basis for payment shall mean the salaries
and wages paid to principals and employees of all classifications engaged
directly on the Project, plus the cost of fringe benefits including but not
limited to, social security contributions, worker's compensation, health and
retirement benefits, bonuses, sick leave, vacation and holiday pay applicable
thereto. For purposes of this Amendment, Direct Personnel Expense shall
be considered an amount equal to 1.48 times applicable salaries and wages.
5,2.4 Charges for the services rendered by principals and employees as witnesses
in any litigation, hearing or proceeding will be computed at a rate of $600.00
per day or any portion thereof (but compensation for time spent in preparing
to appear in any such litigation, hearing or proceeding will be computed in
accordance with the payment method as set forth in Paragraphs 5.1.2 and
5.2.1 herein).

5.2.5 If this Agreement is terminated during prosecution Of the services prior to
completion of the services of Section 2, payments to be made in accordance
with Paragraph 5.1.2 and 5.2.1 on account of that and all prior work under
this Amendment shall be due and payable, and shall constitute total payment
for services rendered. In addition, upon termination, the ENGINEER shall be
paid for any additional services authorized and rendered under Section 3.
5.2.6 Services provided by outside subconsultants will be billed at the direct cost
without increase.
Section 6
General Conditions
6.1 Since the ENGINEER has no control over the cost of labor, materials, or
equipment or over any construction Contractor's method of determining
prices, any opinion of probable construction cost which may be provided in
the services of this Amendment are made on the basis of his experience and
qualifications and represent his best judgment as a design professional
familiar with the construction industry, but the ENGINEER cannot and does
not guarantee that bids or the construction cost will not vary from opinions
of probable cost prepared by him.
6.2 The CITY and the ENGINEER each binds himself and his partners,
successors, executors, administrators and assigns to the other party of this
Agreement and to partners, successors, executors, administrators, and
assigns of such other party in respect to all covenants of this Amendment.
Nothing herein shall be construed as creating any personal liability on the
part of any officer or agency of any public body which may be a party
hereto, nor shall it be construed as giving any rights or benefits hereunder
to anyone other than the CITY and the ENGINEER.
6.3 The ENGINEER agrees to initiate work promptly upon receipt of authorization
to proceed and to prosecute the work in a timely manner until the Project is
completed within 180 days from Notice to Proceed based, upon availability
of survey and other information needed in a timely manner.

Gentlemen:
Universal Engineering Sciences is pleased to submit our proposal for geetechnical engineering services
on this project. Our understanding of this project, together with our proposed scope of services and
costs, are presented in the following paragraphs.
PROJECT DESCRIPTION
We understand retention basion No. 6 in Pine Hurst Park is scheduled for final design and construction.
We have been requested to provide a soil exploration proposal to determine design parameters for water
management permiffing purposes. The proposed five acre (_) retention basion is intended to function
as a wet detention basion with a permanent water pod, with bleed down capabilities to recapture storage
capacity following a storm; the use of underdrains in a dn/pond obviously is not contemplated.
We understand there was once an existing city trash landfill on the general park site, but is not believed
to be located in this retention basion area. However, as part of our services we will reconnaissance to
icok for evidence of that landfill and have conversations with individuals who have information where the
former landfill may have been sited.
Universal Engineering Sciences would develop information for this project concerning all of the following
items:
1. The soil classffication and suitability of the excavated material for
construction use;
2. Determine high seasonal and normal groundwater elevations;
3. Predict the normal peel elevation in the pond a~er it has been
constructed and water level stabilized.

made to depths of 20 feet each. Standard Penetration Tests (SPT) will be performed continuously in the
upper ten-feet of each boring and on five-foot centers therealter to the bottom of the borings. Our field
representative will visually classify the soil samples at each test interval and place them in clean glass jars,
which are labeled for future identffication. Groundwater levels will be obtained in each boring upon initial
encounter and later when the water table has stabilized. At the completion of the site investigation work,
the bodngs will be backfilled with the soil cuttings.
The soil samples will be transported to our Orlando laboratory for better ciassffication testing than can be
performed by field methods, and to determine the pertinent engineering properties for foundation design
and site preparation recommendations. At the completion of the field and laboratory testing services, our
project engineer will prepare a report under the direction of a registered professional engineer who
specializes in geetechnical engineering consulting. The report will contain the following information at a
minimum:
Soil bodng legs and classffications
Landfill location confirmation
Suitability of excavated soils for construction use
Wet season and groundwater table elevations
Predicted normal pcol elevation in the pond dudng usage
Site preparation recommendations
Other concorns as appropriate
We have assumed that in order to provide groundwater elevations, Conklin, Porter & Holmes will survey
the borehole locations for elevation and location. We have assumed that the site is accessible to our
buggy-mounted drilling rig and that you will provide the fight of access. We have not made an allowance
for an environmental assessment of the property, nor for evaluation of the subsurface soils for sinkhole
activity. However, we will be glad to furnish you with a proposal for these services upon request.

Presented on Exhibit ~, attached, is our costs for performing these services. We will not exceed our
budget unless the soils encountered are signfficantly different than these anticipated or the site is not
accessible to our buggy-mounted drilling dg. In either event, you will be notified prior to any increase in
costs. If you wish us to proceed please have the party responsible for payment sign the appropriate
space on the Work Authorization/Proposal Acceptance Form and return both copies, We will sign and
return a fully executed copy to you. Also, please include a site plan, information on the current owner,
and legal description on the subject property. This information is necessary for us to keep accurate
records of your project.
We san begin this work within five days after notffisation to proceed and will complete this project within
one to two weeks thereafter. If you should have any questions conceming this information please sail.

Additional services, consultations, or meetings if requested, will be invoiced at Universal Engineering
Sciences' standard rates.
This fee estimate includes two (2) copies of the final report. Additional copies can be provided at a cost
of $0.25 per page, $1.00 per plan sheet, plus mailing costs.
All reports will be shipped via first class mail on project completion. Shipping via overnight delivery
service will be provided at the client's request at cost plus 15%.
This fee proposal shall remain effective for 60 days. If you should requtre more than 60 days to formally
authorize us to proceed, we request that you permit us to update our proposal to account for any changes
in costs.
We have made a good faith effort to work with you to develop a work scope and fee estimate. Because
of the possibility of unknown, discovered, underground conditions and/or the need for additional services
that neither you nor we can currently foresee, we recommend that you budget a contingency equal to 15%
of the total fee estimate. We will not use the contingency amount without first notifying you.
The client will be responsible for all applicable taxes.
