THIS FIRST AMENDMENT is made and entered into this ~ ~ day
of ntool~n/e 2002r and is to that certain Agreement made

and entered i 3rd day of January, 2002, between the CITY
OF SANFORD, a Florida municipal corporation, whose address is 300
North Park Avenue, Sanford, Florida 32771, hereinafter referred to
as CITY, and SEMINOLE COUNTY, a political subdivision of the State
of Florida, whose address is Seminole County Services Building,
1101 East First Street, Sanford, Florida 32771, hereinafter
referred to as COUNTY.
WITNESSETH:
WHEREAS, the CITY and COUNTY entered into the above-referenced
Agreement on January 3, 2002, for shared use of the Old Sanford
Library Building; and
WHEREAS, the parties desire to amend the Agreement so as to
enable both parties to continue to enjoy the mutual benefits it
provides; and
WHEREAS, Section 5 of the Agreement provides that any
amendments shall be valid only when expressed in writing and duly
signed by the parties,
NOW, THEREFORE, in consideration of the mutual understandings
and agreements contained herein, the parties agree to amend the
Agreement as follows:
1. Section 2(A) of the Agreement is amended to read:
Section 2(A). The CITY and the COUNTY agree to joint use of
the property and building known as the Old Sanford Library
(hereinafter referred to as the "Building"), located at 230 East
First Street, Sanford, Florida. The COUNTY shall occupy 1300
square feet and the CITY shall occupy 2100 square feet in said
Building, allocated as shown on Exhibit "A", attached hereto and
incorporated herein.
2. Section 2 of the Agreement is amended by the addition of
subsection 2{H) to read as follows:
Section 2(H). The CITY agrees to refurbish the flag pole
located in front of the Building.
3. Exhibit A of the Agreement is deleted and Exhibit A
attached hereto is substituted therefore.
4. Except as herein modified, all terms and conditions of
the Agreement shall remain in full force and effect for the term
of this Agreement, as originally set forth in said Agreement.
IN WITNESS WHEREOF, the parties hereto have executed this
instrument for the purpose herein expressed.
