Dear Mayor and Members of the City Commission:
I am submitting my conditional resignation as City Manager of the City of Sanford for
acceptance by the Mayor and the City Commission. My resignation as City Manager will
be effective Friday, April 15, 2005 at 5:00 p.m. if the City Commission will agree to the
provisions set forth below.
1. The Mayor and the City Commission accept this letter and the conditions set
forth herein as providing for adequate notice with regard to termination of my
employment agreement with the City.
2. Through November 30, 2005 the City will continue to pay me and provide
benefits to me at the rate of pay and benefits set forth in my employment
agreement with the City.
3. On November 30, 2005 I be paid for the lump sum value of each hour of
vacation and sick leave in my leave accounts.
4. Through November 30, 2005 I will be available for consultation with the City
relative to the closing out of matters with which I am involved and I will
reasonably respond to the City's inquiries as a consultant with regard to matters
relative to which I can offer the City assistance and support.

I want to again express my sincere appreciation for the opportunity to serve the City of
Sanford and I also want to express my sincere thanks to all of the City employees and
citizens who have supported me in my efforts on behalf of the City during my tenure as
City Manager.
By execution of this document below by the Mayor, the Mayor and the City Commission
express agreement and acceptance of the terms and conditions set forth herein.
